termination of Operations and Maintenance Agreement with Black Hills
Energy [City of Waukee Gas Transmission Line]

SYNOPSIS INCLUDING PRO & CON: Per the existing Operations & Maintenance (O&M)
agreement with Black Hills Energy, a written notice of termination is required from the City to
terminate the agreement. Black Hills Energy has performed O&M of the 14.5 miles of transmission
gas main since 2008. Due to a change in classification of this main from the Pipeline and Hazardous
Materials Safety Administration, the scope of services of the O&M have changed and additional tasks
are required for O&M of the gas transmission line. The City requested O&M quotes for these new
scope of services for O&M and received two submittals from Black Hills Energy and Utility Safety &
Design, Inc. (USDI). USDI’s quote to perform these O&M services are less than Black Hills Energy.
This letter starts the timeline for the 90 day notice per the existing agreement.
