HomeMy WebLinkAbout2023-08-07 J08A Spring Meadows_Development Agreement AGENDA ITEM: CITY OF WAUKEE, IOWA CITY COUNCIL MEETING COMMUNICATION MEETING DATE: August 7, 2023 AGENDA ITEM: Consideration of approval of a resolution approving a Development Agreement with Waukee Partnership, LLC (Spring Meadows) FORMAT: Resolution SYNOPSIS INCLUDING PRO & CON: Waukee Partnership, LLC, is a proposing a development, Spring Meadows, that is located south of Hickman Road and east of T Avenue. The developer proposes to improve the property for a single-family residential development. Improvements to T Avenue will be required as part of the development. In lieu of having the applicant install their permanent pavement obligations now, the agreement permits the developer to install an asphalt overlay on T Avenue. City staff has worked with the developer to formulate a cost for their pavement obligations that will be paid to the City at the time a final plat is approved for the property minus the costs they bear to complete the asphalt overlay of T Avenue. The funds paid by the devleoper will be used in the future when T Avenue is resurfaced and/or widened. Staff has prepared a development agreement, which defines the obligations of both the City and developer related to the development of the property. The agreement also includes provisions related to reimbursement of the existing water main that the City previously constructed. In addition, there are provisions for the reimbursement of upsizing of storm sewer required at the future intersection of T Avenue and Northview Drive. Development Agreement PREPARED BY: Andy Kass, Community Development Director J8A REVIEWED BY: THE CITY OF WAUKEE, IOWA RESOLUTION 2023- APPROVING DEVELOPER’S AGREEMENT FOR SPRING MEADOWS [WAUKEE PARTNERSHIP, LLC] IN THE NAME AND BY THE AUTHORITY OF THE CITY OF WAUKEE, IOWA WHEREAS, the City of Waukee, Dallas County, State of Iowa, is a duly organized Municipal Organization; AND, WHEREAS, the City Council has previously approved the rezoning of a property to be known as Spring Meadows (Ordinance 3007) located east of T Avenue and south of Hickman Road; AND, WHEREAS, the City has been in discussion with the owner, Waukee Partnership, LLC, regarding certain obligations of both the City and the developer related to public improvements and requirements of the subdivision; AND, WHEREAS, the discussions have resulted in a development agreement that the City Staff believes are in the best interest of the City to approve. NOW THEREFORE BE IT RESOLVED by the City Council of the City of Waukee, Iowa, that the Developer’s Agreement with Waukee Partnership, LLC, is hereby approved. BE IT FURTHER RESOLVED that the Mayor is authorized to execute any and all documents to effectuate the development agreement, and that the City Clerk shall cause the originals of the agreement to be recorded upon the properties by submitting the original to the Dallas County Recorder with the appropriate recording fees. Brick, Brick Gentry P.C., 6701 Westown Parkway, Suite 100, West Des Moines, IA (515) 274-1450 Return to: City Clerk, City of Waukee, 230 Highway 6, Waukee, Iowa 50263 (515) 987-4522 DEVELOPER’S AGREEMENT This Agreement, entered into between the City of Waukee, an Iowa municipal corporation in the State of Iowa (hereinafter referred to as "City"); and Waukee Partnership, L.L.C., an Iowa limited liability company (hereinafter referred to as “Property Owner”); (The City and Property Owner may also be collectively referred to as “Parties”) and WHEREAS, Property Owner presently owns certain real property located within the corporate limits of the City and presently legally described as: The South Half (1/2) of the Northwest Quarter (NW 1/4) and the Northwest Quarter (NW 1/4) of the Southwest Quarter (SW 1/4) of Section 32, Township 79 North, Range 26 West of the 5th P.M., Dallas County, Iowa, all containing 119.82 acres (5,219,398 S.F.), subject to any and all easements of record. THE PROPERTY IS SUBJECT TO ANY AND ALL EASEMENTS OF RECORD. (herein referred to as the “Property”); and WHEREAS, Property Owner intends to develop the Property as individual single-family and multi-family subdivisions in multiple phases in accordance with this agreement and the City of Waukee subdivision requirements; and WHEREAS, as part of the development of the Property, Property Owner must make certain public improvements to T Avenue and dedicate certain ROW to accommodate the increased traffic and other burdens upon the City resulting from the development of the Property; and WHEREAS, surrounding properties in the area of the Property have the same responsibilities pertaining to the development of their properties and there needs to be coordination among the various undertakings with respect to the public improvements serving all properties in the area as it pertains to the Development of their respective properties. WHEREAS, the Parties desire to enter into an agreement setting forth the respective understandings and obligations of the Parties. 2 In consideration of the mutual promises as more particularly set forth herein, sufficiency of which is hereby acknowledged, the Parties agree as follows: 1. Scope. The parties agree that this Agreement only addresses T Avenue Improvements, and associated public infrastructure as more particularly described herein. The Property Owner has other obligations associated with the Platting, Site plan and development of the Property and this Agreement does not in any way effect the obligations of the Developer to satisfy the obligations imposed by Federal, State and Local laws and regulations. 2. T Avenue Temporary Improvements. The Property Owner agrees that it will complete the construction of an asphalt overlay over T Avenue adjoining the Property. The Project shall include the completion of an asphalt overlay on T Avenue from a point located 777 feet North of their northern property line to the southern property line of the Property which is generally depicted on Exhibit A. The Property Owner agrees that the asphalt overlay of T Avenue will begin once a plat for the development of all or part of the Property that includes a street connection to T Avenue is submitted to the City for review. Furthermore, the Property Owner agrees to extend the asphalt overlay 777 feet North of their northern property line when a street connection to T Avenue is proposed as part of a plat. If Prior to commencing the overlay project, the Property Owner shall obtain two quotations for the improvement project and shall submit the same to the City for approval. Property Owner will proceed with the overlay in accordance with the quote approved by the City and submit proof of payment by the Property Owner to the contractor engaged by Property Owner to complete the overlay. Property Owner shall complete the asphalt overlay project adjoining the property by November 1, 2028. 3. T Avenue Permanent Improvements. The Parties agree that the asphalt overlay contemplated in Paragraph 2 is only a temporary improvement and that T Avenue will need to be reconstructed as 31-foot urban PCC street section in the future. Property Owner understands and agrees that the City subdivision regulations provide that as part of the development of the Property, Property Owner is responsible for the construction of one-half of a 31-foot urban PCC street section including storm sewer, streetlights, and five-foot sidewalk (collectively “the Improvements”) along T Avenue adjoining said Property. In lieu of Property Owner making these improvements, Property Owner agrees to pay to the City the cost of the Improvements on a per acre pro rata basis over the entire 119.82 acres at the time of platting each portion of the Property. The total cost of the Improvements will be $849,431.00 and is referenced in Exhibit B. The total cost of the Improvements represents the costs of completing the foregoing improvements which will be completed at a point in the future when the properties on the other side of T Avenue develop. Property Owner and the City agree that said payment will satisfy Property Owner’s obligations to undertake said Public Improvement for the Property. In addition, the amount due from Property Owner pursuant to this paragraph will be reduced by the approved costs incurred by Property Owner of completing the T Avenue Temporary Improvements in the manner set forth 3 in Paragraph 2 of this agreement as well as the property dedication set forth in paragraph 6. 4. T Avenue Property Dedication and Easements. Property Owner, and its successors in interest and assigns, understand and agrees that T Avenue adjacent to the Property is planned by the City to be improved as a 4-lane parkway, potentially in phases. Property Owner agrees and covenants, on behalf of itself and its successors and assigns, that within 30 days of a request by the City, or upon final plat approval of each portion of a portion of the property adjacent to T Avenue, to dedicate to the City, at no cost to the City, fee title free of any liens or encumbrances, adjacent and along T Avenue, an amount the City specifies, which shall be at a minimum of 60 feet of Property adjacent and along T Avenue, a minimum of 67.5 feet at or around planned intersections. In addition, Property Owner, its successors or assigns shall provide, at no cost to the City, temporary construction easements, on forms required by the City, adjacent and along T Avenue, an amount the City specifies, which shall be at a minimum of 15 feet of Property adjacent and along the wholly constituted T Avenue right of way. These obligations shall run with the Property and be binding on Property Owner, its successors in interests and assigns. 5. Water Main Extension. Property Owner understands and agrees that it is responsible for the construction of a portion of a water main along T Avenue adjacent to the Property which will be used by Property Owner to serve the developments within the Property. In satisfaction of Property Owner’s responsibility for its share of construction of the water main serving the Property, Property owner agrees to reimburse the City the sum of $118,768.00 on a per acre pro rata basis over the entire 119.82 acres at the time of platting each portion of the Property. The total cost of the Water Main Improvements is referenced in Exhibit C. 6. Storm Sewer Upsizing. Property Owner understands and agrees that it is responsible for the construction of storm sewer at the intersection of T Avenue and Northview Drive which will be used by Property Owner to serve the developments within the Property. The City agrees to reimburse the Property Owner the sum of $51,866.00 at the time of final platting the portion of the Property that includes the construction of said upsized storm sewer and acceptance of the said improvements by the City. The total cost of the Storm Sewer Upsizing is referenced in Exhibit D. 7. Property Dedication. Property Owner understands and agrees that as part of its development of the Property it has certain parkland dedication requirements. Property Owner and the City have ascertained the required parkland requirements for the development of the Property and the City seeks to supplement the land available for the development of the Park in this development by acquiring additional land adjacent to the anticipated parkland dedicated by the developer. Property Owner agrees to dedicate and otherwise transfer and convey unto the City, by warranty deed, free and clear of any liens and/or encumbrances, the property legally described as: 4 A PART OF THE SOUTHEAST QUARTER OF THE NORTHWEST QUARTER OF SECTION 32, TOWNSHIP 79 NORTH, RANGE 26 WEST OF THE FIFTH PRINCIPAL MERIDIAN IN THE CITY OF WAUKEE, DALLAS COUNTY, IOWA AND MORE PARTICULARLY DESCRIBED AS FOLLOWS: COMMENCING AT THE CENTER OF SAID SECTION 32; THENCE NORTH 00°40’41” EAST ALONG THE EAST LINE OF SAID NORTHWEST QUARTER, 259.10 FEET TO THE POINT OF BEGINNING; THENCE NORTH 89°40'15" WEST, 565.12 FEET; THENCE NORTH 36°09'05" EAST, 117.16 FEET; THENCE SOUTH 89°40'15" EAST, 497.13 FEET TO SAID EAST LINE; THENCE SOUTH 00°40'41" WEST ALONG SAID EAST LINE, 95.00 FEET TO THE POINT OF BEGINNING AND CONTAINING 1.16 ACRES (50,457 SQUARE FEET). THE PROPERTY IS SUBJECT TO ANY AND ALL EASEMENTS OF RECORD. The Property owner shall convey the property to the City at the time of dedication of the remaining parkland required in connection with the development of the Property. At the time of conveyance, the Property Owner and the City agree that Property owner shall receive a credit towards its obligation in Paragraph 3 of this agreement in the amount of $51,000.00. 8. This agreement pertains only to the matters specifically addressed herein, and is not intended to address, alter, or otherwise effect other obligations of Property Owner required as part of the platting and the Development of its Property. Nothing herein shall change or otherwise effect Property Owner’s obligations to pay applicable connection fees as part of the platting and development of the Property. 9. Binding Effect. This Agreement shall inure to the benefit of and be binding upon all Parties, their successors in interests or assigns, if any. This Agreement is intended by the Parties to provide for the entire agreement between the Parties and is limited in scope to matters expressly provided herein. 10. Enforcement. Should it become necessary for either party to enforce this agreement, the defaulting party shall be responsible for any and all attorney’s fees and expenses incurred by the other party in pursuit of enforcement of this Agreement. 11. Jurisdiction. The Parties agree that this Agreement and amendments hereto, if any, shall be governed by the laws of the State of Iowa.
