AGENDA ITEM: Consideration of approval of First Amendment to Agreement for Professional
Consulting Services with Sidekick Development, LLC [Waukee Public Safety
Facility]

SYNOPSIS INCLUDING PRO & CON: The City entered into an agreement with Sidekick
Development, LLC to function as Owner’s Representative for the development of the Waukee
Public Safety Building. At the time, a total project cost and finalized timeline was unknown.
The City agreed to compensation of a total of 1.1% of the total project cost with payments of
$7,500 per month until the project was bid and the total project cost was known. With the
approval of the project bids, the total project cost is now known and the Professional
Consulting Services Agreement has been amended to reflect a total fee of not to exceed
$450,000 which is approximately $23,000 less than the agreed upon 1.1% previously included
in the Agreement for Professional Consulting Services. The other amendment to the previous
agreement extends the timeline for Sidekick’s services through 12/31/25.

RESOLUTION 2023
APPROVING FIRST AMENDMENT TO AGREEMENT FOR PROFESSIONAL
CONSULTING SERVICES WITH SIDEKICK DEVELOPMENT, LLC [WAUKEE
PUBLIC SAFETY FACILITY]
IN THE NAME AND BY THE AUTHORITY OF THE CITY OF WAUKEE, IOWA
WHEREAS, the City of Waukee, Dallas County, State of Iowa, is a duly organized Municipal
Organization; AND,
WHEREAS, in anticipation for a new Public Safety Facility to meet the needs of the growing
departments, the City has purchased property located at the corner of T Avenue and NW Douglas
Parkway; AND,
WHEREAS, the project is anticipated to be complex and will require significant staff time to
administer and manage and a contract with Sidekick Development, LLC to function as the
Owner’s Representative for the development of the Waukee Public Safety Facility was approved
on December 20, 2021; AND,
WHEREAS, the First Amendment to Agreement for Professional Services is related to the
schedule and compensation only with all remaining provisions of the Professional Services
Agreement approved on December 20, 2021 (Resolution 2021-526) to remain in full force and
effect; AND,
WHEREAS, the City Attorney has reviewed the First Amendment to Agreement for
Professional Consulting Services and finds it satisfactory;
NOW THEREFORE BE IT RESOLVED by the City Council of the City of Waukee that the
First Amendment to Agreement for Professional Consulting Services with Sidekick
Development, LLC [Waukee Public Safety Facility] is hereby approved.
Passed by the City Council of the City of Waukee, Iowa, and approved the 18th day of
December, 2023.

AGREEMENT FOR PROFESSIONAL CONSULTING SERVICES
AMENDMENT NO. 1
PUBLIC SAFETY PROJECT MANAGEMENT
The City of Waukee (“City”) entered into an Agreement for Professional Consulting Services
(“Agreement”) with Sidekick Development LLC (“Consultant”) on December 20th, 2021 for
purposes of Project Management for the Waukee Public Safety Building Project (Resolution
#2021-526.
This Amendment No. 1 to the Agreement is made and entered into this 18th day of December,
2023, for purposes of modification to Section 2. Schedule and Section 3. Compensation. All
other aspects of the original Agreement shall remain in place and in full effect except as
modified below:
2. SCHEDULE
The completion of contract work shall be extended to December 31, 2025. However,
Consultant agrees to perform a Warranty Walk of the Project eleven (11) months following
the completion and acceptance of the project by the City at no additional charge to the City.
All other provisions of the schedule as contained within the Agreement shall remain in full
effect.
3. COMPENSATION
A. In consideration of the professional services provided herein, the City agrees to pay the
Consultant the following sum NOT-TO-EXCEED, including any authorized
reimbursable expenses, as follows.
I. Consultant will perform all services of the Agreement for a maximum NOT-TO-
EXCEED fee of $450,000.
II. City shall be given credit for fees already paid to the Consultant in the amount of
$180,000 billed to date of this Amendment.
III. Consultant shall be paid the sum of $11,000.00 per month commencing in January
2024 through November 2025 with the remaining sum up to the NOT-TO-EXCEED
maximum in December 2025.
IV. All other provisions of compensation as contained within the Agreement shall remain
in full effect.

IN WITNESS WHEREOF, the parties have caused this Amendment No. 1 to the Agreement to
be executed by their duly authorized officers or agents on the day and year first above written.
