SYNOPSIS INCLUDING PRO & CON: The City is in the process of constructing a new
Public Safety Facility scheduled to be completed in July 2025. City staff is recommending
entering into agreement with Baker Group for the furnishing of a building automation system,
video surveillance and access control system. These systems were not included as a part of the
bidding process as Baker Electric already has the State of Iowa low bid for these system
installations.
FISCAL IMPACT INCLUDING COST/BENEFIT ANALYSIS: $683,832 which has been
included within the budget for the project.

APPROVING TECHNOLOGY SERVICES AGREEMENT FOR PROFESSIONAL
SERVICES WITH BAKER ELECTRIC [WAUKEE PUBLIC SAFETY]
IN THE NAME AND BY THE AUTHORITY OF THE CITY OF WAUKEE, IOWA
WHEREAS, the City of Waukee, Dallas County, State of Iowa, is a duly organized Municipal
Organization; AND,
WHEREAS, the City is in the process of constructing a Public Safety Facility scheduled to be
completed in July 2025; AND,
WHEREAS, in coordination with the construction of the building, a building automation
system, video surveillance system and access control system must be installed and such systems
were outside of the scope of the bidding documents for the project; AND,
WHEREAS, Baker Electric has provided a proposal for the completion and installation of these
systems with costs based upon the low bid as determined by the State of Iowa.
NOW THEREFORE BE IT RESOLVED that the City Council of the City of Waukee
formally approves the attached technology services agreement with Baker Electric for services
and systems to be installed within the Public Safety Facility.

TECHNOLOGY SERVICES AGREEMENT
This Technology Services Agreement (“Agreement”) is between Baker Mechanical, Inc. d/b/a Baker Group, 1600 SE Corporate Woods Dr., Ankeny,
IA 50021 (“Baker Group”), and owner-client, CITY OF WAUKEE (“Customer”) (singularly, a “Party”,
or together, the “Parties”), for certain technology services (“Work”) to be performed by Baker Group at Customer’s below-noted property (“Property”)
and below-noted project (“Project”) in exchange for the compensation set forth herein.

Article 1: This Agreement
1.1 In accordance with the terms and conditions hereof, Baker Group agrees to furnish the labor and materials (collectively, “Work”) as set forth herein.
“Work” includes all labor, materials, and equipment provided or to be provided by Baker Group to fulfill Baker Group’s obligations hereunder.
1.2 This Agreement, including any exhibits hereto, contain the final and entire agreement between the Parties with respect to the Work and is intended
to be an integration of all prior negotiations and understandings. Baker Group shall not be bound by any statements, warranties, or representations,
oral or written, not contained herein. No change or modifications of this Agreement shall be valid unless made pursuant to the terms herein and in
writing and signed by the Party against whom it is sought to be enforced, or unless otherwise made pursuant to the terms herein.
1.3 The “Contract Documents” consist of the following documents, all of which are incorporated by this reference:
(1) This Agreement, including all exhibits:
(a) Exhibit A, containing information on Baker’s scope of Work and any applicable portions of the “Plans/Drawings.”
(2) All change orders and modifications, if any, executed by both Parties subsequent to the Effective Date (defined below) of the Agreement.
In the event of a conflict among the Contract Documents, this Agreement, including any exhibits, shall control and supersede over the other Contract
Documents. In the event of a conflict between the Plan/Drawings and Proposal, the Proposal shall control and supersede over the Plans/Drawings.
Article 2: Scope of Work
2.1 Baker Group agrees to perform the Work expressly set forth in the Proposal and this Agreement, and any Work set forth in the below space. Any
work not specifically and expressly set forth in the Contract Documents is excluded from Baker Group’s scope of Work hereunder. The Parties agree
to the following additional terms regarding scope of Work and/or inclusions to and exclusions of Baker Group’s scope of Work, not otherwise set forth
in Exhibit A:

Article 3: Contract Price and Payment Terms
3.1 Under the Agreement, and in consideration of Baker Group’s Work, Customer agrees to pay Baker Group, in the manner hereinafter specified, the
following sum (“Contract Price”) for the Work, as adjusted pursuant to the terms of this Agreement, including due to Change Orders:
☒ Stipulated Sum / Fixed Fee Project: Customer agrees to pay Baker Group the following stipulated sum/fixed fee: $ 683,832.00
☐ Time and Materials Project: Customer agrees to pay Baker Group for all Work on a time and materials basis, with the Contract Price
consisting of:
(1) All self-performed labor and services charged at the below noted hourly rates for this calendar year, plus:

(2) All of Baker Group’s incurred costs for materials, equipment, rental equipment, permit/inspection fees, rental charges for temporary
facilities/equipment, and other non-labor items, as well as any subcontracted labor/services, plus twenty percent (20%) of such costs
for Baker Group’s overhead and profit.
3.2 Customer, without invalidating the Agreement, may request changes or modifications in the Work, which shall be referred to as a “Change Order.”
Baker Group has the right to deny any requested change in the Work that is requested by Customer. If Baker Group agrees to any such Customer-

requested Change Order, then Customer is responsible for the upward adjustment in the Contract Price associated with the Change Order as
determined by Baker Group. Baker Group will endeavor to document the Change Order, including the cost of a Change Order, in a written document
setting forth the requested Change Order (“Change Order Document”) and generally will not perform any Change Order Work unless and until a Change
Order Document is executed by Customer. Notwithstanding the foregoing, if Baker Group chooses to complete a change or other item of Work verbally
requested by Customer and without a Change Order Document being executed, Customer shall still be liable for and immediately pay all costs
associated with such Work and/or Change Order.
3.3 Applicable taxes are not included in the Contract Price.
3.4 All invoices are due upon receipt.
3.5 For any invoice unpaid for 60 days, interest shall be charged at the rate of 1.5% per month and 18% per year.
3.6 In the event Baker Group brings an action or claim against Customer, or otherwise incurs legal expenses, in order to recover amounts payable
under the Agreement or otherwise relating to the Project or Agreement, then Customer shall pay Baker Group’s reasonable attorney's fees, expert
fees, court costs, appeal costs, and judgment execution costs in the event Baker Group is the prevailing party in any such proceeding.

There is a 3% convenience fee for payment on line using a credit card. Remittance using E-check online with no fee is available.
3.8 The Contract Price is based upon the assumption and agreement between the Parties that there will be no market-wide price increases during
the period that Baker Group performs the Work for any particular Material used in the Work (“Market-Wide Material Cost Increase”). In the event there
is a Market-Wide Material Cost Increase, then the Contract Price shall be increased in the amount of the increase in cost incurred by Baker Group. A
Market-Wide Material Cost Increase occurs when (a) the price of a Material increases between the date of the Agreement and date of ordering or
purchase by Baker Group and (b) Baker Group, after its best efforts, is unable to locate an appropriate substitute brand or type of the Material at issue
for a lesser price. In such event, Baker Group will notify Customer in writing of the increase in the Contract Price due to the Market-Wide Material Cost
Increase, for which Customer is responsible, and, upon request, will provide written documentation evidencing such increase.
Article 4: The Work and Duties of the Parties: 4.1 Baker Group shall perform all Work in a good and workmanlike manner and in a manner consistent with the degree of care and skill ordinarily
exercised by members of the same profession currently practicing under similar circumstances on projects of similar size, complexity, and geographic
location as that of the Work, and shall furnish only materials (“Materials”) of good quality.
4.2 Customer will provide reasonable access to all areas and equipment and will allow Baker Group to stop and start equipment as may be necessary
to perform its Work.
4.3 All Work will be performed during normal working hours of 7:00 AM to 3:30 PM, Monday through Friday, unless otherwise expressly agreed to by
the Parties.
4.4 Customer must ensure that, at the time of Baker Group’s commencement of the Work, Customer’s property and/or builder’s risk insurance for the
Property fully covers Baker Group’s Work on the Property and is an amount sufficient to cover the increased value of the Property upon completion of
the Work. Prior to commencement of the Work, and upon request, Customer shall provide Baker Group with a Certificate of Insurance for Customer’s
property insurance. Baker Group has not and will not secure Builder’s Risk insurance or like insurance for the Project, and Customer assumes all risks
for lack of sufficient insurance for the Project.
4.5 Customer acknowledges and agrees that adding, removing or making changes to Customer’s electrical power distribution system may affect the
NFPA 70, 70B or 70E Electrical Arc Flash ratings. Unless specifically stated otherwise, Baker Group’s scope does not include creating or updating the
code-required power study for Customer’s facility.
4.6 Customer shall fully and timely provide Baker Group with all information, requirements, data, reports, and other information necessary for Baker
Group’s performance of Work, and Baker Group shall be entitled to fully rely upon the accuracy and completeness. Customer agrees to indemnify,
protect, defend and hold harmless Baker Group from and against all claims, losses, causes of actions, judgments, attorneys’ fees, expert costs, other
costs, compensatory damages, and other damages for personal injury, death, property damage, and other loss arising from or related to any
inaccuracies, errors, or omissions in the information provided by Customer to Baker Group. In addition, Customer shall give prompt written notice to
Baker Group whenever Customer observes or otherwise becomes aware of any development or information that may negatively affect the scope or
time of performance of Baker Group’s Work.
4.7 Customer acknowledges and agrees that, during its Work, Baker Group may encounter latent, unforeseen, uncommon, or unknown conditions
(“Existing Condition(s)”) at the Property. Existing Conditions may include, but are not limited to, adverse or unforeseeable soil or site conditions;
asbestos or other hazardous materials; existing code violations or existing work (not performed by Baker Group) that is not fully or competently
performed; building or site conditions that differ from the information provided by Customer; and unexpected utilities, lines, pipes, instruments,
apparatuses, equipment, or the like. Except to the extent the Agreement expressly provides that Baker Group’s scope of work consists of
troubleshooting, studying, investigation or exploration, repair, and/or remediation in regard to the Existing Condition at issue (collectively,
“Troubleshooting Work”) and provides for Baker Group’s compensation for such Troubleshooting Work, then Baker Group is not required to perform,
and is not responsible or liable for, any repair or other work to be performed in regard to the Existing Condition, unless the Parties mutually agree upon
the scope of and compensation for any such work to be performed by Baker Group. Also, except to the extent Baker Group’s contractual scope of

work consists of Troubleshooting Work in regard to the Existing Conditions at issue, Baker Group may inform Customer to directly hire an appropriate
contractor to repair and perform any necessary work regarding the Existing Condition.
4.8 Customer agrees that Baker Group’s Work may be delayed or affected by reason of weather, flood, fire, Act of God, or the like; strikes and labor
disputes; unanticipated material procurement or delivery delays; delays caused by differing site conditions or Existing Conditions (as defined above);
epidemics or pandemics (including COVID-19); delays caused by the actions or omissions of Customer or Customer’s agents; change orders; and
other delays beyond the reasonable control of the Baker Group (collectively “Excusable Delays”). Baker Group has no liability to Customer for any loss
or damage due to Excusable Delays, and Baker Group shall be entitled to an equitable adjustment of any contractual time to perform its Work (“Contract
Time”), and equitable upward adjustment of the Contract Price for any costs, loss or damage, due to Excusable Delays.
4.9 Unless otherwise expressly set forth in the Agreement, Baker Group shall not supervise, direct, control, or have authority over any other contractor
or consultant hired by Customer, nor shall Baker Group have authority over or be responsible for the means, methods, techniques, sequences, progress
of work, safety rules or precautions, or procedures of construction selected or used by any such contractor or consultant.
4.10 Unless otherwise expressly set forth in the Agreement, (a) all documents, reports, plans, drawings, and other tangible work products prepared by
Baker Group under the Agreement are instruments of service (“Instruments of Service”), and Baker Group retains an ownership and property interest
(including the copyright and the right of reuse) in all Instruments of Service, whether or not the Work is completed, and (b) Customer shall have a
limited license to use the Instruments of Service only on the Project, subject to and conditioned upon receipt by Baker Group of the full Contract Price
due and owing for all Work.
4.11 Except as expressly provided otherwise within this Agreement, Customer has procured all necessary architectural and engineering services
required to design and engineer the Project. Baker Group agrees to work with Customer’s architectural and engineering consultants providing the
design services for the Project. Customer’s retained design professional(s) (collectively, “Architect”), and not Baker Group, prepared and is otherwise
responsible for the accuracy and completeness of the Plans/Drawings. As such, Customer and/or its Architect, and not Baker Group, hereby warrant
the Plans are in compliance with applicable building codes and any restrictive covenants, and were created within the applicable standard of care and
using the skill, knowledge, and judgment customary within the industry. The Parties agree that all defects and omissions in the Plans are wholly
Customer’s responsibility.
Article 5: Rights and Remedies of the Parties 5.1 To the fullest extent permitted by applicable law, each Party (“Indemnifying Party”) shall defend, indemnify and hold harmless the other Party
(“Indemnified Party”) from and against any and all liabilities, obligations, claims, demands, causes of action, losses, expenses, damages, fines, awards,
judgments, settlements, and penalties, including but not limited to, costs, expenses and attorneys’ fees incident thereto, (collectively “Claims”) arising
out of, based upon, or occasioned by or in connection with this Service Agreement, but only to the extent said Claims were caused by any negligent
act or omission, gross negligence, or willful conduct of the Indemnifying Party, or anyone directly or indirectly employed by the Indemnifying Party or
anyone for whose acts the Indemnifying Party may be liable.
5.2 For a period of one year from the substantial completion of Baker Group’s Work, Baker Group expressly agrees to reasonably repair or remedy, at its
own cost, defective Work, which shall be defined as any part of the Work that is (i) materially nonconforming to or noncompliant with the Agreement or
applicable building codes, and/or (ii) materially below or nonconforming with the standard of care and generally recognized and accepted practices for the
quality of the Work in the industry in the geographic area in which the Property is located and at the time of the Work, except to the extent excluded herein.
5.3 In no event shall Baker Group be liable or responsible, in contract, tort or otherwise, for (a) any special, consequential, incidental, or liquidated
damages, including but not limited to, loss of profit or revenues; loss of use of any facility, building, products, machinery, or equipment; damage to
associated equipment; cost of substitute products, facilities, services or replacement power; down time costs, or claims of any buyer of Customer for
such damages; (b) damages for which the requested repair would amount to economic waste or a betterment; (c) loss or damage arising from
Excusable Delays; or (d) loss or damage due, in whole or part, to the actions of Customer, ordinary wear and tear, and/or lack of Customer maintenance
or timely notice to Baker Group.
5.4 To the extent damages are covered by Customer’s Property Insurance, Builders’ Risk Insurance, Commercial General Liability, Automobile,
Worker’s Compensation, or other insurance, Customer shall waive all subrogation and other rights against Baker Group and Baker Group’s other
contractors and agents for such damages, except such rights as they may have to the proceeds of such insurance.
5.5 For all Materials provided by Baker Group within its Work, and notwithstanding any terms to the contrary within the Agreement, all manufacturer
warranties and other express and implied warranties provided by the vendor, manufacturer, and/or supplier (collectively, “Manufacturers”) of the
Materials are hereby assigned from Baker Group to Customer. Other than the foregoing assignment to Customer of any and all applicable express
and implied warranties provided by the Manufacturers of the Materials, Baker Group, itself, has no responsibility or liability for any defect in the Materials
unless such defect was caused by the actions or inactions of Baker Group, and CUSTOMER RELEASES BAKER GROUP FROM ANY AND ALL
EXPRESS OR IMPLIED WARRANTIES FOR MATERIALS, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTY OF GOOD AND
WORKMANLIKE CONSTRUCTION, IMPLIED WARRANTY OF MERCHANTABILITY, AND IMPLIED WARRANTY OF FITNESS FOR A
PARTICULAR PURPOSE.
5.6 If Customer believes Baker Group has breached these Terms and Conditions or the Agreement, then, immediately and prior to the commencement
of any legal action, or any termination of the Agreement, Customer shall provide Baker Group with written notice of each claimed breach and with thirty
(30) days to repair or otherwise cure any such claimed breach and to inspect the Property. Any action commenced by Customer prior to Customer
fulfilling the aforementioned obligation to provide Baker Group with the right to inspect and cure/repair will be immediately stayed or dismissed without
prejudice. In the event Customer lawfully terminates the Agreement due to a proven breach by Baker Group, Baker Group shall be paid for all Work
furnished and Materials ordered or furnished, as of the date of termination.

5.7 In the event Customer breaches its obligations under the Agreement, Baker Group may, after providing a 14-day prior notice to Customer, terminate
the Agreement between the Parties. Baker Group may also terminate the Agreement for convenience.
5.8 Any requirement within the Agreement for Baker Group to provide notice of a claim against Customer within a certain time period is a procedural
requirement that must be met by Baker Group at some point prior to Baker Group commencing an action, but Baker Group’s failure to timely fulfill this
procedural requirement shall not result in any bar or waiver of Baker Group’s claims, except to the extent Customer is prejudiced by Baker Group’s
failure to timely fulfill the procedural requirement.
5.9 If a dispute arises relating to the Work, Project, or Agreement, each Party shall participate in mediation if requested in writing by the other Party.
Further, the Parties agree that the exclusive jurisdiction, forum, and venue for any claim or action arising relating to the Work, Project, or Agreement
shall be in the Iowa District Court for Polk County, with all claims being heard by a judge, and not a jury. ACCORDINGLY, BOTH PARTIES HEREBY
WAIVE ALL RIGHT TO TRIAL BY JURY IN ANY ACTION OR PROCEEDING RELATING TO THE WORK, PROJECT, OR AGREEMENT. THIS
WAIVER IS KNOWINGLY, WILLINGLY AND VOLUNTARILY GIVEN.
Article 6: Other Terms
6.1 These Terms & Conditions, as well as the Agreement, are governed by and shall by interpreted under Iowa law.
6.2 The Agreement is not effective until such time as it has been executed and delivered by both Parties (“Effective Date”).
6.3 Nothing contained in this Agreement shall create a contractual relationship with, create a cause of action in favor of, or otherwise benefit, any
third party. Thus, no other person or entity (i.e., other than the Parties) shall have any claim against a Party because of this Agreement.
6.4 All Parties played, or had an equal opportunity to play, a substantive role in drafting these Terms and Conditions. Accordingly, in the event of
any misunderstanding, ambiguity, or dispute concerning these Terms and Conditions, or interpretation, the Parties agree that no rule of construction
shall be applied that would result in having these Terms and Conditions interpreted against any Party.
