AGENDA ITEM:Consideration for approval of a resolution amending an agreement for
beverage vending with Pepsico to include Sugar Creek Municipal Golf
Course.
FORMAT:Resolution
SYNOPSIS INCLUDING PRO & CON: The Parks & Recreation Department has worked with
Pepsico to amend the agreement for beverage vending at Triumph Park to
include the Sugar Creek Municipal Golf Course. The City has 2 years
remaining on the agreement and this will allow the City to receive rebates and
pricing match with Triumph Park. Staff recommend moving forward with an
amendment with Pepsico that will run through March 31, 2028.

RESOLUTION 2026-
APPROVING AN AMENDMENT TO AN AGREEMENT FOR TRIUMPH PARK
WITH PEPSICO TO INCLUDE SUGAR CREEK MUNICIPAL GOLF COURSE AND
[WAUKEE PARKS & RECREATION DEPARTMENT]
IN THE NAME AND BY THE AUTHORITY OF THE CITY OF WAUKEE, IOWA
WHEREAS, the City of Waukee, Dallas County, State of Iowa, is a duly organized
Municipal Organization; AND,
WHEREAS, the City of Waukee Parks & Recreation Department wishes to amend the
agreement for beverage vending services to include Sugar Creek Municipal Golf Course;
AND,
WHEREAS, Pepsico has provided an agreement for such services at Triumph Park and now
Sugar Creek Municipal Golf Course.
NOW THEREFORE BE IT RESOLVED by the City of Waukee City Council that the
amendment with Pepsico and Sugar Creek Municipal Golf Course [Waukee Parks &
Recreation Department] is hereby approved.
Passed by the City Council of the City of Waukee, Iowa, and approved this 17th day of
February, 2026.

This amendment (this “amendment ”) effecfive February 2, 2026 (“Effecfive Date”) is made by and
between, between, on the one hand Boftling Group LLC, a Delaware limited liability company, and its
affiliates and/or respecfive subsidiaries collecfively comprising Pepsi Beverage Company with an office at
3825 106th Street, Urbandale, Iowa 50322 (“Pepsi”) and City of Waukee Parks and Recreafion - Triumph,
805 University Avenue, Waukee, IA 50263.
Whereas, Pepsi and Customer are parfies to an exisfing Sales Agreement that commenced on April 1st,
2022 and expiring on March 31st, 2025 (the “Term”), unless sooner terminated as provided herein. The
Agreement will automafically renew for three (3) addifional years unless wriften nofice is given by either
party at least sixty (60) days prior to the expirafion of the then-current term (the “Renewal”). When fully
executed, this Agreement will consfitute a binding obligafion of both parfies unfil expirafion or
terminafion.
Whereas, Pepsi and the Customer now wish to amend the Agreement as here in after provided in this
amendment.
Now, Therefore, in considerafion of these premises and the covenants herein contained, it is hereby
agreed, as of the Effecfive Date 02/04/2026, the agreement is hereby amended as follows. AS used in
this amendment, capitalized terms defined in the Agreement and not otherwise defined in this
Amendment shall have the respecfive assigned thereto in this agreement.
1.Including City of Waukee Sugar Creek (COF 9305360) with the Waukee Parks and Recreafion-
Triumph Park accounts.
2.Adjust pricing group of City of Waukee Sugar Creek account to mirror Waukee Parks and
Recreafion-Triumph Park accounts.
3.Rebate of $2.75 will also include 12 count packages of Bubbl’r, Poppi, Celsius and Alani Nu.
Each party represents and warrants to the other that it has the authority to enter into and perform
under this Amendment; and that the execufion and performance under this Amendment will not violate
any agreements with, or rights of, any third party. This Amendment may be amended or modified only
by a wrifing signed by each of the parfies.
Except as may be expressly set forth herein, all terms and condifions of the Agreement to be executed by
the authorized persons set forth below.
