HomeMy WebLinkAbout2003-09-08-Resolutions 03-190_Firefighters Assoc - Articles of IncorporationTHE CITY OF WAUKEE,IOWA RESOLUTION 03-190 APPROVING ARTICLES OF INCORPORATION FOR THE WAUKEE FIREFIGHTERS ASSOCIATION IN THE NAME AND BY THE A UTHORITY OF THE CITY OF WA UKEE,IOWA WHEREAS,Fire Chief Terry Sesker and the paid and volunteer members of the Waukee Fire Department wish to create an association for the following purposes: To promote and advance the delivery of quality Fire and EMS Services To provide and promote public education and information related to Fire and EMS Services To promote the development ofharrnony and a spirit of kinship among the members of the Association To promote the purposes and objectives of the Waukee Fire Department;AND, WHEREAS,City Attorney Paul Huscher has drafted the Articles of Corporation of the Waukee Firefighters Association hereby attached to this Resolution;AND, WHEREAS,the :i:n:i:tialboard of directors for tills corporation are: Jared Van Horn,48 NE Sunrise Dr.,Waukee,Iowa 50263 J effrey Spencer,313 Parkland Ct.,Ankeny,Iowa 50021 Dennis Hanes,180 Gray Ave.,Waukee,Iowa 50263 Rodger Bell,1015 Applewood Lane,Waukee,Iowa 50263;AND, WHEREAS,all members of the proposed corporation including the incorporator,Jared Van Horn,are interested in organizing exclusively for social,charitable,literary,educational and scientific purposes and are not interested in organizing for pecuniary profit. NOW THEREFORE BE IT RESOLVED by the City of Waukee City Council in session tills 8th day of September 2003 that it hereby approvcs The Articles of Incorporation for the Waukee Firefighters Association. ARTICLE III PURPOSE The purpose ofthis corporation is:to promote and advance the delivery of quality Fire and EMS services;to provide and promote public education and information related to Fire and EMS services;to promote the development of harmony and a spirit of kinship among the members of the Association;and to promote the purposes and objectives of the Waukee Fire Department. The corporation is organized exclusively for charitable,literary,educational and scientific purposes,including,for such purposes,the making of distributions to organizations which qualify as exempt organizations uuder section 501 (c)(3)of the Intemal Revenue Code of 1954 (or the corresponding provision of any subsequent United States Intemal Revenue Code).The corporation 1 is not organized for pecuniary profit. ARTICLE IV INITIAL REGISTERED OFFICE AND REGISTERED AGENT The address ofthe initial registered office of the corporation in the State ofIowa,is 1300 L. A.Grant Parkway,P.O.Box 63,Waukee,Iowa 50263,in the City of Waukee,Couuty of Dallas,and its initial registered agent at such address is Terry Sesker. ARTICLE V INITIAL BOARD OF DIRECTORS The number of directors constituting the initial board of directors ofthe corporation is four (4),and the names and addresses of the persons to serve as initial directors are: Jared Van Horn,48 N.E.Suurise Dr.,Waukee,Iowa 50263 Jeffrey Spencer,313 Parkland Ct.,Ankeny,Iowa 50021 Denuis Hanes,180 Gray Ave.,Waukee,Iowa 50263 Rodger Bell,1015 Applewood Lane,Waukee,Iowa 50263 ARTICLE VI NAMES AND ADDRESSES OF INCORPORATORS The names and addresses of the incorporators are: Jared VanHorn,48 N.E.Sunrise Dr.,Waukee,Iowa 50263 ARTICLE VII ACTIVITIES PROHIBITED No part of the net earnings of the corporation shall insure to the benefit of,or be distributed to,its members,trustees,officers or other private persons except that the corporation shall be authorized and empowered to pay reasonable compensation for the services rendered and to make payments and distributions in furtherance of the purposes set forth in Article ill hereof.No substantial part of the activities of the corporation shall be the carrying on of propaganda,or otherwise attempting to influence legislation,and the corporation shall not participate in or intervene in (including the publishing or distribution of statements)any political campaign on behalf of any candidate for public office.Notwithstanding any other provision of these articles,the corporation shall not carry on any other activities not permitted to be carried on (a)by a corporation exempt from Federal Income Tax under section 501 (c)(3)of the intemal Revenue Code of 1954 (or the corresponding provision of any subsequent United States Internal Revenue Law)or (b)by a corporation,contributions to which are deductible under Section 170 (c)(2)of the Internal Revenue Code of 1954 (or the corresponding provision). ARTICLE VIII DISSOLUTION OF CORPORATION Upon the dissolution of the corporation,the Board of Directors shall,after paying or making provision for payment of all of the liabilities of the corporation,dispose of all of the assets of the corporation exclusively for the purposes ofthe corporation in such manner,or to such organization or organizations organized and operated exclusively for charitable,educational,religious or scientific purposes as shall at the time qualify as an exempt organization under Section 501 (c)(3)of the Internal Revenue Code of 1954 (or the corresponding provision of any subsequent United States Internal Revenue Code),as the Board of Directors shall determine.Any such assets not so disposed of shall be disposed of by the District Court of the county in which the principal office of the corporation is then located,exclusively for such purposes or to such organizations as said court shall determine are organized and operated exclusively for that purpose. 1 Dated this _day of "2003.
