Home My WebLink About2003-05-05-Resolutions 03-107_Energy Efficiency - Letter of UnderstandingTHE CITY OF WAUKEE,IOWA RESOLUTION 03-107 APPROVING LETTER OF UNDERSTANDING BETWEEN MIDAMERICAN ENERGY COMPANY,A-TEC ENERGY CORPORATION AND WAUKEE MUNICIPAL GAS IN THE NAME AND BY THE AUTHORITY OF THE CITY OF WAUKEE,IOWA WHEREAS,both Mid American Energy Co.and Waukee Municipal Gas utilize the services of A-TEC Energy Corp.to provide various energy efficiency fulfillment services including but not limited to home energy audits;AND, WHEREAS,Waukee Municipal Gas is interested in heightening the awareness of energy efficiency in Waukee and wishes to offer more opportunities for customers to save energy and increase comfort in their homes;AND, WHEREAS,MidAmerican Energy,A-TEe Energy and Waukee Municipal Gas have agreed to worlc together by 1.including in the A-TEC Energy audit of a Waukee Municipal Gas customer,the installation of energy efficient lighting products (up to two compact fluorescent and up to three halogen capsylite bulbs);and 2.if the WMG customer has au electric water heater,A-TEC will install an insulating water heater,six foot of water pipe insulation,up to two energy saving faucet aerators and up to two energy-saving showerheads;AND, WHEREAS,A-TEC will maintain detailed records of the installation of these electrical energy efficient products and will invoice MidAmerican for the installed costs through the Energy Efficiency Information System (EElS);AND, WHEREAS,the cooperation and coordination outlined in the Letter of Understanding attached hereto is not intended to limit the ways the parties can cooperate and is intended for the benefit ofthe people of Waukee. NOW THEREFORE BE IT RESOLVED by the City of Waukee City Council in session this 5th day of May 2003 that it hereby approves the Letter of Understanding between MidAmerican Energy Co.,A-TEC Energy Co.and Waukee Municipal Gas to provide more opportunities for Waukee customers of MidAmerican Energy and Waukee Municipal Gas to save energy and increase comfort in their homes. Attest: Mark J.Arents ,City Administrator/Cleric ROLL CALL VOTE Nicholas C.Gruber Donald L.Bailey,Jr. Bill Peard Mike Watts Council seal:vacant AYE X X X NAY ABSENT )X I Letter of Understanding Between MidAmerican Energy Company,A-TEC Energy Corp., and Waukee Municipal Gas I.Purpose and Background This Letter of Understanding (LOU)between Mid.American Energy Company (MidAmerican),A-TEC Energy Corp.(A-TEe)and Waukee Municipal Gas (WMG)is established to facilitate the coordination of energy efficiency programs for the benefit ofthe mutual utility customers of MidAmerican and WMG in Waukee,Iowa.A summary of each patty's current role prior to this LOU can be summarized as follows: v'MidAmerican provides electric service to Waukee. v'WMG provides natural gas service to Waukee. v'A-TEC,under contract with MidAmerican,provides various energy efficiency fulfillment services for MidAmerican and WMG in Waukee,including but not limited to,home energy audits. v'MidAmerican offers various energy efficiency programs in Waukee but is limited to electric programs as it is not the supplier of nat mal gas. v'WMG offers various energy efficiency programs in Waukee,but is limited to natural gas programs as it is not the supplier of electricity. IT.Methods of Cooperation In order to heighten the awareness of energy efficiency in Waukee and to offer more opportunities for customers to save energy and increase comfort in their homes, MidAmerican,A-TEC and WMG will work together in the following ways: Residential Audits and Lighting: v'When WMG performs a Home Fitness residential audit in Waukee for a qualifying customer that receives gas service from WMG and electric service from MidAmerican,the A -TEC auditor that performs the audit will install up to five energy-efficient lighting products (up to two compact fluorescent and up to three halogen capsylite bulbs)in the customer's home.A-TEC will maintain detailed records ofthe number of energy-efficient light bulbs installed and will invoice MidAmerican for the installed cost of the bulbs through the Energy Efficiency Information System (EElS). LOU-Waukee 4-29-03 agreement,5/9/2003 10f3 ,/In addition,if the qualifying customer has an electric water heater,A-TEC will install an insulating water heater blanket,six foot of water pipe insulation,up to two energy saving faucet aerators and up to two energy-saving showerheads.A-TEC will maintain detailed records ofthe number of electric water-heat based measures installed and will invoice MidAmerican for the installed cost of the electric water- heat measures through EElS.MidAmerican agrees to pay A-TEC directly for all measures installed through EElS. ,/Qualifying customers with natural gas water heaters may also receive water-heat measures,but these measures do not fall under this agreement since MidAmerican is not the provider of natural gas in Waukee. ,/Those who qualify for Home Fitness in Waukee must be residential customers whose primary heating fuel comes from WMG. Liability and Indemnification: WMG hereby agrees to indenmify,defend,and hold harmless Mid.American and A -TEC from any loss,liability,penalty,claim,damage,or expense,including MidAmerican and A- TEC's reasonable attorneys'fees and costs,arising from the installation of energy efficiency lighting products or recommendations made regarding the benefits of installing insulation or window products.MidAmerican and A-TEC do not guarantee that installation of energy- efficient measures will result in reduced usage or in cost savings.MidAmerican and A-TEC make no warranties,expressed or implied,with respect to any energy efficient lighting products,windows,insulation or any other energy efficient measures purchased and/or installed,including (but not limited to)any warranties of merchantability or fitness for a particular purpose.In no event shall MidAmerican and A -TEC be held liable for any incidental or consequential damages or injuries resulting from defective equipment or installation. MidAmerican and A-TEC shall indemnify and hold WMG harmless from any loss,claim,or damages,including reasonable attorneys'fees and costs,which (a)arises out of any negligent action,representation,or warranty by MidAmerican or A-TEe,or (b)arises out of the substandard installation of energy efficient lighting equipment performed by MidAmerican, A-TEC or one of its contractors. III.Concluding Points ,/This LOU provides a good outline of how the parties will work together to provide greater energy efficiency opportunities for the people of Waukee. ,/The LOU is not intended to limit the ways the parties can cooperate to the examples cited.If future opportunities become available in residential and/or commercial areas,the parties may agree to do more and this LOU can be amended or expanded to describe other areas of cooperation. LOU-Waukee 4-29-03 agreement,519/2003 2 on I ] I ./Any of the parties involved may cease cooperating on energy efficiency programs in Waukee upon providing thirty (30)days written notice to all of the signatories on this LOU.However,termination ofthe cooperation ontlined in the LOU will not in any way affect or change MidAmerican's responsibilities to provide Iowa Utilities Board (Board)mandated energy efficiency programs to its customers in Waukee in compliance with Board rules . ./The cooperation and coordination outlined in this LOU is for the benefit of the people of Waukee. This LOU will take effect on the date of the final signature indicated below.
