PARTICIPATION IN THE DES MOINES REGIONAL
TRANSIT AUTHORITY
WHEREAS,the following communities and Polk County filed of record the
Amended and Restated Agreement for Des Moines Regional Transit Authority,to wit:
City of Des Moines,Iowa;the City of Alleman,Iowa;the City of Altoona,Iowa;the City
of Ankeny,Iowa;the City of Bondurant,Iowa;the City of Carlisle,Iowa;the City of
Clive,Iowa;the City of Grimes,Iowa;the City of Johnston,Iowa;the City of
Mitchellville,Iowa;the City of Pleasant,Hill,Iowa;the City of Polk City,Iowa;the City
of Runnells,Iowa;the City of Sheldahl,Iowa;the City of Urbandale,Iowa;the City of
West Des Moines,Iowa;and the City of Windsor Heights,Iowa;filed of record in the
Office of the Recorder of Dallas County,Iowa,on May 23,2006,in Book 2006,Page
7867;filed of record in the Office of the Recorder of Polk COlIDty,Iowa on May 24,
2006,in Book 11667,Pages 143 through 193;filed ofrecord in the Office of the
Recorder of Warren County,Iowa on June 6,2006,in Book 2006,Page 5805;and filed
with the Iowa Secretary of State on June 19,2006 (hereinafter the "Intergovernmental
Agreement");and
WHEREAS,Des Moines Regional Transit Authority (the "Authority")approved a
motion to admit the City of Waukee,Iowa,to membership in the Authority on October
23,2007;and
WHEREAS,the City of Waukee,Iowa,at a regularly scheduled Council meeting
on November 5,2007,authorized membership as a Participating Community in the
Authority;and
WHEREAS,the City of Waukee and the Authority entered into a First Supplement
to Amended and Restated Agreement for the Des Moines Regional Transit Authority filed
with the Iowa Secretary of State on February 20,2008 (the "First Supplement");and
WHEREAS,since adoption of the First Supplement,the Authority has modified
the allocation of costs to Participating Members;and
WHEREAS,pursuant to the terms on the Intergovernmental Agreement and the
First Supplement,the City of Waukee's rights and obligations as a Participating
Community in the Authority will not commence until July 1,2008.

NOW,THEREFORE,BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF WAUKEE,row A:
Section 1.That the City Council determines it is in the best interest of the City of
Waukee to terminate its participation in the Authority.
Section 2.That Jeff Kooistra,as Waukee City Administrator,is hereby authorized
to take such actions as may be necessary to terminate the City's membership,and is
directed to provide necessary notice to the Des Moines Regional Transit Authority.
