RESOLUTION 08-200
APPROVING A SPONSORED PROJECT AGREEMENT BY AND BETWEEN IDRO
(INSTITUTE FOR DESIGN RESEARCH AND OUTREACH)AND THE CITY OF
WAUKEE RELATED TO A DESIGN PROPOSAL FOR DOWNTOWN CONCEPT
MASTERPLAN
IN THE NAME AND BY THE A UTHORITY OF THE CITY OF WAUKEE,IOWA
WHEREAS,the City of Waukee,Iowa is a duly organized municipality within Dallas County;
AND,
WHEREAS,on June 16,2008,the Waukee City Council approved a Letter of Agreement with
Iowa State University Extension (Community and Economic Development)to conduct a survey
related to attitudes and values of Waukee residents about the future growth of the downtown
business district (Resolution #08-146);AND,
WHEREAS,building upon the results of said survey,the Institute for Design Research and
Outreach (IDRO)has submitted a Sponsored Project Agreement,which is attached to this
resolution and made a part hereof,related to a design proposal for a Downtown Concept Master
Plan;AND,
WHEREAS,the Sponsored Project Agreement defmes the scope,timeline and budget for the
Survey;
NOW THEREFORE BE IT RESOLVED by the City of Waukee City Council in session this
18'h day of August 2008 that it hereby approves a Sponsored Project Agreement by and between
IDRO (Institute for Design Research and Outreach)and the City of Waukee related to a design
proposal for Downtown Concept Master Plan.

SPONSORED PROJECT AGREEMENT
This agreement Is for performance of a project by and between IDRO
(Institute for Design Research and Outreach),and:
City of Waukee
r'Sponsor").
Sponsor has proposed a project in collaborallon with IORO as detailed in
Exhibit A and detailed budget attached hereto,deemed Incorporated Into
and made an Integral part of this agreement.
The parties agree as follows:
ARTICLE 1 Scope of Work
The scope of work,timeline and budget for the project are detailed In
Exhibit A and incorporated herein.
ARTICLE 2 Grant Period
The grant period for this agreement is from August 15,2008 to January
31,2009.
ARTICLE 3 Key Personnel
Sponsor's principal investigator (PI)for the agreement is Brad Deets.
ISU's PI for this project shall be Monica Haddad.
ARTICLE 4 Reports and Other Dellverables
The Sponsor shall render any reports as listed in Exhibit A.
ARTICLE:5 Expenditures and Payment of Invoices
As compensation,Sponsor agrees to pay IDRO a fixed fee of $4654.00
in a manner as speclfled In Exhibit A.
An Invoice from ISU shall bo sent to the SPONSOR at this address:

Payment will M made upon receipt of proper lnvolces with the final
Invoice being due no later Ulan sixty (60)days after termination of each
budget period.
ARTICLE 6 Costs
All costs in Exhibit A include all direct and indirect costs of ISU.
ARTICLE 7 Rights in Data
ISU shall have the right to copyright,publish,disclose,disseminate and
use,In whole and in part,any date and information received or developed
under this Agreement.Sponsor shall have the right to duplicate and use
the Reports and other Dellverables as listed in Exhibit A for 'any public or
governmental purpose.It is also agreed by Sponsor that It will not under
any circumstances use the name of lORD,ISU,ISU Extension or its
employees in any edvertlsement,press release or publicity with
reference to this Agreement,without prior written approval of IORO.
ARTICLE B Default
[f ISU falls in whole or in part to substantially perform its obligations,
Sponsor,in addition to whatever legal remedy it may have In law or In
equity,shall have the right to terminate this agreement accordingly.
Sponsor shall give a written 30 day notice of termination.Upon receipt of
a termination notice,ISU shall taka all lrnrnedlate action to minimize all
expenditures and obllgatlons financed by this agreement and shall cancel.
unliquidated obligations as soon as possible.ISU will be compensated
for all actual and allowable expenses and all uncancellable obligations
properly incurred prior to that date of termlnetlon.ISU shall promptly
deliver to Sponsor all data,reports,summaries and such other
Informat1on and material as may have been prepared for and/or
accumulated by ISU in the performance of this agreement whether
completed or in process.
ARTICLE 9 Termlnatlon/Cancellation
This agreement may be terminated by allher party at any tlrne upon
Issuing of written notice slxty (60)days prior to terminatlon or at any time
upon mutual agreement of the parties.
ARTICLE 10 EnUre Agreement
This Agreement,Including any exhibits,attachments and prcvrsmns
Incorporated by reference,constitutes the entire agreement between the
parties hereto and supersedes all prior agreements,understandings and
arrangements,oral or written,among the parties hereto with respect to
the subject matter hereof.

SPONSORED PROJECT AGREEMENT
Exhibit A
In response to your PLaCE Program application,the following proposal is offered:
Design Proposal for Downtown Concept Master Plan
Project fee:$4654.00
A Master Plan will be produced for the downtown area in Waukee,Iowa.
Theproject will build upon a community survey being carried out in Summer 2008.Students will use
data from the survey results,along with field visits and input from a community meeting,to create
several scenarios for downtown development in Waukee.Students will hold one community meeting
early in the semester and a second community meeting later in the semester to present several scenarios
for development.Based on input from these meetings and input from Waukee representatives Ben
Landhauser and Brad Deets,students will create a report detailing their recommendations.Waukee
representatives will also make periodic visits to the studio class in Ames,giving their guidance,direction,
and input.
Waukee representatives will be responsible for making logistical arrangements for the two class meetings
in Waukee as well as publicizing and recruiting meeting participants.
Products you can expect from us would include 5 copies of a written report and several graphic display
boards,suitable for use in public meetings or for building public interest.A CD will also be provided
which can be used to print any of this data.
The fee will cover hourly wages for one graduate student course assistant,our transportation,supplies,
printing,and copying costs.A first payment of $2327.00 will be due October 1,2008 ,and the second
payment will be expected upon delivery of the final report and drawings.
