RESOLUTION 09-141
A RESOLUTION INSTITUTING OF EMERGENCY PROCEEDINGS UNDER IOWA
CODE 384.103 (2009)AND APPROVAL OF AN AGREEMENT WITH MCANINICH
CORPORATION CONCERNING EMERGENCY REPAIRS
IN THE NAME AND BY THE AUTHORITY OF THE CITY OF WAUKEE,IOWA
WHEREAS,the City of Waukee,Dallas County,State ofIowa,is a duly organized Municipal
Organization;AND,
WHEREAS,the City experienced heavy rains throughout the month of June,which led to the
collapse of storm sewer infrastructure under Little Creek Drive at or about its intersection with
Warrior Lane in the City of Waukee,Iowa.The collapse led to a partial washout of Little Creek
Drive which is presently a gravel road;AND,
WHEREAS,the collapse of the sewer infrastructure and road washout pose an immediate
danger to the traveling public,The dangers to the public are exacerbated even further by the
potential for further washout of the roadway with very little rainfall due to the complete failure
of the storm sewer infrastructure at this time under the roadway;AND,
WHEREAS,Veenstra &·Kimm,licensed engineers,have certified that the emergency repairs
are necessary and the City Council of the City of Waukee hereby fmds that the emergency work
is necessary and institutes Emergency Proceedings pursuant to section 384.103 of the Iowa Code
(2009);AND,
WHEREAS,John Gibson,the public works director,has contacted three contractors to
determine interest in availability for emergency work at Little Creek Drive and McAninich
Corporation is the only contractor presently available in short order to assist in the completion of
the emergency work.
BE IT THEREFORE RESOLVED on this the 6th day of July 2009 by the City Council of the
City of Waukee that the emergency work is necessary on Little Creek Dr.within the City and
institutes Emergency Proceedings pursuant to section 384.103 of the Iowa Code (2009).
BE IT FURTHER RESOLVED that the attached contract between the City of Waukee and
McAninich Corporation is hereby ratified and approved.

("McAninch")and if accepted.shall constitute a binding contract between the parties.Any changes ill
this Agreement made by the offeree shall constitute a counter offer and shall not be binding on
McAninch unless such changes are accepted in writing.The parties hereto may mutually execute a

No.2 (the "Permit"),Owner will pay all fees associated.WlUl obtaining the Permit and will keep the
Permit current for the entire time MCMJlneh is an operator Oil the project.Owner will retain a
professional erosion and sediment control company to provide comprehensive storm water
management on the projllQt.The professional erosion and sediment control company will be solely
responsible for an storm waNr issues for the duration of thne ilIa!McAninch is conducting work on
the project.

Prevention riM (SWPPl')has been developed by a properly lieenoed and/nr certified engineer or

e.Once McAuilJCh's work on the Project.is complete,Owner,their agents,assigns,heirs,
and/or building ooutractors will take all necessary precautions to prevent,stabilize,an,Vor control
erosion on the Project,to prevent sediment migration and soil erosion from extending beyond the
boundaries of the l'l'qjeot,and,ill the event it occurs,to CIOl111 up (Ill eroded sediment and to restore
all aff~(l\ed areas to their originul condition.
f.Owner shall comply with t,ll applloable Federal,State end lceal erosion control laws,
ordinnnces and permits which pertam to iJle Proj00t,including,but not limited to,becoming a
transferee of the Permit.This transfer shall effectively and,constructively remove MoAninch as a
party to the Permit.
g.The Owner'shall hold MoAninch harmless from any and all claims arising from any and
all storm water or storm water related cltati.ons Issued 'by any Federal,State,or lo,cal govemmental
agencies.Furthermore,OW)lC!:shall tWf~nd,tlldelnni'lY andllold McAllll1cll harmless from My and all
civi laotians which may result from storm water or storm wnter ",I.tOO activities.In any claim made
against or citation issued 00 McAni.neh as a result of storm water,erosion,or sediment related to the
I'r~ect.Owner shall defend,indemni'lY and hold McAninch harmless frorn any and all claims,
damages,fines,attorney fees,assessments,levies,or ot)ler costs incurred by McAninc!l related to the
cir.don or-claim,MoAn inch shall have the right eo-choose its own defense counsel and experts to be
]Jald for by Owner.
h.It is expressly understood that McAninch will not provide PCIDlJt compliance
inspccrlons,and/or reports 011 the status of the Project's erosion controt devices,updat<l erosion
ooutrol plans,and will not design erosion control facilitles,
14.Storm Water Pcrmtttlng Obligations
Contractor shnll not,it.any manlier or at any time,be responsible or liable for storm
water discharge permitting or comphance under any ibdeml,state or local slatllte"rule,regulation or
ordinance.
It shnll be Ihe sole re,pQnsibillty of Owner to ensure Ulat the Project <lompUes with aU
storm water discharge requirements.At all times,Owner shall have sale operntionnl oOlltrQl for
purposes of storm water discharge'complimice,Wi.th regurd '!{,ibe Project and all rcal property
affected by the Project,Coniractor shall IIni be Tesponsibl~01'Hable,and Owner sbull be responsible
