HomeMy WebLinkAbout2012-09-17-Resolutions 12-209_NE Dartmoor Dr Extension - Development AgrTHE CITY OF WAUKEE,IOWA RESOLUTION 12-209 RESOLUTION APPROVING A DEVELOPMENT AGREEMENT AND PROMISSORY NOTE AND MORTGAGE CONCERNING THE EXTENSION OF NE DARTMOOR DRIVE IN THE NAME AND BY THE AUTHORITY OF THE CITY OF WAUKEE,IOWA WHEREAS,improvements are being undertaken by the City on the extension ofNE Dartmoor Drive approximately 2,200 feet north of Hickman Road;AND WHEREAS,the improvements include the extension of water main,sanitary sewer,grading and street paving,in accordance with design specifications approved by the City;AND WHEREAS,West Bancorporation,Inc.(hereinafter referred to as "Property Owner")is the owner of certain property through which the improvements will be made and whose property will benefit from the improvements;AND WHEREAS,in order to assist and induce the City to undertake the improvements Property Owner has agreed to reimburse the City for all costs incurred by the City in connection with such extension and to dedicate the Right of Way,Public Utility Easements and Construction Easements necessary to complete the improvements,and in consideration of said payment the City agrees to commence the improvements,subj ection to the terms of the Development Agreement and Promissory Note and Mortgage. BE IT THEREFORE RESOLVED by the City Council of the City of Waukee on this 17th day of September,2012,that the agreement attached as Exhibit A and Exhibit B should be and the same is hereby approved. RECITALS: WHEREAS,Property Owner is the owners of certain property legally described on Exhibit "A":and WHEREAS,Property Owner is desirous of pursuing the extension of NE Dartmoor Drive and certain utility infrastructure to its Northern property line and perceives that said extension will benefit Property Owner;and WHEREAS,the improvements associated with the extension include approximately 360 feet of 8 inch water main,8 inch sanitary sewer and concrete street (24 foot width with no curb and gutter)extending NE Dartmoor Drive to property owners northern property line in accordance with design specifications approved by the City,in its sole discretion,hereinafter to referred to as the "Project";and WHEREAS,as the property adjacent to the Project is developed,Property Owner understands and agrees that the owner/developer shall be required to complete the storm sewer and curb and gutter adjacent to that portion of its property being developed;and WHEREAS,to induce the City to Project,Property Owner agrees to reimburse the City for all costs incurred by the City in connection with such extension and to dedicate the Right of Way,Public Utility Easements and Construction Easements necessary to complete the improvements; WHEREAS,in furtherance of the Project,Property Owner proposes to dedicate Right- of-Way as shown on Exhibit "B",the Public Utility Easement as shown on Exhibit "C",the Sanitary Sewer Easement as shown on Exhibit "D",the Storm Sewer Easement as shown on Exhibit "E"and the Temporary Construction Easement (to be terminated one (I)year after completion and final acceptance by the City of the construction of the Project)as shown on Exhibit "F";and Book 2012 Page 18660 2 of 17 NOW,THEREFORE,the City and Property Owner,in consideration of the promises and mutual obligations set forth in this Development Agreement,and in reliance thereon,and for such other good and valuable consideration,the receipt and sufficiency of which is hereby acknowledged,agree as follows: I.Property Owner hereby agrees to dedicate Right-of-Way as shown on Exhibit "B",the Public Utility Easement as shown on Exhibit "COO,the Sanitary Sewer Easement as shown on Exhibit "D",the Storm Sewer Easement as shown on Exhibit "E"and the Temporary Construction Easement (to be terminated one (1)year after completion and final acceptance by the City of the construction of the Project)as shown on Exhibit "F",on or before the 15th day of October,2012.The PUE,Sanitary Sewer Easement,Storm Sewer Easement and the Temporary Easement shall be in the form utilized by the City. 2.Property Owner understands and agrees that the Project is preliminary in nature and does not include storm sewer and curb and gutter.Property Owner understands it will be responsible for installing Storm Sewer and Curb and Gutter as the property adjacent to the project area develops in accordance with the requirements of the City. 3.Property Owner Agrees,in order to assist and induce the City to undertake the improvements,to make payment to the City in the amount of equal to the actual cost of the Project (currently estimated at $145,862.40)payable 30 days from final completion and acceptance of the project by the City. 4.In consideration of said payment the City agrees to complete the Project.The City shall have the right to cause the project to be constructed in accordance with such plans and specifications,as it shall deem appropriate.The Construction of the Project shall be under the supervision of the Engineer determined by the City. 5.It is intended that this Agreement shall run with the land and that it shall,in any event and without regard to technical classifications or designations,legal or otherwise,and except only as otherwise specifically provided in this Agreement,be binding for the benefit and in favor of,and enforceable by the City against Property Owner,its successors and assigns,and every successor-in-interest to any of the Property Owner or any part thereof,or any interest thereof,and any party in possession or occupancy of any of the property or any part thereof. 6.This Agreement shall be construed in accordance with the laws of the State of Iowa. 7.This Development Agreement shall constitute the entire agreement between the City and Property Owner and supersedes all other written or oral agreements,discussions and negotiations regarding the subject matter herein in connection with the Project.The terms of this Development Agreement may not be amended except in writing by agreement of the City and Property Owner. -2- Book 2012 Page 18660 3 of 17 8.This Agreement is executed in two counterparts,each of which shall constitute one and the same instrument.A copy of this Agreement,including all Exhibits,shall be maintained in the office of the City Clerk of the City.
