RESOLUTION 12-288
APPROVING CERTAIN WARRANTY DEEDS AND EASEMENTS RELATED
TO ALICE'S ROAD CORRIDOR PROJECT
IN THE NAME AND BY THE AUTHORITY OF THE CITY OF WAUKEE,IOWA
WHEREAS,the City of Waukee,Dallas County,State ofIowa,is a du1y organized
Municipal Organization;AND,
WHEREAS,it has been determined that the certain warranty deeds and easements are
necessary for the purpose of construction of the Alice's Road Corridor Project south of
University Avenue in Waukee (the "Project")
WHEREAS,said warranty deeds and easements shall be located on portion of property
owned by the property owners listed below,and legally described as noted in said
warranty deeds and easements:
I)Ashworth Properties Development,Inc.(Warranty Deed "A,"Warranty Deed "D
and E,"Public Utility Easement,Temporary Construction Easement "C,"and
Temporary Construction Easement "F,"all such documentation attached hereto as
Exhibit #1);and
2)Beasley Farms,Inc.(Warranty Deed,Public Utility Easement,and Temporary
Construction Easement,all such documentation attached hereto as Exhibit #2).
3)Richard W.Giles Revocable Trust,Linda M.and Dallas Hakeman,and Marlene
M.and Dan Warren (Warranty Deed,Public Utility Easement,and Temporary
Construction Easement,all such documentation attached hereto as Exhibit #3).
NOW THEREFORE BE IT RESOL YED by the City of Waukee City Council in
session this 27th day of December,2012,that the Warranty Deeds and Easements
referenced above and attached as exhibits hereto are hereby approved.
BE IT FURTHER RESOL YED that the City Clerk shall cause the originals to be
recorded upon the properties by submitting the original to the Dallas County Recorder
with the appropriate recording fees.

PUBLIC UTILITY EASEMENT
KNOW ALL MEN BY TIffiSE PRESENTS:
That the undersigned,ASHWORTH PROPERTIES DEVELOPMENT,INC.,an Iowa
limited liability company,hereinafter referred to as "Grantor",in consideration of the sum of one
dollar ($1.00),and other valuable consideration,in hand paid by the City of Waukee,Iowa,
receipt of which is hereby acknowledged,does hereby sell,grant and convey unto the City of
Waukee,Iowa,a municipal corporaticn,in the County of Dallas,State ofIowa,hereinafter
referred to as "Grantee"or "City",a permanent easement under,through,and across the
following described real estate:
A public utility easement which is more particularly described as follows:
See Attached Exhibit "B"(the "Easement Area")
That the above described easement is granted unto the City of Waukee,Iowa,for the
purpose of constructing,reconstructing,repairing,replacing,enlarging,inspecting and
maintaining any and all utilities including,but not limited to,sanitary sewer facilities,Storm
Sewer,Trunk sewers,electric,water,gas,phone,cable and any and all-other utilities or facilities
deemed appropriate by the city.
1.Erection alld Placement of Structures,Obstructions,Plantings or Materials
Prohibited.Grantor and its grantees,assigns and transferees shall not erect any fence or other
structure under,over,on,through,across or within the Easement Area without obtaining the
prior written consent of the City,nor shall Grantor cause or permit ally obstruction,planting or
material to be placed under,over,on,through,across or within the Easement Area without
obtaining the prior written consent of the City.
2.Maintenallce of Easement.The owner or occupant of the Lot shall keep and
preserve that portion of the easement within his properly in good repair and condition at all
times,and shall not plant nor permit to grow any trees or other vegetative growth within the

Easement Area which might reasonably be expected to obstruct or impair the utilities located
within the Easement Area.
3.Change of Grade Prohibited.Grantor and its successors,assigns and transferees
shall not change the grade,elevation or contour of any part of the Easement Area without
obtaining the prior written consent of the City.The City shall have the right to restore any
changes in grade,elevation or contour without prior written consent of the Grantor,its
successors,assigns or transferees.
4.Right of Access.The City shall have the right of access to the Easement Area and
have all rights of ingress and egress reasonably necessary for the use and enjoyment of the
Easement Area from property adj acent thereto as herein described,including but not limited to,
the right to remove any unauthorized fences,structures,obstruction,planting or material placed
or erected under,over,on,through,across or within the Easement Area.
5.Property to be Restored,Upon completion of any construction,reconstruction,
repair,enlargement or maintenance of any improvements in any Easement Area,the City shall
restore the Easement Area in good and workmanlike manuel'to a condition comparable to its
condition before construction,reconstruction or alteration as set forth below.
The Easement Area described herein shall be restored to a condition similar to that which existed
prior to the performance of work by the City,including the sodding of the grassy areas disturbed
by the work.The City shall also be responsible for removal of all debris,spoils,equipment,etc.
used by the City in connection with the work performed in the Easement Area.The City is not
responsible for replacing any other thing including located or existing within the Easement Area
including but not limited to vegetation,trees,shrubs,watering devices 01'any other planted,
buried 01'any other thing of any kind whatsoever.
6.Liability.Except as may be caused by the negligent acts or omissions of the City,
its employees,agents 01'its representatives,the City shall not be liable for injury 01'property
damage occurring in or to the Easement Area,the property abutting said Easement Area,nor for
property damage 01'any improvements or obstructions thereon resulting from the City's exercise
of this Easement.Grantor agrees to indemnify and hold City,its employees,agents and
representatives harmless against any loss,damage,injury 01'any claim or lawsuit for loss,
damage or injury arising out of or resulting from the negligent or intentional acts or omissions of
Grantor or its employees,agents or representatives.
7.Easement Benefit.This Easement shall be for the benefit of the City,its
successors and assigns,and its permittees and licensees.
8.Easement Runs with Land.This Easement shall be deemed perpetual and to run
with the land and shall be binding on Grantor and on Grantor's successors,assigns and
transferees.
9.Consent and Subordination of Mortgage Holder(s)'By signing this Agreement,
the undersigned lender,its successors and assigns consents to the terms of this easement
agreement and hereby subordinates its interest in the Easement Area to the interest of the City
and its successors and assigns.

10.Approval by City Council.This Easement shall not be binding until it has
received the final approval and acceptance by the City Council by Resolution which approval
and acceptance shall be noted on this Easement by the City Clerk.
11.Hold Harmless.The Grantor(s)agrees to indemnify and hold harmless the City,
its elected officials,employees,officers,agents,representatives,contractors,and attorneys from
and against any and all claims or demands for liability,loss,damage,costs,expenses,or
attorney's fees of any kind for actions or omissions of the Grantor(s)arising out of or in
connection with any undertaking arising out of or otherwise related to this Easement.
12.Jurisdiction and Venue.The City and the Grantor(s)agree that the District Court
in and for the State of Iowa shall have exclusive jurisdiction over the subject matter and
enforcement of the terms and conditions of this Easement and said parties shall consent to the
jurisdiction of Dallas County,Iowa.
13.Attorney's Fees.The City may enforce this instrument by appropriate action,and
should they prevail in such litigation they shall recover as part of their costs the reasonable
attorney's fees incurred in such litigation.
That the Grantor does hereby covenant with the said Grantee,that said Grantor holds said
real estate by title and fee simple;that it has good and lawful authority to sell and convey the
same;that said premises are free and clear of all liens and encumbrances whatsoever,except as
may be herein stated;that said Grantor covenants to warrant and defend the said premises against
the lawful claims of all persons whomsoever,except as may be herein stated.

Iowa limited liability company,hereinafter collectively referred to as "Grantor",in consideration
of the sum of One Dollar ($1:00),and other valuable consideration,in hand paid by the City of
Waukee,Iowa,receipt of which is hereby acknowledged,do hereby sell,grant and convey unto
the City of Waukee,Iowa,a municipal corporation,in the County of Dallas,State of Iowa,
hereinafter referred to as "Grantee",a temporary construction easement under,through,and
across the following described real estate:
See Attached Exhibit "C"(the "Easement Area")
That tile above-described easement is granted unto the City of Waukee ,Iowa,for the
purpose of construction and installation of the following public improvements:
CONSTRUCTION OF ALICE'S ROAD PHASE 1
This temporary construction easement shall terminate and be of no force and effect one
(1)year after the date offinal completion and acceptance of said completed improvements by the
City.
The Grantee agrees to restore the Easement Area to a condition after construction
substantially the same as prior to entry by the Grantee,except for any grading and above ground
improvements which shall remain in place as part of the improvement.The surface of the
Easement Area will be seeded or sodded andlor left in its natural state as shown on the proposed
plans for the project.

The Grantor agrees that the improvements proposed herein,and the reasonable restoration
of their property,as set forth in this easement aforesaid,shall be full and complete satisfaction
and consideration of and for this easement,and Grantor expresses agreement that no other
liability shall attach or be charged or claimed against the Grantee as a result of or because of the
construction of the improvement intended,or the use of the easement herein granted.
The Grantor does hereby covenant with the said Grantee,and successor-in-interest,that
said Grantor holds said real estate by title and fee simple;has good and lawful authority to sell
and convey the same;that said premises are free and clear of all liens and encumbrances
whatsoever,except as may be herein stated;that said Grantor covenants to warrant and defend'
the said premises against the lawful claims of all persons whomsoever,except as may be herein
stated.

PUBLIC UTJlLITY EASEMENT
KNOW ALL MEN BY THESE PRESENTS:
That the undersigned,Beasley Farms,Inc.,an Iowa corporation,hereinafter referred to as
"Grantor",in consideration of the sum of one dollar ($1.00),and other valuable consideration,in
hand paid by the City of Waukee,Iowa,receipt of which is hereby acknowledged,does hereby
sell,grant and convey unto the City of Waukee,Iowa,a municipal corporation,in the County of
Dallas,State ofIowa,hereinafter referred to as "Grantee"or "City",a permanent easement
under,through,and across the following described real estate:
A public utilityeasement which is more particularly described as follows:
See Attached Exhibit "B"(the Easement Area)
That the above described easement is granted unto the City ofWaulcee,Iowa,for the
purpose of constructing,reconstructing,repairing,replacing,enlarging,inspecting and
maintaining any and all utilities including,but not limited to,sanitary sewer facilities,Storm
Sewer.Trunk sewers,electric,water,gas.phone,cable and any and all other utilities or facilities
deemed appropriate by the city.
1.Erection and Plaoement of Structures,Obstructions,Plantings or Materials
Prohibited,Grantor and its grantees,assigns and transferees shall not erect any fence 01'other
structure under,over,on,through,across or within the Easement Area without obtalning the
prior written consent of the City,nor shall Grantor cause or permit any obstruction,planting or
material to be placed under,over,on,through,across or within the Easement Area without
obtaining the prior written consent of the City.
2.Maintenance of Easement.The owner or occupant of the Lot shall keep and
preserve that portion of the easement within his property in good repair and condition at all
times,and shall not plant nor permit to grow any trees or other vegetative growth within the

Easement Area which might reasonably be expected to obstruct or impair the utilities located
within the Easement Area.
3.Change of Grade Prohibited.Grantor and its successors,assigns and transferees
shall not change the grade,elevation or contour of any part of the Easement Area without
obtaining the prior written consent of the City.The City shall have the right to restore any
changes in grade,elevation 01'contour without prior written consent of the Grantor,its
successors,assigns 01'transferees.
4.Right of Access.The City shall have the right of access to the Easement Area and
have all rights of ingress and egress reasonably necessary for the use and enj oyment of the
Easement Area from property adjacent thereto as herein described,including but not limited to,
the right to remove any unauthorized fences,structures,obstruction,planting or material placed
or erected under,over,on,through,across or within the Easement Area.
5.Property to be Restored.Upon completion of .any construction,reconstruction,
repair,enlargement or maintenance of any improvements in any Easement Area,the City shall
restore the Easement Area in good and workmanlike manner to a condition comparable to its
condition before construction,reconstruction or alteration as set forth below.
The Easement Area described herein shall be restored to a condition similar to that which existed
prior to the performance of work by the City,including the sodding of the grassy areas disturbed
by the work,The City shall also be responsible for removal of all debris,spoils,equipment,etc.
used by the City in connection with the work performed in the Easement Area.The City is not
responsible for replacing any other thing including located or existing within the Easement Area
including but not limited to vegetation,trees,shrubs,watering devices or any other planted,
buried or any other thing of any kind whatsoever.
6.Liability.Except as may be caused by the negligent acts or omissions of the City,
its employees,agents or its representatives,the City shall not be liable for injury or property
damage occurring in or to the Easement Area,the property abutting said Easement Area,nor for
property damage or any improvements or obstructions thereon resulting from the City's exercise
of this Easement.Grantor agrees to indemnify and hold City,its employees,agents and
representatives harmless against any loss,damage,iajury or any claim or lawsuit for loss,
damage or injury arising out of or resulting from the negligent or intentional acts or omissions of
Grantor or its employees,agents or representatives.
7.Easement Benefit.This Easement shall be for the benefit of the City,its
successors and assigns,and its permittees and licensees.
8.Easement Runs with Land.This Easement shall be deemed perpetual and to run
with the land and shall be binding on Grantor and on Grantor's successors,assigns and
transferees.
9.Consent and Subordination of Mortgage Holderts),By signing this Agreement,
the undersigned lender,its successors and assigns consents to the terms of this easement
agreement and hereby subordinates its interest in the Easement Area to the interest of the City
and its successors and assigns.

10.Approval by City Council.This Easement shall not be binding until it has
received the final approval and acceptance by the City Council by Resolution which approval
and acceptance shall be noted on this Easement by the City Clerk.
11.Hold Harmless.The Grantor(s)agrees to indemnify and hold harmless the City,
its elected officials,employees,officers,agents,representatives,contractors,and attorneys from
and against any and all claims or demands for liability,loss,damage,costs,expenses,or
attorney's fees of any kind for actions or omissions of the Grantor(s)arising out of or in
conuection with any undertaking arising out of or otherwise related to this Easement.
12.Jurisdiction and Venue.The City and the Grantor(s)agree that the District Court
in and for the State of Iowa shall have exclusive jurisdiction over the subject matter and
enforcement of the terms and conditions of this Easement and said parties shall consent to the
jurisdiction of Dallas County,Iowa.
13.Attorney's Fees.The City may enforce this instrument by appropriate action,and
should they prevail in such litigation they shall recover as part of their costs the reasonable
attorney's fees incurred in such litigation.
That the Grantor does hereby covenant with the said Grantee,that said Grantor holds said
real estate by title and fee simple;that it has good and lawful authority to sell and convey the
same;that said premises are free and clear of all liens and encumbrances whatsoever,except as
may be herein stated;that said Grantor covenants to warrant and defend the said premises against
the lawful claims of all persons whomsoever,except as may be herein stated.

TEMPORARY CONSTRUCTION EASEMENT
KNOW ALL MEN BY THESE PRESENTS:
That we,the undersigned,BEASLEY FARMS,INC.,an Iowa limited liability company,
and Charles S.and Terry I.Swallow Trust,hereinafter collectively referred to as "Grantor",in
consideration of the sum of One Dollar ($1.00),and other valuable consideration,in hand paid
by the City of Waukee,Iowa,receipt of which is hereby acknowledged,do hereby sell,grant and
convey unto the City of Waukee,Iowa,a municipal corporation,in the County of Dallas,State of
Iowa,hereinafter referred to as "Grantee",a temporary construction easement under,through,
and across the following described real estate:
See Attached Exhibit "C"("Easement Area")
That the above-described easement is granted unto the City of Waukee,Iowa,for the
purpose of construction and installation of the following public improvements:
CONSTRUCTION OF ALICE'S ROAD PHASE 1
This temporary construction easement shall terminate and be of no force and effect one
(1)year after the date of final completion and acceptance of said completed improvements by the
City.
The Grantee agrees to restore the Easement Area to a condition after construction
substantially the same as prior to entry by the Grantee,except for any grading and above ground
improvements which shall remain in place as part of the improvement.The surface of the
Easement Area wiil be seeded or sodded andior left in its natural state as shown on the proposed
plans for the project.

The Grantor agrees that the improvements proposed herein,and the reasonable
restoration of their property,as set forth in this easement aforesaid,shall be full and complete
satisfaction and consideration of and for this easement,and Grantor expresses agreement that no
other liability shall attach or be charged or claimed against the Grantee as a result of or because
of the construction of the improvement intended,or the use of the easement herein granted.
The Grantor does hereby covenant with the said Grantee,and successor-in-interest,that
said Grantor holds said real estate by title and fee simple;has good and lawful authority to sell
and convey the same;that said premises are free andclear of all liens and encumbrances
whatsoever,except as may be herein stated;that said Grantor covenants to warrant and defend
the said premises against the lawful claims of all persons whomsoever,except as may be herein
stated.

PUBLIC UTILITY EASEMENT
KNOW ALL MEN BY THESE PRESENTS:
The undersigned,Richard W.Giles and Carolyn A Giles as Trustees of the Richard \V.Giles Revocable Trust under
Agreement dated June 24,1999,Linda M.Bakeman and Dallas Hakeman,wile and husband,Marlene M.Warren
and Dan Warren,wife and husband,hereinafter referred to as "Grantors",in consideration ofthe sum of one dollar
($1.00),and other valuable consideration,in hand paid by the City of Waukee,Iowa,receipt of which is hereby
acknowledged,do hereby sell,grant and convey unto the City of Waukee,Iowa,a municipal corporation,in the
County of Dallas,State of Iowa,hereinafter referred to as "Grantee"01'«City",a permanent public utility easement
under,through,and across the real estate as described on Exhibits "B-1"and "B-2"(the "Easement
Area"),
The above described easement is granted unto the City of Waukee,Iowa,for the purpose
of constructing,reconstructing,repairing,replacing,enlarging,inspecting and maintaining any
and all utilities including,but not limited to,sanitary sewer facilities,Storm Sewer,Trunk
sewers,electric,water,gas,phone,cable and any and all other utilities or facilities deemed
appropriate by the city.
L Erection and Placement of Structures,Obstructions,Plantings or Materials
Prohibited.Grantors and their grantees,assigns and transferees shall not erect any fence or other
structure under,over,on,through,across or within the Easement Area without obtaining the
prior written consent of the City,nor shall Grantors cause or permit any obstruction,planting or
material to be placed under,over,all,through,across or within the Easement Area without
obtaining the prior written consent of the City.The owner or occupant ofthe Easement Area
also shall not plant or permit to grow any trees or other vegetative growth within the Easement
Area which might reasonably be expected to obstruct or impair the utilities located within the
Easement Area.
2.Change of Grade Prohibited.Grantors and their successors,assigns and
transferees shall not change the grade,elevation or contour of any part of the Easement Area
without obtaining the prior written consent of the City.The City shall have the right to restore

any changes in grade,elevation or contour without prior written consent of the Grantors,its
successors,assigns or transferees.
3.Right of Access.The City shall have the right of reasonable access to the
Easement Area and have all rights of ingress and egress reasonably necessary for the use and
enjoyment of the Easement Area from property adjacent thereto,including but not limited to,the
right to remove any unauthorized fences,structures,obstruction,planting or material placed or
erected uuder,over,on,through,across or within the Easement Area.
4.Property to be Restored.Upon completion of any construction,reconstruction,
repair,enlargement or maintenance of any improvements in any Easement Area,the City shall
restore the Easement Area in good and workmanlike manner to a condition comparable to its
condition before construction,reconstruction or alteration as set forth below.
The Easement Area described herein shall be restored to a condition similar to that which existed
prior to the performance of work by the City,including the sodding of the grassy areas disturbed
by the work.The City shall also be responsible for removal of all debris,spoils,equipment,etc.
used by the City in connection with the work performed in the Easement Area.The City is not
responsible for replacing any other thing including located or existing within the Easement Area
including but not limited to vegetation,trees,shrubs,watering devices or any other planted,
buried or any other thing of any kind whatsoever.
5.Easement Benefit.This Easement shall be for the benefit of the,City,its
successors and assigns,and its permittees and licensees.
6,Easement Runs with Land.This Easement shall be deemed perpetual and to run
with the land and shall be binding on Grantors and On Grantors'snccessors,assigns and
transferees.
7.Approval by City Council.This Easement shall not be binding until it has
received the final approval and acceptance by the City Council by Resolution which approval
and acceptance shall be noted on this Easement by the City Clerk.
8.Jurisdiction and Venue.The City and the Grantors agree that the District Court in
and for the State of Iowa shall have exclusive jurisdiction over the subject matter and
enforcement of the terms and conditions of this Easement and said parties shall consent to the
jurisdiction of Dallas County,Iowa.
9.Attorney's Fees.The City may enforce this instrument by appropriate action and
the prevailing party in such litigation shall be entitled to recover as part of their costs the
reasonable attorney's fees incurred in such litigation.
10.The Grantors do hereby covenant with the said Grantee,that said Grantors hold
said real estate by title in fee simple;that they have good and lawful authority to sell and convey
the easement rights granted herein;that said premises are free and clear of all liens and
encumbrances whatsoever,except as may be herein stated;and that said Grantors covenant to

TEMPORARY CONSTRUCTION EASEMENT
KNOW ALL MEN BY THESE PRESENTS:
That we,thc undersigned,Richard W.Giles and Carolyn A.Giles as Trustees of the
Richard W.Giles Revocable Trust under Agreement dated June 24,1994,Linda M.Hakeman
and Dai1as Hakeman,wife and husband,Marlene M.Warren and Dan Warren,wife and
husband,hereinafter collectively referred.to as "Grantors'',in consideration of the sum of One
Dollar ($1.00),and other valuable consideration,in hand paid by the City of Waukee,Iowa,
receipt of which is hereby acknowledged,do hereby sell,grant and convey unto the City of
Waukee,Iowa,a municipal corporation,in the County of Dallas,State oflowa,hereinafter
referred to as "Grantee";a temporary construction easement under,through,and across the real
estate as described on Exhibits "C-1"and "C-2"(the "Easement Area").
That the above-described easement is granted unto the City of Waukee,Iowa,for the
pUlpose of construction and installation of the following public improvements:
CONSTRUCTION OF ALICE'S ROAD PHASE 1
This temporary constructi on easement shall terminate and be of no force and effect one
(1)year after the date of final completion and acceptance of said completed improvements by the
City,and Grantee agrees that it will immediately after such date of fmal completion and
acceptance file with the appropriate local recording authority a statement evidencing the
termination of the temporary construction easement rights granted hereby.
Upon completion of any construction,reconstruction,repair,enlargement or maintenance
of any improvements in any Easement Area,the City shall restore the Easement Area in good
and workmanlike manner to a condition comparable to its condition before construction,
reconstruction or alteration as set forth below,

The Easement Area described herein shall be restored to a condition similar to that which
existed prior to the performance of work by the City,including the sodding of the grassy areas
distnrbed by the work.The City shallalso be responsible for removal of all debris,spoils,
equipment,etc.used by the City in connection with the work performed in the Easement Area.
The City is not responsible for replacing any other thing including located or existing within the
Easement Area including but not limited to vegetation,trees,shrubs,watering devices or any
other planted,buried or any other thing of any kind whatsoever
The Grantors do hereby covenant with the said Grantee,that said Grantors hold said real
est~te by title in fee simple;that they have good and lawful authority to sell and convey the
easement rights granted herein;that said premises are free and clear of all liens and
encumbrances whatsoever,except as may be herein stated;and that said Grantors covenant to
warrant and defend the said premises against the lawful claims of all persons whomsoever,
except as may be herein stated.
