(paragraphs deleted) ARTICLE 1 DESIGNER'S RESPONSIlILlllES The Designer shall provide services for the Project as described in this Agreement in a manner consistent with locally accepted standards for professional skill and care.The Designer shall assist the Owner in determining consulting services required for the Project.The Designer's services include consulting services described in Scope of Services dated April I,2013. ARTICLE 2 OWNER'S RESPONSIBILITIES The Owner shall provide full information about the objectives,schedule,constraints and existing conditions of the Project,and shall establish a budget that includes reasonable contingencies and meets the Project requirements.The Owner shall provide decisions and furnish required inform ation as expeditiously as necessary for the orderly progress of the Project.The Designer shall be entitled to rely on the accuracy and completeness of the Owner's information. The Owner shall furnish consulting services not provided by the Designer,but required for the Proj ect,such as surveying,which shall include property boundaries,topography,utilities,and wetlands information;geotechnical engineering;and environmental testing services.The Owner shall employ a Contractor,experienced in the type of Project to be constructed,to perform the construction Work and to provide price information. §2.1 To the fullest extent permitted by law,the Owner shall defend,indemnify,and hold harmless the Designer,its consultants and agents,and employees of any of them,from and against any and all claims,damages,awards,losses and expenses,including butnotlimited to attorneys'fees,arising out of or resulting from information furnished by the Owner,its consultants or agents.or employees of any of them. ARTICLE 3 USE OF DOCUMENTS Drawings,specifications and other documents prepared by the Designer are instruments of the Designer's service and are for the Owner's use solely with respect to this Project.The Designer shall retain all common law,statutory and other reserved rights,including the copyright Upon completion of the Project or termination of this Agreement,the Owner's right to use the instruments of service shall cease.When transmitting copyright-protected information for use on the Project,the transmitting party represents that it is either the copyright owner of the information,or has permission from the copyright owner to transmit the information for its use on the Project.Any unauthorized use of the Designer's documents shall be at the Owner's sole risk and without liability to the Designer. §3.1 In the event the Owner uses the Designer's documents contrary to the permitted uses set forth in Section 3.1 or without retaining the Designer,the Owner releases the Designer,its consultants and agents,and employees of any of them,from any and all claim s and causes of action arising out of or resulting from such unauthorized uses,including but not limited to those arising out of or resulting from any defects,errors,or omissions in the Designer's documents. The owner,to the fullest extent permitted by law,shall defend,indemnify and hold harmless the Designer,its consultants and agents,and employees of any of them.from and against any and all claims,causes of actions, damages,awards losses,and expenses,including but not limited to attorneys'fees,arising out of or resulting from the Owner's unauthorized use of the Designer's docum ents under Article 3. ARTICLE 4 TERMIiAllON,SUSPENSION OR ABANDONMENT Tn the event of termination,suspension or abandonm ent of the Project by the Owner,the Designer shall be compensated for services performed and Reim bursable Expenses then due.The Owner's failure to make payments in accordance with this Agreem ent shall be considered substantial nonperfonn ance and sufficient cause for the Designer to suspend or terminate services.Either the Designer or the Owner may terminate this Agreement after giving no less than seven (7)days'written notice if the Project is suspended for m ore than 90 days,or if the other party substantially fails to perform in accordance with the terms of this Agreement. §4.1 The Owner and Designer's rights set forth in this Article 4 are in additions to without prejudice to their other rights and remedies provided by law. §4..2 The termination of this Agreement shall not relieve either the Owner or the Designer of any obligation previously accrued.The following provisions of this Agreement,and any other provisions that by their terms so provide,shall specifically survive any such termination:Section 2.1,Article 3,Article 5,and Article 7. ARTICLE 5 MISCELLANEOUS PROVISIONS This Agreement shall be governed by the law of the place where the Project is located.Terms in this Agreement shall have the same meaning as those in AlA Document Al 05-2007,Standard Form of Agreement Between Owner and Contractor for a Residential or Small Commercial Project.Neither party to this Agreement shall assign the contract as a whole without written consent of the other. Nothing contained in this Agreement shall create a contractual relationship with,or a cause of action in favor of,a third party against either the Owner or the Designer. The Designer and Designer's consultants shall have no responsibility for the identification,discovery,presence, handling,removal or disposal of,or exposure of persons to,hazardous materials in any form at the Project site. (Paragraphs deleted) §5.1 Causes of action between the parties to this Agreement pertaining to acts or failures to act shall be deemed to have accrued and the applicable statute of limitations shall commence to run not later than the date payment is due the Designer pursuant to Article 6. §5.2 This Agreement represents the entire and integrated agreement between the Owner and Designer and supersedes all prior negotiations,representations or agreements,either written or oral including,but not limited to,the terms of any purchase order.invoice.bid documents,or proposal attachment to the Agreement.This Agreement may be amended only by written instrument signed by both Owner and Designer. ARTICLE 6 PAYMENTS AND COMPENSAllON TO THE DESIGNER The Designer's Compensation shall be: This agreement shall authorize services and compensation of a stipulated lump sum in the amount of twenty five thousand dollars and no cents ($25,000.00)for the following services identified in attached Exhibit A: Task 1:Inventory and Research Task 2:Concept Alternatives Task 3:Concept Refinement A future amendment to this agreement is anticipated to be executed to authorize services and compensation of a stipulated lump sum in the amount of ten thousand dollars and no cents ($10,000.00)for the following serviced identified in attached Exhibit A: Task 4:Fundraising Payments are due and payable upon receipt of the Designer's monthly invoice.Amounts unpaid sixty (60)days after the invoice date shall bear interest from the date payment is due at the rate of one percent (1.00%)per month. At the request of the Owner,the Designer shall provide services not included in Article 1 for additional compensation. Such services may include,but are not limited to,providing or coordinating services of consultants not identified in Article 1;revisions due to changes in the scope.quality or budget;evaluating changes in the Work and Contractors' requests for substitutions of materials or systems;and services not completed within six (6 )months of the date of this Agreement through no fault of the Designer.Compensation for these services shall be hourly in accordance with the Standard Hourly Rate Schedule current at the time services are provided.The Standard Hourly Rate Schedule shall be adjusted in accordance with the Designer's normal review practices. All fees and expenses are net US dollars exclusive of transfer costs and tariffs. Approach: Our approach to achieving the goals and objectives the City has established for this Plan will focus on engaging the City,focus groups,Waukee Trails Committee,citizens,and potential public and/or private partners throughout the entire process.To complete the Plan our approach will focus on the following tasks: Task 1:Inventory and Research Task 2:Concept Alternatives Task 3:Concept Refinement Tssk 4:Fundraising Process: To accomplish each task of our services In an efficient and productive approach,we will concentrate our activities in meetings with the City,focus groups,and citizens as well as design work sessions with our team at our studio.Our detailed approach to execute this process is as follows: Task 1:Inventory and Research 1.1 Review relevant existing studies and reports,base mapping and topographic data,narratives and other information available related to the project and/or site provided by the City and acquired from other sources. 1.2 Complete an on-site assessment of existing site conditions.Particular attention will be paid to existing natural resources,Infrastructure,transportation systems and site adjacencies. 1.3 Research cultural,natural,and ecological history of the s~e and communtv to translate research to design concept inspiration. 1.4 Develop comprehensive existing conditions mapping of the project site and analysis diagrams of opportunities and challenges. 1.5 Workshop ill Consultant team will facilitate this workshop with the City,stakeholders,and citizens. 1.5.1 Start-Up Meeting with City: A.During this meeting introductions of the City and consultant team will be made,the project schedule and future meeting dates will be reviewed,project goals and objectives will be validated,communication procedures for the project will be identified,and inventory and research findings will be reviewed. B.Project benefits categorized as short,medium,long-term. C.Additional insight Into the overall concept plan that could be captured in a fundraising strategy and/or specific grant messaging. D.Concept plan elements that could need additional clarification/description beyond existing drawings and materials, E,Overall concept plan messaging concepts/approaches, F.Potential funders regionally,statewide,and potentially nationally -and associated priority messaging. G,Granlll and foundations opportunities and sources 4,1,3 Deliverable to be a brief two (2)page brochure to serve as an action documentto pursue funding for the project. 4.2.Collateral Materials: 4,2,1 Develop an 11 "xt?"size bi-fold brochure with project description,cese statement,illustrations and other relevant content as determined through the strategic fundraising session,The template for a one-page insert that can be customized for a particular prospect will also be included in with the brochure.This document is anticipated to serve as the foundation for the fundraising team's efforts, 4.2,2 Additional collateral materials to be developed include: A,Frequently asked questions, B,Fundraising talking points. C.Project elevator speech, D.Anecdotes and data for use in fund raising and grant-writing. 4.2.3 Deliverables to be provided to the City in digital PDF file format. 4,3,Initial Grant Development: 4.3.1 Initial contact with the potential funder(s)to determine the viability of grant pursuit and relationship-building with the prospective grantor. 4,3,2 Assist the fundraising team with development of one (1)grant application selected through mutual agreement of the fundraising team to insure grant writing moves forward and that the story of the concept plan has been sufficiently captured.Potential grant opportunities include a REAP,LAWCON,CAT or similar applications.This will be a document that will aid in development of future grant applications.While our consultant team
