RESOLUTION 13-099
APPROVING DEVELOPMENT AGREEMENT RELATED TO ALICE'S ROAD
CORRIDOR PROJECT BETWEEN THE CITY OF WAUKEE,IOWA,
AND LOLOWAU,LLC
IN THE NAME AND BY THE AUTHORITY OF THE CITY OF WAUKEE,IOWA
WHEREAS,the City of Waukee,Dallas County,State ofIowa,is a duly organized
Municipal Organization;AND,
WHEREAS,the City has been in discussion with certain property owners regarding the
conveyance by donation of certain rights-of-way and/or easements that are intended to be
used for the Alice's Road Corridor Project south of University Avenue in Waukee (the
"Project");AND,
WHEREAS,Lolowau,LLC,has submitted a Development Agreement related to said
Project.
NOW THEREFORE BE IT RESOLVED by the City of Waukee City Council in
session this 15th day of April,2013,that the Development Agreement referenced above
and attached as an exhibit hereto is hereby approved.
BE IT FURTHER RESOLVED that the City Clerk shall cause the original to be
recorded upon the property by submitting the original to the Dallas County Recorder with
the appropriate recording fees.

DEVELOPMENT AGREEMENT
This Development Agreement is entered into this J':l-Mdayof ~n\,2013,by
and between Lolowau,LLC,an Iowa limited liability company (hereinaft r referred to as
"Lolowau")and The City of Waukee,Iowa,a municipal corporation (hereinafter referred to as
the "City").
RECITALS:
WHEREAS,Lolowau is the owner of certain property legally described as:
Government Lot 7,except the Northern 2.30 acres thereof,the South
Boundary of said exception described as beginning at a point I 49.2 feet
South of the Northwest corner of Government Lot 7 and extending in a
westerly direction to the Northeast Corner of Government Lot 6,and
Except Parcel "A";and Government Lot 10,Except Parcel "B"thereof,
ail in Section 4,Township 78 North,Range 26 West of the 5th P.M.;and
Outlot X of Grant Park Plat 2,an Official Plat,City of Waukee,Dallas
County,Iowa.(the "Lolowau Property")
WHEREAS,the City and Lolowau have been in discussion regarding the conveyance by
donation from Lolowau to the City of certain permanent right-of-way that is intended to be used
for Alice's Road south of University Avenue in Waukee,Iowa,as is more particularly shown on
the Acquisition Plat attached hereto and marked Exhibit "A"(hereinafter referred to as "Alice's
Road Right-of-Way");and
WHEREAS,in addition to the permanent right-of-way,a Permanent Public Utility
easement as is more particularly shown on attached Exhibit "B"(hereinafter referred to as
"PUE")and a Temporary Construction Easement as is more particularly shown on attached
Exhibit "C"(hereinafter referred to as "Temporary Construction Easement")are necessary for
the construction of Alice's Road,south of University Avenue;and
WHEREAS,Lolowau has agreed to donate the Alice's Road Right-of-Way as shown on
Exhibit "A",as well as granting a Public Utility Easement as shown on Exhibit "B"and granting
a Temporary Construction Easement (to be terminated upon completion and acceptance of the
construction of Alice's Road)as shown On Exhibit He",to the City provided that the City agrees
that the location of Alice's Road,when constructed,will be located within the right-of-way areas
shown on Exhibit "A",to which the City is willing to agree;and

WHEREAS,Phase 1 of the Alice's Road construction project (hereinafter referred to as
"Alice's Road Phase 1")shall consist of the full grading of a six lane roadway with a center
median,full construction of three of the proposed six lanes including paving and public utilities
(storm,water,subdrain);and
WHEREAS,in addition to the Alice's Road Phase I project,the City anticipates the
construction of a regional storm water facility (hereinafter referred to as "Storm Water Facility")
for use within the Alice's Road drainage basin to address storm water conveyance and
retention/detention for which the property will not be specially assessed by the City.Lolowau
acknowledges and agrees that the regional storm water facility will contain a retention pond to be
located within the Lolowau Property into which Lolowau may contribute no greater than 18.3
Acre-feet of drainage to the Stonn Water Facility constructed by the City;and
WHEREAS,the City and Lolowau have been in discussion regarding the conveyance by
donation from Lolowau to the City of certain permanent right-of-way that is intended to be used
for the Storm Water Facility,as is more particularly shown on the Acquisition Plat attached
hereto and marked Exhibits "D"and "H";and
WHEREAS,in addition to the permanent right-of-way,a Permanent Public Facilities
and Use Easement as is more particularly shown on Exhibits "E""G"and "I",and a Temporary
Drainage Construction Easement (to be terminated upon completion and acceptance of the
construction of Storm Water Facility infrastructure)as shown on Exhibits "F"and "J"are
necessary for the construction of the Storm Water Facility herein;and
NOW,THEREFORE,the City and Lolowau,in consideration of the promises and
mutual obligations set forth in this Development Agreement,and in reliance thereon,and for
such other good and valuable consideration,the receipt and sufficiency of which is hereby
acknowledged,agree as follows:
1.Lolowau hereby agrees to convey to the City by donation the Alice's Road Right-
of-Way as shown on Exhibit "A",by warranty deed,as well as the PUE as shown on Exhibit "B"
and the Temporary Construction Easement as shown on Exhibits "C",free and clear of all liens
and encumbrances,on or before the 19th day of April,2013.The PUE,Permanent Storm Sewer,
and the Temporary Easements shall be in the forms attached.Lolowau agrees and warrants that
they are the sole owner of said property and that there are no liens or encumbrances on the
property being conveyed.
2.In addition,Lolowau hereby agrees to convey to the City by donation the StOlID
Water Facility as shown on Exhibit "D"and Exhibit "H"by warranty deed,and the Permanent
Public Facilities and Use Easement shown on Exhibits ''E'',"G"and "I",as well as the

of all liens and encumbrances on or before the 19th day of April,2013.Lolowau agrees and
warrants that they are the sale owner of said property and that there are no liens or encumbrances
on the property being oonveyed.

3.The City agrees that in the event that Lolowau complies with Paragraph 1,2,the City
agrees that the location of Alice's Road,when constructed,will be located within the right-of-
way areas shown on Exhibit "A".The City also agrees that the regional drainage infrastructure
constructed by the City on the property being conveyed pursuant to paragraphs 2 will have a
planned capacity to which Lolowau may contribute no greater than 18.3 acre-feet of drainage
upon Lolowau's Development of the Lolowau Property.In addition,Lolowau and/or the
Lolowau Property shall not be specially assessed any ofthe project costs associated with Alice's
Road Phase 1.In addition,the City agrees that the property will not be assessed more than 50%
of its share of the prorata costs and expenses for Phase 2.For the purpose of this limitation,
Phase 2 is defined as construction and paving of up to three additional lanes of roadway in a
separate project after the completion and final acceptance of the Phase 1 improvements.This
provision shall not apply to,mitigate or otherwise effect any connection fees for utilities
established pursuant to Waukee Municipal Code and Iowa Law,or other costs or expenses in any
way related to right of way improvements,utility improvements or other public improvements
and Lolowau,its successors or assigns or any other person claiming through them understand
they shall be responsible for the full amount of any connection fees in effect,now or in the
future.In addition,this provision shall not in anyway effect or alter,in any way,the requirements
that may exist or be imposed by the City upon development of the Lolowau Property.
4.It is intended that this Agreement shall run with the land and that it shall,in any
event and without regard to technical classifications or designations,legal or otherwise,and
except only as otherwise specifically provided in this Agreement,be binding for the benefit and
in favor of,and enforceable by the City against Lolowau,its successors and assigns,and every
successor-in-interest to any of the Lolowau Property or any part thereof,or any interest thereof,
and any party in possession or occupancy of any of the Property or any part thereof.
5.This Agreement shall be construed in accordance with the laws of the State of
Iowa.
6.A notice,demand,or other communication under this Agreement by either party
to the other shall be sufficiently given or delivered if it is dispatched by registered or certified
mail,postage prepaid,return receipt requested;delivered personally;or sent by overnight courier
service,as follows:

7.This Development Agreement shall constitute the entire agreement between the
City and Lolowau and supersedes all other written or oral agreements,discussions and

negotiations regarding the subject matter herein in connection with the Project.The terms ofthis
Development Agreement may not be amended except in writing by agreement of the City and
Lolowau.
8.This Agreement is executed in two counterparts,each of which shall constitute
one and the same instrument.A copy of this Agreement,including all Exhibits,shall be
maintained in the office of the City Clerk of the City.
IN WITNESS WHEREOF,the City has caused this Development Agreement to be duly
executed in its name and behalf by its Mayor and its seal to be hereunto duly affixed and attested
to by the City Clerk upon the authorization of the City Council and Lolowau has caused this
Development Agreement to be duly executed by the parties authorized to so act on its behalf.
