RESOLUTION 13-100
APPROVING SUPPLEMENTAL AGREEMENT NO.1 WITH KIRKHAM MICHAEL &
ASSOCIATES,INC.,RELATED TO ENGINEERING SERVICES FOR THE ALICE'S
ROAD INTERCHANGE IJR,ENVIRONMENTAL ANALYSIS AND FINAL DESIGN
IN THE NAME AND BY THE AUTHORITY OF THE CITY OF WAUKEE,IOWA
WHEREAS,the City of Waukee,Iowa is a duly organized municipality within Dallas County;
AND,
WHEREAS,the Cities of Waukee and West Des Moines are actively pursuing the construction
of an interchange at the intersection of 105th Street/Alice's Road and Interstate 80 (1-80);AND,
WHEREAS,the City of Waukee has previously entered into agreements for engineering
services with Kirkham Michael &Associates,Inc.,related to the Alice's Road Interchange
project (Resolutions #08-31,11-186 and 12-189);AND,
WHEREAS,due to some changes associated with the lane paving north of the proposed
interchange,the agreement with Kirkham Michael &Associates,Inc.,must be amended to
reflect the additional work necessary to complete the project;
NOW THEREFORE BE IT RESOLVED by the Waukee City Council that the City of
Waukee hereby approves Supplemental Agreement No.2 with Kirkham Michael &Associates,
Inc.,related to engineering services for the Alice's Road Interchange IJR,Environmental
Analysis and Final Design,attached hereto as Exhibit A.
Passed by the City Council of the City of Waukee,Iowa,and approved the 15th day of April,
2013.

SUPPLEMENTAL AGREEMENT NO.2
This Supplemental Agreement made and entered into on this 15*day of ~2013,by and between the City
of Waukee,hereinafter referred to as the "Owner"and the firm of Kirkham,Michael &Associates,Inc.,
hereinafter referred to as the "Consultant."
PREAMBLE:
The parties hereto entered into an agreement dated the 26 day of September,2011,and Supplemental Agreement
No.1 dated the 27th day of August 2012 for the Alice's Road Interchange TJR,Environmental Analysis and Final
Design.Work is to be conducted in accordance with CUITentIowa Department of Transportation local system
project administration requirements.Said contract shall hereinafter be referred to as the Base Agreement.
The Owner desires to have the Consultant perform additional engineering assignments in conjunction with the
preliminary planning,preliminary design,light of way design,final design,bidding assistance,constrnction
administration,and site observation.The work to be performed is beyond the scope of the Base Agreement and
Supplement I,thereby constituting "extra work."
The Consnltant is willing to provide said services.
AGREEMENT:
The parties,in consideration of these mutual promises contained herein,agree to the following:
1.SCOPE OF SERVICES
The additional work to be performed by the Consultant under this Supplemental Agreement No.2 shall
encompass and include all detail work,services,materials,equipment,and supplies necessary to complete
the following described work.
1.1 Design Alice's Road north of the interchange to the full build six-lane section (instead of the
three-Jane section currently seeped)including all normal and customary roadway features such as
grading,storm drainage,pavement markings,lighting,and erosion control.(this is a 100%
Waukee cost and is included in the design percentages previously calculated)Approximate fee:
$30,000
1.2 Separate the portion of Alice's Road north of the interchange to develop a set of plans and
contract documents for a locally let project meeting the requirements of the City of Waukee (this
is a 100%Waukee cost and is included in the design percentages previously calculated)

1.3 Prepare Assessment Exhibits for the portion of Alice's Road north of the interchange hased on a
standard two-Jane roadway section.(this is a 100%Waukee cost and will be tracked separately
for invoice purposes)Approximate fee:$6,000
1.4 Prepare plans aud contract documents to extend 16"Water Main from Ashworth Road south
along Alice's Road approximately 2,200 feet to the future right in/right out access location.(this

is a 100%Waukee cost and will be tracked separately for invoice purposes)Approximate fee:
$10,000.
1.5 Becanse the Noise Study is dated and was completed with previous versions of the software and
was completed based on a different interchange configuration a new Noise Study is required,A
new noise study will be prepared meeting the current requirements of the Iowa DOT and the
Federal Highway Administration.(this cost will be split 50/50 by Wankee and West Des Moines
and be tracked as part of the NEP A task)Approximate fee:$20,000
Total maximum amount for contract amendment:$71,000
2.TIME OF BEGINNING AND COMPLETION
The Owner authorized work to begin on Supplement 2 tasks in an email dated December 4,2012.
No schedule extension is required to complete the work.
3.FEES AND PAYMENTS
The engineer shall be paid on an hourly basis for direct time worked on the project at rates determined by
raw labor times a net multiplier of 3.199 to cover salary,additives,overhead and profit.The engineer will
be reimbursed for direct project expenses such as sub-consultants,mileage,and miscellaneous expenses as
estimated above.
The contract ceiling amount is hereby increased by an amount of $71 ,000 from $915,640 to $986.640,
which shall not be exceeded without written authorization from the Owner.
Except as specifically amended by this Supplemental Agreement No.2,all the terms and conditions of the Base
Agreement and Supplement No.I,shall remaiu in full force aud effect.
TN WITNESS WHEREOF,the patties have caused this Supplemental Agreement No,2 to be executed by their
proper officials thereunto duly authorized on the date indicated below:
