APPROVING RELOCATION AND REIMBURSEMENT AGREEMKNT,REVISION
NO.2,BY AND BETWEEN THK CITY OF WAUKEE,IOWA,AND MIDAMERICAN
ENERGY COMPANY [ALICE'S ROAD BETWEEN UNIVERSITY AVENUE AND NK
HORIZON DRIVE,UTILITY RELOCATION]
IN THE NAME AND BY THE AUTHORITY OF THE CITY OF WA UKEE,IOWA
WHEREAS,the City of Waukee,Iowa is a duly organized municipality within Dallas County;
AND,
WHEREAS,as part of the Alice's Road Corridor Project,University Avenue to NE Horizon
Drive,MidAmerican Energy Company will relocate structures and related facilities associated
with an electrical line currently located on private easements along the west side of Alice's
Road;AND,
WHEREAS,on October 17,2016,the Waukee City Council approved a Relocation and
Reimbursement Agreement between the City of Waukee and MidAmerican Energy related to the
utility relocation (Resolution ¹16-462);AND,
WHEREAS,on November 21,2016,the Waukee City Council approved a revised Relocation
and Reimbursement Agreement related to said project (Resolution ¹16-505);AND,
WHEREAS,MidAmerican Energy Company has provided a revised agreement related to
additional pole relocation and construction timeline changes,of which City staff recommends
approval;
NOW THEREFORE BE IT RESOLVED by the City of Waukee City Council in session this
13"day of February,2017,that the Relocation and Reimbursement Agreement,Revision No.2,
by and between the City of Waukee,Iowa,and MidAmerican Energy Company,attached hereto
as Exhibit A and made part of this resolution,is hereby approved.

make any changes in ground elevation,vilhout wiitten permission from Grantee indicating Ihal
said construction or ground elevat on changes will not r..sufi in inarlequate or excessive ground
cover,or othenvise interfere oath the Granleo's rights to operate and maintain ils Facilities,and
Ihat no act shall be performed wh,ch violates lho clearance requirements of the National Electncal
Safety Code and/or tho rules of th,state utility regufatory authonly where tne Facilities are
located.
I.In consideration of such grant,Grantee agrees that it will repair or poy for any damage
which may be caused to tile,crops,fences,or other property,real or personal,of the Grantor by
the construction,reconstruction,mainlenanco,operation,replacement or removal of the Facilibes
(except for damage to properly placed subsequent to lhe granting of this easement)that Grantee
determines interferes wilh the operation and maintenance of the Facilities and associated
oquipmenL The cutting,recutting,tnmming and removal of trees,branches,saplings,bnish or
olfier vegetation on or adjacent to the Easement Area is expected and not considered damage to
Ihe Grantor
5 Grantor certifies thai it is not acting,directly or indirectly,I'or or on behalf of any person,
group entity or nation named by any Executive Ordei or the United States Treasury Department
as a terrorist,'Specially Designated National and Blocked Person"or any other banned or
blocked person,entity,nation or transaction pursuant to any law,order,rule or regulation that is
enforced or administered by the Office of Foreign Assets Conlrol,and aro not engaged in this
transaction,directly or indirectly on behalf of,any such person,group,entity or nation.Grantor
hereby agrees to clcfond,inclemnify and hold harmless Grantee from and against any and all
claims,damages,losses,risks,liabibties and expenses (incfuding attorney's fees and costs)
