APPROVING ENGINEERING SERVICES AGREEMENT WITH FOTH INFRASTRUCTURE
&ENVIRONMENT,LLC [WAUKEE HIGH SCHOOL NO.2 TRAFFIC STUDY,N.OF
HICKMAN RD.AND W.OF WARRIOR LN.]
IN THE NAME AND BY THE A UTHORITY OF THE CITY OF WA UKEE,IOWA
WHEREAS,the City of Waukee,Dallas County,State of Iowa,is a duly organized Municipal
Organization;AND,
WHEREAS,the City is in the process of acquiring property for a shared campus for the Waukee
Community School District and a recreational complex;AND,
WHEREAS,City staff recommends retaining the services of Foth Infrastructure and Environment,
LLC,for field review,traffic counts,and traffic study.
NOW THEREFORE BE IT RESOLVED by the City Council of the City of Waukee that the
Engineering Services Agreement with Foth Infrastructure &Environment,LLC [Waukee High School
No.2 Traffic Study,N.of Hickman Rd.and W.of Warrior Ln.],attached hereto as Exhibit A,is
hereby approved.
Passed by the City Council of the City of Waukee,Iowa,and approved the 21'ay of February,2017.

City representative.The City agrees tltat the Cnnsultant is not responsible for ilelays arising
from a change in thc scope of services,a cltangc in the scale of the Project or delays resulting
from i:auses not directly or indirectly related to thc actions of the Consultant.
3.COMPENSATION
A.In consideration of the professional scivices provided herein,the City agrees to pay the
Consultant the following sum NOT-TO-EXCEED,including any authorized

6.GENERAI.COMPLIANCE
In thc conduct of the pnifessional services contemplated hereunder,the Consult&nit shall
comply with applicable state,federal,and local laiv.rules,and regulations,technical
standards,or specifications issued by the City.Consultant must qualify for and obtain any
required licenses prior to i;miuneucement of work.including any professional licenses
necessary to perform work within the State of Iowa.
7.STANDARD OF CARF.
Services provided by the Consult&lilt ullder this Agreement shall bc performed in a manner
consisttnu with that degree of'care and skill ordinarily exercised by members ol'thc same
profession currently practicing under similar circumstances.
g.INDEPENDENT CON I'RACTOR
Consultant understands and agrees that thc Consultant rnid Consultant's einployees and
representatives aie not City employees.Consultant shal!be soli:ly responsible for payment of
salaries.wages,payroll taxes,unemployment benefits,or &uiy other form of compensation or
benefit to Consultant or Consult&uit's employees.rcprcscntatives or other personnel
performmg the professional services specified herein,whether it be of a direct or indirect
nature.Further,it is expressly understood and agreed that for such purposes neither
Consultant nor Consultant's employees,representatives or other personnel shall bc entitled to
any City payroll,insurance,unemployment&worker's compensation,retirement,or any other
benefits whatsoever.

14.OWNERSHIP OF CONSIJLTING DOCIJ.'vIFNTS
All sketches,tracings,plans,specifications,rq&orts,and other data prepared under this
Agrccnient shall become the property of'the City;a reproducible sct shall bc deliverc&1 to the
City at no additional cost to the City upon completion of thc plans or termination of thc
services of'thc Consultant.All dra&vings and data shall be transmitted in a durable material&
with electronic,files provided wheat feasible to do so.Thc Consultant's liability for use of the
skctchcs,tracings.plans,specifications.reports,and other dat&l pl'cpar&xl under this
Agreem&u&t shall bc lin&ited to thc Project.
15.INTERP RETA"I'ION
No amendment or modi I&cation of this Agreemcnt shall be valid unless expressed in &vriting
aud exccutcd by the parties hereto in the same manner as the cxccuti&m of the Agreement.
'I'his is a completely integ&rated Agreement ru&d contains thc entire agreement of the parties;
any prior written or oral agreemcnts shall be of no force or effect and shall not be binding
upon either party.The laws of the State of Iowa shall gov&un and any judicial action under
the terms of this Agre&anent shall bc exclusively within the jurisdiction of the district court
for Dallas County,Iowa.
IC&.COMPI..IANCE WITH FEDERAL LAW
To the extent any federal appropriation has or will be provided for the Project,or any federal
requn ement is imposed on thc Project,Consultant agrees that Consultant will comply with all
relevant.laws.,rules an(1 regulations imposed on City and!or Consultant necessary for receipt
of the federal appropriation.Consultant shall provide appropriate certificatio regarding
Consultant's compliance.
17.SOLICITATION AND PERFORMANCE
A.The Consultant warrants that it has not employed or retained any company or person,
other than a bona fide employee working for the Consultant,to solicit or secure this
Agree&neat,and that thc Consultant has not paid or aorced to pay;iny compuny or person
other than a bona tide employee,any fee,commission.percentage,brokerage tee.gill or
contingent f'ec.
13.The Consultant sllall liot.el&gage the services of any person or persons in the employ of
thc City at thc time of'commencing such services without the written constr&t of the City,

If iitly poltion of this Agreement is held invalid or unenforceable by a court of competent
jurisdiction,the remaining portions of this Agreement shall continue in full force and effect.

Title to articles,paragraphs.and subparagraphs are for information putposcs only and shall
not bc considered a substantive pais ot'this Ay cement.
22.I URTHI R ASSURANCES
Each party hereby ayees to execute and deliver such additional instruments and documents
and to take all such other action as the other party may reasonably request from time to time
in order to effect the provisions and purposes of this Agreement.
23.COUNTERPARTS
This Agreement may bc executed in any number of counterparts.each of which shall
constitute an original document,no other countcrpina needing to be produced.and all of
which ivhen taken together shall constitute the srnme instrument.

TASK A -DATA COLLECTION
1.1 Field Review
A Field Review will be held with the City and the Consultant,if needed,to discuss key
issues,and design concepts.The review will detcrtnine current vehicular and pedestrian
traffic patterns,current road configurations,and overall site conditions.
1,2 Traffic Counts
The City of Waukee will furnish any existing traffic counts at the intersections within the
study area.The Consultant will obtain and review the Iowa Department of Transportationrs
(DOT)most current data and reports describing traffic volumes and patterns within the study
area for possible inclusion within this study.Data sources will include previous traffic
studies and reports produced by the City of Waukec and the iowa DOT (Hickman Road).
Foth will perform AM and PM peak hour turning movement traffic counts at the following
intersections:

Hickman Rd &N 4'1'Street
~NE Sunrise Drive &N Warrior Lane
Existing counts for the intersections of Hicktuan Rd with N 10'"Street and N Warrior Lane
were completed in 2012 (and possibly 2016 —available with special request of the Iowa
DOT).
Foth will perform ADT counts at the following locations:
~N Wamor Lane —north of NE Badger Lane
~NE Douglas Parkway —west of NE Alices Road
Note on Traffic Counts:Existing average daily traffic volumes for study intersections and
roadways shall be estimated using 24-hour automatic machine counters fiom the Iowa
Department of Transportation where available.Existing peak period intersection turning
movement volumes will be obtained using Miovision cameras and processing.Existing ADT
volumes will be obtained using Jtunar side-fire radar technology.Typical count days are
Tuesday,Wednesday and Thursday of a typical week.Counts taken on holidays and the day
before and after a holiday will not bc used.Days with abnormal traffic conditions (such as
rains,constmction activities,road closurcs,etc.)will be avoided.Counts in the vicinity of a
school will be taken when the school is in session.
Peak Periods:Generally,both morning (6 a.m.to 9 a.m.)and evening (3 p.m.to 6 p.m.)peak
periods will be used in the analysis to identify traffic impacts and level of service problems.
The PM peak may need to bc adjusted to account for the aftenioon peak school traffic.An
off-peak period (11 a.m.to 1 p.m.)will be counted if needed to complete the eight hour
count needed for traffic signal warrant analysis.

Three hardcopies of the final report along with an electronic copy in Adobe PDF format will
be provided to the City of Waukee.
2.2 Executive Summary
This portion of the report shall present factual and concise information relative to the major
traffic issues.Pertinent information in this regard shall include a brief overview of the
project,a short discussion of the expected impacts,and a summary of the measures necessary
to mitigate these impacts.
2.3 Hitroductlon
The introduction portion of the report shall contain the following:
a)Project Description:This section shall contain a description of the project,This
would include the type of facilities which are located within the study area.Exhibits
shall include clear illustrations of the proposed building site,adjacent streets and
current driveways.Also under this section,if the project is proposed to be constrticted
in phases,a discussion of the development program and approximate time schedules
shall also be included.
b)Ltuid Use,Site and Study Area Boundaries:This section shall contain a brief
description of the general terrain features,and the site location oriented within the
City of Waukee.In addition,roadways that afford access to the site and that are
included in the study area will be identified on an exhibit.
The exact limits of the study area should be based on engineering judgment,and an
understanding of the existing traffic conditions surrounding the site.The study area
limits have been approved by the City.A vicinity map which shows the site and the
study area boundaries in relationship to the surrounding transportation system will be
included.
c)Existing and Proposed Roadways and Intersections:This section should identify
existing roadways,lanes,geometry and volumes on either City or State roadways.
Any agency progratnmed or planned roadway improvements should also be
identified.An exhibit should be prepared showing existing A.M.,P.M.,and other
relevant peak hour turtiing traffic volumes.
2.4 Trip Generation and Design Hour Volumes
This section will include a summary table listing each type of land use,the size of the parcels
involved,the average trip generation rates used (total daily traffic,a,m.and p.m.peaks,the

that reflect the long-range plans.These forecasts will include side road,mainline,and
arterial volumes including turning movements.The Consultant will v:ork with the City
of Waukee to review future land usc and to estimate locations of future development that
may impact traffic volumes for the corridor.
The forecast will describe Average Daily Traffic and design hour link volumes for the
proposed development site study area.fhe design hour volumes will include AM and
PM peak hour and off peak hour.The design hour volumes forecast for thc long range
plan will be agreed to by the City of Waukee and the Consultant prior to continuation
with subsequent tasks.
2.7 OperationaVIntersection Analysis
This section will include the analysis for all intersections and driveways and for other major
roadway intersections within the study area,The A.M.,P.M.,and possibly alternate peak
hours will be analyzed and capacity calculations shown for existing and projected conditions.
The goal of this section is to indicate perfonnance and needs at these locations by growth
scenario.All supporting calculations will be provided within the Appendix.
Typically,the traffic analysis methodologies for the facility types indicated below are
recommended.On roadways that have saturated fiows,the use of a micro-simulation model
is recommended for the analysis.
a)Multi-Lane Highways —HCM,operational analysis
b)Two-lane Higlnvays —HCM,operational analysis
c)Sigtialized Intersections —HCM,operational analysis,VISTRO
d)Multiple Signalized Intersections along an Arterial or network,VISTRO
c)Unsignalized Intersections —HCM,operational analysis,VISTRO
fj Transit —HCM,operational analysis
g)Pedestrians —HCM
h)Bicycles —HCM
i)Control Criteria/Warrants —MUTCD (stop signs,traffic sigtials,signing,marking)
The following scenarios must be analyzed in the repott:
a)Existing Year Traffic Conditions —Current year traffic voltunes and peak hour LOS
analysis of existing study area and access intersections.
b)Opening Year Cumulative Conditions -Existing Plus New Development Traffic
(Opening Emollment)
c)Cumulative Conditions Projected to 5 Years afier Opening (Projected Enrollment)
d)Future Projected to Full Enrollment Conditions (Year to be determined by School
District)
e)Future Projected to 25 Year Conditions
The Consultant will perform an operational analysis and modeling of the Waukee High
School study area.The modeling will be conducted in a manner to serve as a tool to
graphically illustrate roadway improvements and impacts to traffic operations,The analysis
will include the intersections,side roads,and access locations within the study area.

2.12 APPENDIX
This section shall include all relevant study data collected,analysis reports,and other
relevant findings,The pages shall be organized into sections.
COMPENSATION
The proposed compensation for the above seivices shall be on an hourly rate in accordance to the
rate schedule shown on Attachment B.Total design fees shall not exceed $36 600.00.

Compensation for any additional services,as listed under Section 5.0 or in addition to the
services listed under this proposal,shall be handled under a separate subcontract as approved by

REIMBURSABLE EXPENSES
l.All materials and supplies used in thc pcrformancc of work on this project will be billed
at cost plus 10%.
2.Auto mileage lvill bc reimbursed per the standard mileage reimburscmcnt established by
the Internal Revralue Service.Service vehicle mileage will bc reimbursed on the basis of
$0.88 per mile.
3.Charges for outside services such as sells and materials testing,fiscal,legal wiill be billed
at their invoice cost plus 15%.
4.All other direct expenses will be invoiced at cost plus 10%.
