APPROVING AGREEMENT FOR PROFESSIONAL CONSULTING SERVICES BETWEEN
THE CITY OF WAUKKK AND SHIVE HATTERY [WAUKEK SIGNAGK
IMPLEMENTATION DOCUMENTS &ALICE'S ROAD CONCEPT PLAN]
INTHENAMEAND BYTHEAUTHORITYOF THE CITYOF WAUKEE,IONA
WHEREAS,the City of Waukee,Dallas County,State of Iowa,is a duly organized Municipal
Organization;AND,
WHEREAS,the City Council has identified gateway signage as a priority for the current year;AND,
WHEREAS,the City has previously competed a Gateway,Wayfinding and Community Identity Plan;
AND,
WHEREAS,in order to proceed forward with implementation,additional design services are
necessary;AND,
WHEREAS,the professional services agreement has been reviewed and approved by the Waukee City
Attorney.
NOW THEREFORE BE IT RESOLVED by the City Council of the City of Waukee that the
Agreement for Professional Consulting Services between the City of Waukee and Shive Hattery
[Waukee Signage Implementation Documents k Alice's Road Concept Plan],attached hereto as
Exhibit A,is hereby approved.

THE CITY HEREBY AGREES TO RETAIN THE CONSULTANT FOR THE PROJECT AS
DESCRIBED IN THIS AGRFFMENT AND CONSULTANT AGREES TO PERFORM TI-IE
PROI ESSIONAL SERVICES AND FURNISH THE NECESSARY DOCUMENTATION FOR
THE PROJECT AS GENERALLY DESCRIBED IN THIS AGREEMENT.
I.SCOPE OF SERVICES
Services provided under this Agreement shall be as further described in Attachment I,Scope
of Services.
2.SCHEDULE
The schedule of ihe professional services to be perforated shall conform to the Schedule set
forth in Attachment 2,Any deviations frol11 the Schedule shall be approved by the autthorized
City representative.The City agrees thai the Consultant is not responsible for delays arising
from a change in the scope of services,a change in the scale of the Project or delays resulting
from causes noi directly or indirectly related to the actions of the Consultant.
3.COMPENSATION
A.In consideration of the professional services provided herein,the City agrees to pay the
Consultant the I'ollowing fixed fee sum,including any authorized reimbursable expcitscs,
pursuant to the Schedule of Fees set forth in Attachment 3.

4.INSURANCE
Consultant underst;ulds and agrees that Consultant shall have no rigln of coverage under
any and all existing or I'uture City comprehensive,self or personal injury policies,

sufficiently protect Consult;ult or Consultant'representative(s)in connection with the
professional services which are to be provided by (.Onsultant pursulmt to this Agreement.

incolne.Consultant shall provide worker s compensation insurance coverage for
Consultant and all Consultluit's personnel.Consultant shall file applicable insur&ulce

contractual liability insurance hy an insurance company licensed to do business in the
State of Iowa in the limits of al least $I,000,000 each personal injury accident and/r&r

each property danlage accident.The evidence shall designate thc City &is an additional
insurerl,and that it cannot he canceled or materially altel&eel wilhout giving the City at
least thirty (30)days written notice by registered mail.return receipt requested.
The C(msultant sh'&ill also provide evidence of automobile liability coverage in the limits
of at least $1&000,000 bodily injury and property dlnnagc colnbined.The evidence shall
designate the City as an additional insured,&nld that it cannot bc cancelled or materially

return receipt requested.
D.The Consultant shall provicle evidence of profession'al liability insul'ance,by an hlsul'ance
comp&nly licensed to do business in ihc Staic ol Iow;i&in the limit of Sl&000.000 for
claims arising out of the professional liability ol'the Consult'&ini.Consultant shall provide
City written notice within five (5)days by registered mail,return receipt requested of the
cancellation or materi'll alter'dion of the professional liability policy.
I"'ailure ol'Consultant to m'iintain any of the i»surance coverages set forth above shall
constitute Ii nl'atcl'ial breach of this Agreement.
5.NOTICE
Any notice to the parties required under this agreement shall he in v,riting,delivered to the
person designuterl below,by United States mail or in hand delivery,Bt the indicated address

6.OENFRAL COMPI,IANCE
In the conduct of the professionai services conte&upluted hereunder,the Consultant shall

standarCIS,or specifications issued hy thc City.Consultant must qualil'y for Bnd obtain any
required licenses prior to commencement of'work,including any professional licenses

7.STANDARD OF CARE
Servi&es provided by the Consultant under Ibis Agreement shall be performed in B BIBnne&.
consistent with that degree of c«re and skill ortlin&&fily exercised by members of the same
profession currently practicing under similar circumstances.
8.INDEPENDENT CONTRACTOR
Consultant umlcrstands arul agrees that the Consult&a)t and Consultant's cnlployccs and
representatives arc not City employees.Consultant shall be solely responsible I'or payment ol'

9.NON-DISCRIMINA'I'ION

10.I I OLD I-IARMLESS
Consult utt agrees to indemnify mid hold harmless the City,its officers,agents.anil
employees from any and all clailns,settlements and judgments.to inclucle all reasonable
invesrigative fees.&ittorney's I'ees,and court costs fol'any damage or loss which is duc to or
arises I'rom a breach of this Agreement,or from negligent acts,errors or &tmissions in thc
performance of professional services under this Agreement and those of its sub consultants or
anyone I'or whom Consultant is legally liable.
I I.ASSIGNMENT
Consultant sltall not assign or othcrwisc transfer this Agreenient or any right or obligtlttons
therein without first receiving prior written consent of the City.
l2 APPROPRIATION OF FUNDS
The funds appropriated for this Agreement are equal to or exceed the compensation to be

appropriation of funcling by the City Council.In the event that sufficient funding is not
appropri «cd in whole or in part lor continued performance of the City's obligations under
this Agreement,or if appropriated funding is not expended due to City spmiding limit;«ions,
the City may tcrntinatc this Agrcemcnt without further compensation to the Consultant.To
the gre&«est extent allov.ed by hiw,the City shall tolllpcl'lsilte (oltstllttlttl as pi'ovided in

13.AUTHORIZED AMENDMENTS TO AGREEMENT
A.The Consultant and the City t«:kninvledgc an(1 «grec that no amendment to this
Agreement or other form,order or directive may he issued by the City which requires
additional compensable work to bc performed if such work causes the aggrcgatc amount

written assurance by thc City that lavvful approp iation to cover the costs of the additional

l4,OWNERSHIP OF CONSULTING DOCUMENTS
All sketches,tracings,plans,specifications,reports,and other data prepared under thi»
Agreeinent shall become the property of the City;a reproducible set sh&ill be delivered to the
City at 110 ildditional cost to thc City upon completion ol the phms or termination of the
services of the Consultant.All dratvings &liitl dat&i sllall be transmitted in a durable material,
with electronic files provided when I'easible to do so.The Consultant's liability for use of the
sketches,tracing».plans,specil'icatiitms&reports,and other data prepared und&n this
Agreement shall be limited to the Project.
IS.INTERPRETATION
No amendment or modification of this Agreement shall be valid tniless expressed in writilig
and cxccutcd by the pm'ties het&eto in the same manner as the execution ol'thc Aglucniclit.
This is &i completely integrated Agreement ill\il contains thc entire agrecmcnt of the parties;

upon either party.The laws of the State ol'iowa shall govern and any judicial action uncler

I 6.COMPLIANCE WITH FEDERAL LAW

relev&tnt laws,rules and regulations iinposed on City and/or Consultant Iiccc)silly for receipt
of the federal appropriatimi.Consult&lilt shall provide appropriate certification rcgardin&
Consiilt&iiit s compliance.
17.SOI )C)TATION AND PERI"ORMANCE
The Consult;u&t warrants that it has not employed or retained tiny coinpany or person,
other than ii bona 1'ide employee &vorking for thc Consult«u&t.to solicit or secure this
Agreemm&t,and that ihc Consultnnt has not 1&aid or agreed to pay any company or person
other than a bona I'ide employee.any 1'cc«commission,percenu&ge,brokerage 1'cc.gift or
contingent fee.
The Consultant shall not cngiige the services ol'any person or pcrs&ms in the employ ol
thc City n.the tinie ol'co&nmencing such services without ihe v«riuen consent of thc City.
1 g.SUSPENSION AND TERMINAT1ON OF AGREEMENT
Thc right is reserved by the City to suspend this Agrccment at any time.Such suspension
may be effected hy the City giving written notice to the Consultant,and shall bc clfective
i&s of thc d«itc establ&shed in the suspcns&on i&otlcc.Pay&»ei&t fo&'Consultant's services
shall be made by the City for services performed to the date established in the suspension
notice.Should the City reinstate the w&&rk «ilter noiice of suspension,such reinstatement
in«i)«be accomplished by thirty (30)days wriuen notice within a period of six (6)months
ager such suspension,unless this period is extended by written consent of the Consult«ult,
B.Upon ten (10)days &vritten notice to the Consult«n&t,the City n&ay terminate the
Agreement at any time if it is found that reasons beyond the control of either the City or
Consultant make it i&npossible or against the City's interest to complete the Agreement.In
such case,the Consultant shall have no claims against thc City except for the v«ilue oi'the
work performed up to the date thc Agrcemcnt is ter&ninated.
Thc City may also terminate this Agreement at «niy time if it is found that thc Consultant
has viola(eel any materi&&i tenn or condition of this Agrccmcnt or that Consultani hi&!i
failed to maintain workers'compensation insurance &&r other insurance provided for il&
this Agreement.In the event of such default by the Consultant«the City may give ten (10)
days written notice to the Consultant of the City'»intent to terminate the Agreemcnt.

D.ln the event that this Agreement is tcrmina&ed in accordance with paragraph C of this
section.thc City may iake possession of any worl and may complete any vvork by

kk The Consultant may terminate this Agreement if it is found that thc City has violated an)«
fn«ltc&dt&l ierm or condition of this Agreement.In the event of such default by th&.'City,thc
Consultant shall give tcn (10)days written notice to the City of the Consult;uit's intent &o
terminate the Agreement,City shall have ten (10)days 1'rom notification to remedy the
conditions constituting the default.
!9.TAXES
The Consultant shall pay all sales and use taxes required to be paid to the State of Iowa on
the work covered by this Agreement.The Consultant shall execute and deliver and shall
cause any sul&-consultant or subcontractor to execute ancl deliver to the City ccrtilicatcs as
required to permit the City to make application for refunds of said sales m&d use taxes as
tq&plicable.The City is a municipal corporation and not subject to state and local tax,use tax,
or I'ederal excise taxes,
'20.SEVERABiLITY
If any portion of this Agreemem is held invalitl or unenforceable by a ct&urt of competent
jurisdiction,thc rcrnaining portions of this Agreement shall continue in full force and cfl'e«t.
21.MISCELLANEOUS HEADINGS
Title to articles,paragraphs,and subparagraph»are for information purposes only and shrtll
not be considered a substantive part of this Agreement.
22.FURTHER ASSURANCES
Each party hereby agrees to execute and deliver such additional instruments and documents
and to take all such other action as the other party may reasonably request from time to time
in order to effect the provisions and purposes of this Agreement.
23.COUNTERPARTS
'I'his Agreement may bc cxc«utcd in tn&y number of counterparts,each of which shall
constitute an origitutl domtruent,no other counterpart needing to bc prorlu«ed.tlt&(l all of
which when taken together shall constitute the same instrument.

SCOPE OF SERVICES
PROJECT DESCRIPTION
The City of Waukee recently completed a vision for a consistent and cohesive identity for the community.
Shive-Hattery guided a steering committee through an interactwe and collaborative design process
resulting in a plan representing the preferred style,size,materiality and locations of a family of features
for the purpose of announcing gateways,providing wayfinding and enhancement of community identity
and budgetary fabrication and installation costs.
The City seeks to move forward with implementation of signage and identity elements.The following
scope of services detail three efforts:site-generic fabrication documenls for each of elements noted in the
plan;site-specific impfementation plans for placement of signage;concept develop for Alice's Road
improvements.
Provide Landscape Architectural,Environmental Graphic Design,Structural,Electrical and Civil
Engineering services to complete the following tasks:
A.Develop site-generic Construction Documents:
1)Develop a stand-alone plan sheet for each of the following Sign Family members per
the plan dated 5/21/2018.
a)Primary Sign 'B'
b)Primary Sign —Horizontal
c)City Hall —Horizontal or Vertical
d)Park Sign A
e)Park Sign B
f)Dog Park Sign (similar to Park Sign)
g)Light Pole Banner
h)Community/Median Marker 'A'
i)Community/Median Marker 'B'
j)Community Marker 'C'
2)Refine the concept for Primary Sign 'A'and provide up to two rounds of minor
adjustments and resubmittal via e-mail to City staff for comment.
a)Modify the signage master plan document with revisions.
b)Exclude fabrication plan for Primary Sign 'A'as part of this proposal.
3)Develop fabrication plans that illustrate materials,dimensions,connections,color,
footings,lightings and electrical provisions,structural engineering and architectural
detailing.
4)Specifications shall be on-plan or technical.Front-end specifications are assumed to
be provided by the owner.
5)Develop a cost opinion derived from the cost noted in the plan.
6)Bidding:
a)Provide plans and technical specifications to the owner for public bidding.
b)Assist the Owner
B.Alice's Road Corridor improvement Concept
1)Develop a concept for incorporating identity elements and enhanced landscaping to
the corridor between University Avenue and Hickman Road.
2)Develop a cost opinion utilizing costs derived from the signage master plan.
C.Site Plans:
1)Develop individual site plans for implementation of three signs to be located at:
a)Primary Sign —Horizontal at University Avenue
b)City Hall Sign at City Hall
c)Dog Park
2)Obtain topographical survey information for the Unwersity Avenue location.
a)Shiva-Hattery has topographic information for City Hall
b)Obtain design files from Confluence for the Dog Park location.
3)Develop plan for implementation and restoration.
D.Meetings:
1)Assume up to four (4)meetings with staff
2)Assume up to two (2)presentations to Council
