RESOLUTION 19-242
APPROVING BOND COUNSEL AND DISCLOSURE COUNSEL
ENGAGEMENT AGREEMKNT WITH AHLERS &COONKY,PC
IN THE NAME AND BY THE A UTHORITY OF THE CITY OF WA UKEE,IO IYA
WHEREAS,the City of Waukee,Iowa is a duly organized municipality within Dallas
County;AND,
WHEREAS,it is in the best interest of the City to have bond counsel and disclosure
counsel for the purpose of completion of proceedings and execution of documents and to
render legal opinion;prepare and review documents for the authorization;issuance and
delivery of bonds;review legal issues related to the structure of the bond issue;review or
prepare sections of the official statement,private placement memorandum or other form
of offering or disclosure documents to be disseminated and issue continuing disclosure
certificate;assist issuer with presenting to bond rating agencies;prepare draft notice of
sale;draft continuing disclosure certificate;and file appropriate Form 8038 with the IRS
after closing;AND,
WHEREAS,the Mayor and City Council have received an agreement dated June 10,
2019,from J.Eric Boehlert on behalf of the firm of Ahlers &Cooney,P.C.related to
bond counsel and disclosure counsel services.
NOW THEREFORE BE IT RESOLVED that the City Council of Waukee,Iowa,in
session this 17th day of June 2019,does hereby approve the Bond Counsel and
Disclosure Counsel Engagement Agreement with Ahlers &Cooney,P.C.
