RESOLUTION 19-241
APPROVAL OF NOTICE OF ASSIGNMENT APPOINTING UMB BANK,N.A.AS
SUCCESSOR TRUSTEE,ESCROW AGENT,AND/OR PAYING AGENT
IN THE NAME AND BY THE A UTHORITY OF THE CITY OF WA UKEE,IO IYA
WHEREAS,the City of Waukee has previously appointed Bankers Trust Company of Des
Moines,Iowa ("Bankers Trust")as the current paying agent,registrar and transfer agent;
AND,
WHEREAS,Bankers Trust has notified the City that they will cease to provide such services
and will assign its contracts for such services to UMB Bank,N.A.of Kansas City,Missouri
("UMB Bank");AND,
WHEREAS,the City's Finance Director has determined it is in the best interest of the City to
engage UMB Bank to serve as the paying agent,registrar and transfer agent;AND,
NOW THEREFORE BE IT RESOLVED by the City of Waukee City Council in session
this 17'"day of June 2019 that UMB Bank is appointed to serve as the successor paying agent,
registrar and transfer agent from Bankers Trust;that all services and fees shall be subject to
the City's agreement assigned from Bankers Trust to UMB Bank;that the City Clerk and/or
Finance Director are directed to proceed on behalf of the City to take all action necessary to
allow UMB Bank to assume duties as paying agent,registrar and transfer agent;that notice of
this appointment shall be filed on the EMMA website within 10 working days after the
effective date of the appointment of UMB Bank,anticipated to occur on or about July 12,
2019,pursuant to this Resolution
