APPROVING ALICE'S ROAD CORRIDOR PLANNING/DESIGN CONTRACT
ADDENDUM NO.2 TO MASTER AGREEMENT BETWEEN THE CITY OF WAUKEE
AND BRIAN CLARK AND ASSOCIATES,D/B/A CONFLUENCE OF DES MOINES,IA
IN THE NAME AND BY THE AUTHORITY OF THE CITY OF WAUKEE,IOWA
WHEREAS,the City of Waukee,Dallas County,State ofIowa,is a duly organized Municipal
Organization;AND,
WHEREAS,on September 3,2013,the Waukee City Council approved retaining the services of
Confluence of Des Moines,lA,as the planning firm for the Alice's Road Corridor Project
(Resolution #13-232);AND,
WHEREAS,work on phase one of the planning contract with Confluence is nearing completion
and the City is ready to proceed forward with phase two work as described in Addendum No.2
to the Master Agreement (attached hereto as exhibit A);AND,
WHEREAS,the City Attorney has reviewed the proposed Addendum No.2 and finds it
satisfactory.
NOW THEREFORE BE IT RESOLVED by the City Council of the City of Waukee,Iowa on
this 17th day of March 2014,that the Alice's Road Corridor PlanninglDesign Contract
Addendum No.2 to Master Agreement between the City of Waukee and Brian Clark and
Associates,d/b/a Confluence of Des Moines,lA,is hereby accepted and approved.

PHASE 2:
TASK 1:DESIGN GUIDELINES AND STANDARDS
Utilizing the Master Development Plan,Parcel Planning Studies,and community Themlng Concepts,Confluence
will develop Design Guidelines and Standards (Design Guidelines)tailored to the range of land uses proposed
within the project to provide the necessary guidance to create distinct and unique living,working,recreation,and
shopping environments,while creating value and providing the flexibility necessary to respond to changing
economic climates.
The Design Guidelines will be developed for the Land Use Categories:Residential (i.e.Single-Family and Multi-
Family),Commercial,Mixed-Use (e.g.vertically integrated mixed-use),Civic/Institutional,and Recreation.
The Standards wlll be organized according to Districts,which will provide the potential for a more distinct iook and
character of key design features and building elements within the context of an overall common community
theme.

The Signage Design Guidelines will reinforce and ensure the identity of the project.Sign age is a critical component
in establishing a distinctive personality,designed to promote individual neighborhood Identity while achieving a
consistent,compatible and harmonious overall design for all major land use categories.
Confluence's environmental graphic design approach will establish a hierarchy of sign types,including the vision
for Individual prototypes for all community sign types,coupled with photographic examples for all on-site sign
types,all of which will be supported by Design Standards and Criteria to insure a quality environment is preserved
overtime.

A design review process will be established to review and approve all proposed development plans and designs for

Specific tasks to prepare the Guidelines shall inciude the following:
1.Meet the Client to review/discuss basic components/design elements of the guidelines,
2.Prepare "draft"guidelines for Client review,including draft text and support graphics,as well as mock-
up/layout of proposed graphic format for document and content of "abbreviated version of the
guideline."
3.Hold Client meetings to review/discuss draft guldellnes,
4.Revise the draft document per Client input and prepare final "draft"for Client review and input.
5.Hold Client meeting to review/comment on final "draft"prior to preparing the final document.
6.Revise/finalize the Design Guidelines based on Client input and comments,Prepare a computer/dlgitai file
copy (compact disc)for future Client reproduction and printing purposes,
TASK 2:STORM WATER MANAGEMENT DISTRICT
Concurrent with the Master Planning Process (Phase 1),the ProjectTeam,led by Confluence,will prepare a Master
Plan for the management of storm water runoff for the development.The plan will incorporate the principals of
conservation design,including specific design standards proven techniques that wi!!support and enhance an
ecological system,while being cost effective and market-conscience for the project.
The plan will assess the management of storm water runoff for defined basins or sub-development areas that may
utilize a system of ponds,naturalized drainage ways and blo-swales,as weH as other environmentaliy sensitive
features that support a sustainable ecological system.
The product of the effort will be Ecologically-based Storm Water Management Plan that Incorporates/defines
specific design elements and techniques for the management of on-site drainage and detention,including
preliminary cost estimates for use in the Financial Feasibility Study and On-going Maintenance and Repiacement
Plans.
1.Prepare a Site Analysis defining the site's natural drainage way system and develop an existing Conditions
Peak Discharge Anaiysis for 1,2,5,50 and 100-year storm events.
2.Review and evaluate the Preliminary Master Planning Concepts in relation to possible storm water
management alternatives and design elements,including the delineation of sub-basins within the site and
potential location and sizing of detention ponds,drainage ways and other infrastructure.Gather
consensus from the Project Team on a preferred direction for discussion with the Client.
3.Prepare a Preliminary Storm Water Master Plan for initial Client review,including potential conservation
design eiements and techniques for Inclusion in the pian.
4.Meet with the CHent to present and review the preliminary plan and discuss possible
revisions/refinements to both the Master Plan and Storm Water Plan.
5.Coordinate the preferred Storm Water Management Plan and conservation design eiements with
Statewide Urban Design Standards (SUDA5jand methodologies.
6.Prepare Preliminary Cost Assumptions based on the preferred plan use in the Financial Feasibility Study
and On-Going Maintenance and Replacement Plan.
7.Present the Final Pian and PreHminary Cost Assumptions to the Client for review and input.
8.Summarize the results of the Storm Water Management Plan in a final report.
TASK 3:OVERLAY DISTRICT
Overlay Districts provide a means to incorporate various development regulations across a specified area.These
districts are special zones that lie on top of exlstlng zoning categories to supplement or supersede existing
regulations.They usually provide a higher level of regulation than that required by the existing zoning
classification,but they can also permit exceptions or require a less-restrictive guldellne.The boundaries of an
overlay district mayor may not coincide with the boundaries of the underlying zone,and an overlay district may
contain parts of more than one existing zone.
1.Compile supporting information that details the purpose and goals of the overlay district,and ensures
that it Is tied to the objectives of the corridor Master Pian and the City Comprehensive Plan.
2.Working with City staff,update the iand use categories and existing zoning within the corridor.
3.Working with City staff,determine a district boundary that is simply and clearly defined.
4.Prepare necessary district boundary maps and exhibits to be used for the approval process.
S.Working with City staff,compile ordinance language for the overlay district that can be taken to the
Waukee Planning and Zoning Commission for recommendation of approval by Waukee City Councii.
6.Provide limited supportto City staff in obtaining Pianning &Zoning /City Council approval for the new
overlay district ordinance.The approval process,and our role therein,is undetermined at this time and is
not reflected in our proposed Scope or Fees.
COMPENSATION
1.We propose to perform the services described in Phase 2:Scope of Services:Task One,on a Lump Sum basis.
The lump Sum is Sixty FourThousand Dollars ($64,000).
2.We propose to perform the services described in Phase 2:Scope of Services:Task Two,on a Lump Sum basis.
The Lump Sum is TwentyThousand Doliars ($20,000).
3.We propose to perform the services described in Phase 2:Scope of Services:Task Three on a Lump Sum basis.
The Lump Sum is Twenty EightThousand Doliars [$28,000,00).
4.Reimbursable Expenses are proposed to be a not-to-exceed amount ofTen Thousand Doliars ($10,000),
5.Total Fee,induding reimbursable expenses:$122,000.00
6.Reimbursable expenses,including travel,long-distance telephone,and printing are induded in the services fee
total.Expenses will be billed in accordance with the rates shown on the attached rates and expenses schedule.
7.If the project is suspended for more than three (3)months,or abandoned In whole or In part,this firm shali be
paid their compensation for services performed prior to receipt of written notice from the Architect/Owner of
such suspension or abandonment,together with reimbursable expenses then due and ali terminal expenses
resulting from such suspension or abandonment.
This SCOPE OF WORK ADDENDUM [SOSA)Is entered as of March 17,2014,by the City of Waukee [Client)and
Brian Clark and Associates,Inc.d/b/a Confluence (Confluence),
MASTER AGREEMENT:The terms and conditions of the Master Agreement are incorporated by reference in this
Scope of Services Addendum (sa SA)with the same force and effect as if ali the terms and conditions of the Master
Agreement were set forth herein,
IN WITNESS WIIEREOF,the Client and Confluence duiy exercise this SaSA effective as of the day and year first
written above.
