HomeMy WebLinkAbout2014-07-07-Resolutions 14-175_Giles Revocable Trust - Offer to Buy Real Estate and AcceptanceTHE CITY OF WAUKEE,IOWA RESOLUTION 14-175 RESOLUTION APPROVING OFFER TO BUY REAL ESTATE AND ACCEPTANCE AGREKMKNT FOR PROPERTY LOCATED IN THE CITY OF WAUKKE IN THE NAME AND BY THE AUTHORITY OF THE CITY OF SAUKEE,IO8'A WHEREAS,the City is in need of additional right of way related to the construction of an underpass associated with Grand Prairie Parlavay and the City has been in negotiations with Richard W.Giles Revocable Trust,Linda M.Hakeman and Dallas Hakeman,and Marlene M. Warren and Dan Warren (collectively the "Owners");AND WHEREAS,the City has prepared an Offer to Buy Real Estate and Acceptance (hereinafter referred to as the "Agreement")and said Agreement was accepted by the Owners,for certain property located within Government Lots 2 and 7 of Section 4,Township 78 North,Range 26 West,Waukee,Iowa;AND WHEREAS,the City Council of the City of Waukee deems it to be in the best interest of the City to purchase the property;AND WHEREAS,the proposed Agreement behveen the Owners and the City of Waukee is attached as Exhibit "A". NOW,THEREFORE,BK IT RESOLVED by the City Council of the City of Waukee on this, the 7"day of July,2014,that the Offer to Buy Real Estate and Acceptance Agreement attached hereto as Exhibit "A"is approved. BK IT FURTHER RESOLVED that the Mayor is hereby authorized to executed said Agreement on behalf of the City and the City Staff is directed to proceed in accordance with the Agreement.Upon the determination of the City Attorney that the conditions of the offer have been satisfied and title delivered staff is authorized and directed to proc d with closing. card,Mayor Attest: Rebecca D.Schuett,City Clerk ROLL CALL VOTE Shane Blanchard Brian Harrison Casey L.Harvey Shelly Hughes Rick Peterson X X X NAY ABSENT ABSTAIN X OFFER TO BUY RKAL ESTATE AND ACCEPTANCE (NON~SIDKNTIAL) TO:Richard W.Giles and Carolyn A.Giles as trustees of'the Richard W,Giles Revocable Trust under Agreement dated June 24,1999,Linda M.Hakeman and Dallas Hakeman, wife and husband,Marlene M.Warren and Dan Warren,wife and husband (Sellers) The undersigned BUYERS hereby offer to buy and the undersigned SELLERS by their acceptance agree to sell the real property situated in Waukee,Iowa,legally described as; See Acquisition Plat attached as Exhibit A together with any easements and appurtenant servient estates,but subject to any reasonable easements of record for public utilities or roads,any zoning restrictions customary restrictive covenants and mineral reservations of record,if any,herein referred to as the "Property,"upon the following terms and conditions provided BUYERS,on possession,are permitted to use the Property for construction of right of way. 1.PURCHASE PRICE.The Purchase Price shall be $20,520.00 the method of payment shall be as follows:$0.00 with this offer,to be deposited upon acceptance of this offer and held in trust by Brick Gentry P.C.as earnest money,to be delivered to the SELLERS upon performance of SELLERS'obligations and satisfaction of BUYERS'contingencies,if any;and the balance of the Purchase Price paid at closing. 2.REAL ESTATE TAXES. A.SELLERS shall pay all real estate taxes that are due and payable as of the date of possession and constitute a lien against the Property,including any unpaid real estate taxes for any prior years. B.SELLERS slmll pay their.prorated share,based upon the date of possession,of the real estate taxes for the fiscal year in which possession is given (ending June 30,2014)due and payable in the subsequent fiscal year (commencing July 1,2014). 3.POSSESSION AND CLOSING.If BUYERS timely perform all obligations,possession of the Property shall be delivered to BUYERS on July 10,2014,and any adjustments of rent, insurance,taxes,interest and all charges attributable to the SELLERS'possession shall be made as of the date of possession.Closing shall occur after approval of title by buyers'attorney and vacation of the Property by SELLERS,but prior to possession by BUYERS.SELLERS agree to permit BUYERS to inspect the Propetty within 24 hours prior to closing to assure that the premises are in the condition required by this Agreement.If possession is given on a day other than closing,the patties shall make a separate agreement with adjustments as of the date of possession.This transaction shall be considered closed (upon the delivery of the title transfer documents to BUYERS)and receipt of all funds then due at closing trom BUYERS under the Agreement. 4.DEED.Upon payment of the purchase price,SELLERS shall convey the Property to BUYERS by warranty deed,free and clear of all liens,restrictions,and encumbrances except as provided in this Agreement.General warranties of title shall extend to the time of delivery of the deed excepting liens or encumbrances suffered or permitted by BUYERS. 5,USE OF PURCHASE PRICE,At time of settlement,f'unds of the purchase price may be used to pay taxes and other liens and to acquire outstanding interests,if any,of others.
