RESOLUTION 14-280
APPROVING BOND COUNSEL ENGAGEMENT AGRKEMKNT WITH
AHLKRS 4 COONKY,PC
IN THE NAME AND BY THE A UTHOMTY OF THE CITY OF FA USE,IOV'A
WHEREAS,the City of Waukee,iowa is a duly organized municipality witliin Dallas
County;AND,
WHEREAS,it is in the best interest of the City to have bond counsel for the purpose of
completion of proceedings and execution of documents and to render legal opinion;
prepare and review documents for the authorization;issuance and delivery of bonds;
review legal issues related to the structure of the bond issue;review or prepare sections of
the official statement,private placement memorandum or other form of offering or
disclosure documents to be disseminated and issue continuing disclosure certificate;
assist issuer with presenting to bond rating agencies;prepare draft notice of sale;draft
continuing disclosure certificate;and file appropriate Form 8038 with the IRS after
closing;AND,
WHEREAS,the Mayor and City Council have received an agreement dated October 6,
2014,from J.Eric Boehlert on behalf of the firm of Ahlers 2 Cooney,P.C.related to
bond counsel services.
NOW THEREFORE BK IT RESOLVED that the City Council of Waukee,iowa,in
session this 20th day of October 2014,does hereby approve the Bond Counsel
Engagement Agreement with Ahlers k Cooney,P.C.
