HomeMy WebLinkAbout2015-04-06-Resolutions 15-095_Gas Main Blanket BidsTHE CITY OF WAUIME,IOWA RESOLUTION 15-095 APPROVING GAS MAIN BLANKET BID PRICING FROM INFRASOURCE AND Q3 IN THENAMEAND BY THEAUTHORITYOF THE CITY OF WAUKEE,IONIA WHEREAS,the City of Waukee,iowa is a duly organized mnnicipality within Dallas County; AND, WHEREAS,the City contracts with certain companies for gas main installation,steel gas pipe replacement,large service line installation and repair during the construction phase of new subdivisions in the City;AND, WHEREAS,Waukee Public Works requested blanket bids from InfraSource and Q3 for such services;AND, WHEREAS,using the blanket bids,the Waukee Public Works Department computes the lower bidder for each individual City project and contracts with the low bidder.for the work to be completed. NOW THEREFORE BK IT RESOLVED that the blanket bids from InfraSource and Q3, attached hereto as Exhibits A and B,should be and the same is hereby approved. Pricing based on any exoess fill remaining on the property where it was excavated.No haul off of excess spoil is included and will be billed at time and material rates attached. ~Exlensive dewatering is not included,and would need to be billed accordantly. ~Proposal does noi include the cost of permitting.All permitting to be provided by others. This agreement is made April 1",2015 effective through March 3 1",2016 by and between City of Waukee,IA 805 University Avenue Waukee,IA 50263 (Owner)and Q3 CONTRACTING,INC.3066 Spruce Street Little Canada,MN 55117 (Contractor)to perform the Work identified in Article 2. ARTICM 1 Contract Payment.The Owner agrees fo pay Contractor for satisfactory performance of Contractor's work a sum derived by the attached document titled City of Waukee Blanket Contract Unit Pricing 2015 (Exhibit A)or by a detailed individual Project Quote,Said work will be paid by the Owner net 30 days trom receipt of the Contractor's invoice. Scope of Work Conhactor agrees to commence Owner's Work herein described upon notification by Owner and/or after receipt of a formal Work Request.Contractor will perform and complete such Work under general directions of Owner in accord with Owners*schedule. Owner shalt furnish materials.Contractor shall furnish all equipment and labor necessary to complete the Work outlined in this agreement. The Work includes the following work types for natural gas distribution.New business gas inain and gas service installation and the relocation/replacement of existing gas mains &gas services. Activities intended to be part of the general work description include standard installation methods such as trench,plow or HDD.The welding,fusing and general pipe handling required to complete the installation, Pigging,testing,purging and gassing of the installed mains and services.The proper abandonment of any retired main &services.The backfill and compaction of any required excavations.Permanent restoration of any disturbed areas.The provision of traffic controi devices in the form of basic (detours,flagging, extended closures,message boards etc.not included)work area protection.. This contract is a unit based.fee schedule.See attached Exhibit A-City of Waukee,IA Blanket Contract Unit Pricing 2015. Any work performed outside the scope of the Unit Price descriptions/definitions will be performed at the labor &equipment rates also agi'eed to in Exhibit A. Schedule of Work.Time is of the essence.Contractor shall provide Owner with any requested scheduling information of Conh'actor's Work.A Schedule of Work,including that specified on the Work Request issued under this agreement shall be prepared by Owner and may be revised as the Work progresses. Contractor recognizes that reasonable changes may be made m the Schedule of Work and agrees to cooperate with the Owner to accommodate these changes. Contractor shall coordinate its work with all other contractors,subcontractors,and suppliers on the Project so as not to delay or damage their performance,work,or the Project. ARTICLE 4 Changes.Owner,without nullifying this Agreement,may request Contractor in writing to.make changes to Contractor's Work.Adjustments in the scope of work,the negotiated price and/or in contract time resulting fi'om such changes shall be set forth in a Change Order pursuant to the Contract Documents. ARTICLE 5 Failure of Performance.Should Contractor fail to satisfy contractual de6ciencies within ten (10)working days kom the receipt of Owner's written notice,then the Owner shall have the right to terminate this agreement. Neither party will be Hable for its failure to perform under this agreement if such failure arises out of causes beyond their control and without fault or negligence of such party. ARTICLE 6 Insurance.Prior to the acceptance of this contract,Conti'actor shall procure and maintain in force for the duration of this contract,Worker's Compensation Insurance (at statutory levels),Comprehensive Automobile Liability Insurance (not less than $1,000,000 per occurrence)and Comprehensive General Liability Insurance (not less than 1,000,000 per occurrence and uot less than $2,000,000 in aggregate). Owner shall be named as additional insureds on each ofthese policies,except for Worker's Compensation. ARTICLE 7 Indemnification,Bach party (the "Indemnifying Party")shall indemnify,defend,and hold harmless the other party and its afKates and subcontractors of any tier,and the directors,officers,employees,agents,of each,Som and against any claim,demand,action,one,penalty,liability,judgment,loss,damage,injury, cost and expense (including reasonable attorneys'fees)resulting from (a)injury to or death of any person; or (b)damage to or loss or destruction of any real or tangible personal property,to the extent such claims are caused by the negligenoe or intentional misconduct of the Indemnifying Party. ARTICLE g Warranty.The Contractor warrants its work against deficiencies and defects in worhnanship and agrees to satisfy same for a period of twelve (12)months from the date of work completion. ARTICLE 9 Mutual Waiver of Consequential Damages.The parties waive all claims against each other for any consequential,incidental,special,exemplary or punitive dainages (including but not limited to,loss of actual or anticipated profits,revenues or product;loss by reason of shutdown or non-operatlon;increased expense of inanufacturing,operation,borrowing or financing;loss of use,productivity or shop space;or increased cost of capital),and regardless of whether any such claim arises out of breach of contract, guarantee or warranty,tort (including negligence and professional negligence),product liability,indemnity, contribution,strict liability or any other legal theory. ARTICLE 10 Safety.The Contractor,its agents,employees,materialmen,and subcontractors will perform all work on the project.in a safe and responsible manner,in particular,Contractor shall comply with all specific safety requirements promulgated by any government authority,inchiding without liinitation the requirements of the Occupational Safety and Health Act of 1970,the Construction Safety Act of 1969 and all standards and regulations which have been or shall be promulgated by the party's or agency's requirements,standards and regulations,and require and be directly responsible for compliance therewith on the part of its said agents,employees,materialnteu.and subcontractors,and shall directly receive,respond to,defend,and be responsible for all citations,assessments,fines or penalties. The Contractor shall have in place and upon request of the owner provide a copy of the following prograins that meet or exceed the Owner programs identified in the??epartment of Transportation (DOT)code: a.PHMSA.Compliant Anti-Drug Program b.PI%ISA Compliant Alcohol Testing Program c.DOT Compliant Operator Qualification Program (OQ) In witness whereof,the parties have executed this Agreement on the day and year first written above and that each person executing this agreement warrants and represents that he or she is authorized to execute this Master Service Contract on behalf of the painty for whom be or she has signed,and that he or she has the legal authority to bind the party for whom he or she has signed to all the terins,conditions and provisions set foith herein.
