APPROVINC SANITARY SEWER KASEMKNT AND PUBLIC TRAIL EASEMENT
[HUBBELLREALTY]
IN THE NAME AND BY THE A UTHORITY OF THE CITY OF 8'A UKEE,108'A
WHEREAS,the City of Waukee,Dallas County,State of Iowa,is a duly organized Municipal
Organization;AND,
WHEREAS,it has been determined that revised easements are required as a part of the South
Outfall Sanitary Sewer Easement within a portion of the Glynn Village subdivision;AND,
WHEREAS,said easements shall be located on a portion of the property owned by Hubbell
Metropolitan Development Fund I,LLC (Series E,and legally described as referenced in
Exhibits A and B,Easement Area,of the Sanitary Sewer Easement and Trail Easement which is
attached hereto.
NOW THEREFORE BE IT RESOLVED by the City of Waukee City Council in session this
19'"day of September,2016,that it hereby approves the Public Sanitary Sewer Easement and
Public Trail Easement related to the South Outfall Sanitary Sewer Project.

Which property is also described and depicted on the plat attached hereto as Exhibit PE-23A
(hm.einafter referred to as the "Easement Area")for all activities related to the purpose of the City
constructing,reconstructutg,repairino,enlarging and maintaining a sanitary sewer,together with thc
necessary appurtenances thereto,under,over and through stltd Easelnent Area.
This Easement shall be subject to the following tertns and conditions;
ERECTION OF STRUCTURES PROHIBITED.Grantor shall not erect any structure over or
v ithin the Easemont Area without obtaining the prior written approval of the City.
PLANTINGS.The planting of trees and shrubs is prohibited within the Easement Area.
CHANGE OF GRADE PROHIBITED.Grantor shall not change tlm grade,elevation or
contour of any part of the Easement Area without obtaining the prior written consent of the City.
RIGHT OF ACCESS.The City,its agents,contractors,employees mtd assigns shall have the
right of access to the Easement Area and have all rights of ingress and egress reasonably
necessary for the use and enjoyment of the Easement Area as herein described.This Easement
further allows the City,its agents,contractors,employees and assigns t te ng tt to enter tn,upon
and onto the Easement Area at tuty time to perform any and all acttvities related to or necessary
for the consnuction,reconstruction,repair,enlargement or maintenance of the samtary sewn,
including but not limited to the following activities:(I)grading and excavation;(2)htutling,
transporting and storage of materials and equipment;(3)removal of any unauthorized plantings
or structures placed or erected within the Easement Area;(4)trimming and/or removal of trees,
shrubs,and landscaping within or encroaching upon the Fasement Area;and (5)utility work
including but not limited to relocation,placement and removal of various utility facilities such as
electric poles and wires,water lines,sewer lines and natural gas facilities that arc within or.
encroaching upon the Easement Area.This right of access shaH begin on the d;tte that Grantor
executes this document.
EASEMENT RUNS WITH LAND.This Easmnent shall be deemed to rutn with the land and
shall be bmding on Grantor and on Grantor's successors and assigns.
APPROVAL BY CITY COUNCIL.This Easement shall not be binding until it has received
I'inal approval and acceptance by the City Council of the City of Waukee by l(esolution,which
approval and acceptance shall be noted on this Easement.
SPECIAL PROVISIONS.Nothing herein prevents the assignment or conveyance of this
Easement to the WRA,as the City intends to assign or quit claim alf its intetvst m the Easement
Area to the WRA upon completion of the construction of thc project and acceptance of the
project by the WRA in accordance with the Chapter 28E Agreentent between the City of
Waukee,lotva and the Des Moines Metropolitan Wastewater Reclamation Authority for the
Financing,Design and Construction of the Waukee Interceptor Sewer to Connect Waukee to the
WRA Conveyance System.
Grantor does hereby covenant with the City that Grantor holds said real estate described in this Fttsement
by Title In Fee Snnple;th«t Grantor has good and lawful authority to coltvey the same;and said Grantor
covenants to wan ant and defend the said premises against the lawful claims of all persons whomsoever.
Fach of the undersigned hereby relinquishes all rights of dower,homestead and distributive share,if any,
in and to the interests conveyed by this Easetnent.

PUBLIC TRAIL EASEMENT
KNOW TO ALL PERSONS BY THESE PRESENTS,that the undersigned,HUBBELL
METROPOLITAN DEVELOPMENT FUND I,LLC (SERIES E),an series of a multi-series
(outa limited liability company,(hereinafter referred to as the "Grantor"),in consideration of the
sum of One Dollar ($1.00)and other good and valuable consideration,the receipt and sufficiency
of which is hereby acknowledged,does hereby sell,grant,and convey to the CITY OF
WAUKEE,IOWA,a municipal corporation (hereinafter referred to as "the City"),a permanent
and perpetual easement for public access and trail right-of-way (hereinafter referred to as the
"Easement")and right-of-way upon,over,under,through and across the real property legally
described as:
SEE EXHIBIT "A"ATTACHED HERETO
(heremafter referred to as the "Easement Area")for the purpose of public access and trail
purposes on the surface of the Easement.Area in a manner that will permit its free and
unobstructed use by the public by pedestrians and non motorized vehicles,and motorized
vehicles as maybe allowed and/or regulated from time to time by ordinance duly adopted by the
City,for the purpose of allowing and obtaining access from one property to another by members
of the public and as maybe necessary to allow the City the right to access,from time to time,to
construct,replace,locate,rebuild,enlarge,reconstruct,patrol,repair and forever maintain the
Easement whenever necessary,in the City's sole discretion.
This Easement shall be subject to the following terms and conditions:
l.ERECTION AND PLACEMENT OF STRUCTURES QBSTRUCTIONS
PLANTINGS OR MATERIALS PROHIBITED.Grantor shall not cause or permit the planting,
erection,or placement of any obstruction,planting,material,fence or other structure,under,
over,on,tluough,across,or within the Easement Area,without obtaining the prior written
consent of the Grantee.
2.Maintenance of Easement.The owner or occupant of each parcel of property upon
which the Easement Area is located shall keep and preserve that portion of the Easement Area
within his or her property in good repair and condition at all times,and shall not plant nor
permit to grow any trees or other vegetative growth which might reasonably be expected to
obstruct or impair usage of the Easement as a trail.
3.Chan e in Grade Prohibited.Grantor and its successors and assigns shall not
change the grade,elevation or contour of any part of the Easement Area without obtaining the
prior written consent of the City.

Easement Area and have all rights of ingress and egress reasonably necessary for the usc and
enjoyment of the Easement Area as herein described,including,but not limited to,the right to
remove any unauthorized obstructions or structures placed or erected in the Easement Area.
5.Pro ert To Be Restored.Upon completion of any construction,reconstruction,
repair,enlargement or maintenance of any improvements in the Easement Area,the City shall
restore the Easement Area in a good and workmanlike manner to a condition comparable to its
condition before construction,reconstruction or alteration,including the sodding of the grassy
areas disturbed by the work and removal of all debris and equipment used by the City in
connection with the work performed in the Easement Area.The City is not responsible for
replacing any other thing including,but not limited to,vegetation,trees,shrubs,watering
devices or any other planted,buried or other thing of any kind whatsoever erected,placed,
installed or planted upon the Easement Area.
6.Hold Harmless.The Grantor agrees to indemnify and hold harmless the City,its
elected officials,employees,officers,agents,representatives,contractors,and attorneys from
and against any and all claims or demands for liability,loss,damage,costs,expenses,or
attorney's fees of any kind for actions or omissions of the Grantor arising out of or in connection
with any undertaking arising out of'or otherwise related to this Easement.
7.Runninc of Benefits and Burdens.The terms and conditions of this Easement are
binding upon the Grantor including,but not limited to,future owners,developers,lessees or
occupants.All provisions of this instrument including benefits and burdens,run with the land
are binding upon and inure to the heirs assigns,successors,tenants and personal representatives
of the patxies hereto.
8.Jurisdiction and Venue.The City and the Grantor agree the District Court of the
State of Iowa shall have exclusive jurisdiction over the subject matter and enforcement of the
terms and conditions of this Easement and said parties consent to the jurisdiction of the person
being in Dallas County,Iowa.
9.Words and Phrases.Words and phrases shall be construed as in the singular or
plural number,and as masculine,feminine or neuter gender,according to context.

should they prevail in such litigation they shall recover as part of their costs the reasonable
attorney's fees incurred in such litigation.
Grantor does HEREBY COVENANT with the City that (i)Grantor holds said real estate
described in this Easement Area by title in fee simple;(ii)that Grantor has good and lawful
authority to convey the same;and (iii)said Grantor covenants to WARRANT AND DEFEND
the said Easement Area against the claims of all persons whomsoever.
Each of the undersigned hereby relinquishes all rights of dower,homestead and distributive
share,if any,in and to the interests conveyed by this Easement.
Words and phrases herein,including acknowledgment hereof,shall be construed as in the
singular or plural number,and as masculine or feminine gender,according to the context.
