AGENDA ITEM:Consideration of approval of a resolution approving the exercising of the
option to purchase land from Phillips Hamilton, Inc.
FORMAT:Resolution
SYNOPSIS INCLUDING PRO & CON: This resolution would approve the City moving
forward with the purchase of the first parcel of land of 103.5 acres from
Phillips Hamilton. The seller had requested that we move the closing
date from June 1st to April 3rd to accommodate seller’s exchanges.
FISCAL IMPACT INCLUDING COST/BENEFIT ANALYSIS: $4,347,000.00
COMMISSION/BOARD/COMMITTEE COMMENT: N/A
STAFF REVIEW AND COMMENT: Other than moving the closing date for the first land
purchase from June 1st to April 3rd all of the other terms and conditions of
the purchase agreement approved by the Council in August, 2017 are
being followed.
RECOMMENDATION: Approve the resolution.

RESOLUTION 18-
APPROVING THE EXERCISE OF THE OPTION TO PURCHASE LAND FROM
PHILLIPS-HAMILTON, INC.
IN THE NAME AND BY THE AUTHORITY OF THE CITY OF WAUKEE, IOWA
WHEREAS, on or about the 24th day of August 2017, the City and Phillips-Hamilton,
Inc. entered into an Option to Purchase (the “Option Agreement”) with regard to certain
real estate located within the City; AND,
WHEREAS, the City desires to exercise its first option to purchase as stated in
paragraph 4.a. of the Option Agreement; AND,
NOW THEREFORE BE IT RESOLVED, by the City of Waukee City Council in
session this 19th day of March, 2018, that the Mayor or Finance Director is authorized to
execute any and all documents necessary to exercise the first option to purchase real
estate owned by Phillips-Hamilton, Inc. as contained at paragraph 4.a. of the Option
Agreement.
