AGENDA ITEM: Consideration of approval of a resolution approving Amendment to Blanket
Bid Agreement with InfraSource Construction LLC
FORMAT: Resolution
SYNOPSIS INCLUDING PRO & CON: The Agreement is to extend the previous Blanket Bid
Agreement dated February 27, 2015 that provides blanket pricing for gas
services to customers for the years 2015 and 2016. The amendment shall be
extended from December 31, 2016 until March 31, 2017. The new contract
for the blanket bids is scheduled to be on April P Council meeting.
The City contracts out gas main installation, steel gas pipe replacement, large
service line installation, and repair within all the new subdivision.
FISCAL IMPACT INCLUDING COST/BENEFIT ANALYSIS: There are no price increases for
extension.

RESOLUTION 17-
ACCEPTING AMENDMENT TO GAS MAIN BLANKET BID AGREEMENT
WITH INFRASOURCE CONSTRUCTION, LLC
IN THE NAME AND BY THE AUTHORITY OF THE CITY OF WAUKEE, IOWA
WHEREAS, the City of Waukee, Iowa is a duly organized municipality within Dallas
County; AND,
WHEREAS, on April 6, 2015, the Waukee City Council approved a blanket bid from
InfraSource Construction, LLC, related to gas main installation, steel gas pipe
replacement, large service line installation and repair (Resolution #15-095); AND,
WHEREAS, InfraSource Construction, LLC, has provided the City with an amendment
to the previous Gas Main Blanket Bid Agreement, extending the same pricing until
March 31, 2017.
NOW THEREFORE BE IT RESOLVED by the City of Waukee City Council in
session this 6t" day of February, 2017, that it hereby accepts the amendment to Gas Main
Blanket Bid Agreement with InfraSource Construction, LLC.

AMENDMENT TO BLANKET AGREEMENT
THIS FIRST AMENDMENT ("First Amendment'), dated the day of
2017, is by and between City of Waukee ("Customer"), and
InfraSource Construction, LLC ("InfraSource").
RECITALS
WHEREAS, Customer and InfraSource have entered into that certain Blanket Agreement
dated as of February 27, 2015 that provides blanket pricing for InfraSource services to Customer
for the years 2015 and 2016 ("Agreement').
WHEREAS, Customer and InfraSource desire and agree to extend the term of the
Agreement on the terms and conditions set forth below.
AGREEMENT
NOW THEREFORE, in consideration of the mutual promises and covenants herein, and
other good and valuable consideration, the receipt of which is hereby acknowledged, the parties
agree as follows:
1. The recitals set forth above are incorporated herein and made a part of this First
Amendment.
2. The tern of the Agreement shall be extended from December 31, 2016 until
March 31, 2017.
3. Except as modified herein, all other terms and conditions of the Agreement are
hereby ratified and affirmed and the Agreement shall remain in full force and effect.
4. In the event of a conflict between the terms of the Agreement and the terms of this
First Amendment, the terms set forth in this First Amendment shall control.
5. This First Amendment has been duly authorized, executed and delivered on behalf
of Customer and InfraSource and constitutes the valid and binding agreement of such
parties in accordance with the terms hereof.
7. This First Amendment may be executed in one or more counterparts, each of
which shall be deemed an original but all of which together shall constitute one and the
same instrument. Each party to this First Amendment shall be bound by its own
electronically transmitted signature and shall accept an electronically transmitted
signature from the other party.
IN WITNESS WEREOF, the parties hereto have executed this FIRST AMENDMENT on
the day and year first above written.

Pricing
Please see unit rates attached. Pricing has been provided for years 2015 and 2016, 2017 will need to be negotiated upon
completion of 2016.
Orderina
Upon submission of a specific project, pricing will conform to the pricing schedule attached to this document. Scheduling of
services is based on availability.
Exclusivity
This contract does not obligate the City of Waukee to utilize the services of InfraSource Construction LLC under this proposal.
InfraSource Construction LLC understands and offers Its services on a project basis based on the pricing scheduled contained
therein.

Technical Clarifications
• Proposal Is based on a 50 hour work week. Delays due to others may result in a change order for labor and
equipment.
• Pricing is based on "neW' installation.
• Delays caused by others or by archeological/hazardous material discoveries may be negotiated through a change
order.
• Proposal does not include the cost of crop damage within the project boundaries. Any crop damage cost associated
with normal construction activities would be the responsibility of the others unless noted in the RFP.
• Pricing based on any excess FlII remaining on the properly where it was excavated. No haul off of excess spoil is
included and will be billed at lime and material rates attached.
• Extensive dewatering Is not included, and would need to be billed accordantly.
• Proposal does not include the cost of permitting. All permitting to be provided by others.
• Proposal assumes that native fill will be used. InfraSource has included the cost to maintain the top soil from freezing
throughout the project.
• Service pricing based on receiving a Y." or 1" PLS Hot Tie In Unit paid for each service.
• Please note we added an additional Unit to cover 2" PLS Hot Tie Ins — this unit is highlighted in yellow.
• InfraSource currently maintains equipment to perform up to 4" Low pressure laps. Any other taps performed would be
subcontracted and billed at cost plus 151/o.
• Any subcontracting and or materials purchased to be invoiced at cost (Including any and all taxes, fees etc.) plus 15%.
• By passes would be project specific and priced per each at that time.
• Terms — Net 30.
• Proposal does not include the cost associated with boring/trenching in rock. If rock is encountered, it will be billed at a
rate negotiated between InfraSource and the Owner.
o No Liquidated Damages will be accepted if rock is encountered.
o Milestones will need to be adjusted if rock is encountered.
