AGENDA ITEM: Consideration of approval acceptance of the 3 year proposal from
Denman & Company, LLP for audit services for the fiscal years ending
June 30, 2016, 2017 and 2018.
FORMAT: Resolution
SYNOPSIS INCLUDING PRO & CON: Our current three year contract for Audit
Services expired with the completion of the FYI Audit Report. The
original RFP allowed for one extension for a maximum of three
additional years. Denman & Company has provided the attached
agreement for an additional three year term. The proposal includes no
increase for the first year, and a minimal increase of $200 each of the last
two years for audit services; and no change to the fees for A-133 services
when required.
FISCAL IMPACT INCLUDING COST/BENEFIT ANALYSIS: $25,900, $26,100 and
$26,300 for FY16, FY17 and FY18 respectively. A-133 $3,600 when
required.
COMMISSION/BOARD/COMMITTEE COMMENT:
STAFF REVIEW AND COMMENT: Staff recommendation is to award a three year contract
extension to Denman & Company, LLP. Based on previous satisfaction
with this firm and the professional level of services the City has received,
staff recommends continuing with their services.
RECOMMENDATION: Approve the resolution.

RESOLUTION
APPROVING AND ACCEPTING DENMAN & COMPANY, LLP FOR
AUDITING SERVICES FOR YEARS ENDING JUNE 30, 2016, 2017 AND 2018
IN THE NAME AND BY THE AUTHORITY OF THE CITY OF WAUKEE, IOWA
WHEREAS, Denman and Company, L.L.P. have provided auditing services for the City
of Waukee during the fiscal years 2001 - 2015; AND,
WHEREAS, Denman and Company, L.L.P. have been thorough, efficient and
constructive in their opinions and recommendations for the City of Waukee; AND,
WHEREAS, Denman and Company, L.L.P. is providing a valuable service at a fair and
reasonable rate not to exceed $25,900, $26,100 and $26,300 respectively per year for
auditing services; AND,
WHEREAS, Denman is providing A-133 audit services as required for the City of
Waukee during the fiscal years at an additional fee of $3,600 per year; AND,
WHEREAS, other routine consulting services as required by the City of Waukee during
the fiscal years will be provided by Denman and Company, without additional fees;
AND,
WHEREAS, other non -routine consulting services as required by the City of Waukee
during the fiscal years will be provide at Denman and Company's standard hourly rate.
NOW THEREFORE BE IT RESOLVED by the City of Waukee City Council in
session this 2"d day of May 2016 that it hereby approves and accepts the proposal from
Demean & Company, L.L.P. for auditing services to be provided to the City of Waukee
for years ending June 30, 2016, 2017 and 2018.

AGREEMENT BETWEEN
The City of Waukee
AND
Denman & Company, LLP
THIS AGREEMENT made and entered into this 2nd day of May, 2016, by and between The
City of Waukee, hereinafter called "City' and Denman & Company, LLP, hereinafter called "Auditor."
WHEREAS, the City wishes to obtain the services of the Auditor to perform an audit in
accordance with Section 11.6, Code of Iowa, for the 3 year(s) ending June 30, 2016, 2017 & 2018; and
WHEREAS, the Auditor is equipped and staffed to perform the above audit; and
WHEREAS, this agreement is in the public interest in fulfilling the requirements of Chapter
11 of the Code of Iowa.
NOW, THEREFORE, BE IT UNDERSTOOD AND AGREED:
Services of the Auditor
A. Provide auditors of various classifications and for the estimated hours
as detailed in 2.A of this agreement.
B. Begin work on the audit as specifically agreed upon with the City.
C. Perform all work in accordance with U.S. generally accepted auditing
standards, Government Auditing Standards, and applicable federal
requirements.
D. Immediately inform the City, the Auditor of State, and County Attorney
if the audit discloses any irregularity in the collection or disbursement
of public funds.
E. Provide access to the working papers to any appropriate federal
agencies for the period of time specified in relevant agreements entered
into by the City.
F. Provide access to the working papers to the Auditor of State in
accordance with Chapter 11 of the Code of Iowa.

Conditions of Payment
A. The Auditor shall present an invoice for services by the first day of each
month for services provided.
B. The City shall provide payment within thirty (30) days of receipt of the
invoice.
C. The total reimbursement for the audit performed for each fiscal year
shall not exceed the following amounts except as specifically agreed by
the City and the Auditor:
Fiscal Year 2015/2016 $25,900 plus $3,600 if A-133 procedures required
Fiscal Year 2016/2017 $26,100 plus $3,600 if A-133 procedures required
Fiscal Year 2017/2018 $26,300 plus $3,600 if A-133 procedures required
Termination of Agreement
A. The City may terminate this contract without notice if the Auditor fails to
perform the covenants or agreements contained herein. Such termination shall
be effective upon the Auditor's receipt of written notice of termination.
B. The City may terminate this agreement on or before June 1 of any year in which
this agreement remains in effect, by mailing written notice on or prior to June
1. Any such termination shall only terminate this agreement with respect to
new audits beginning after the date such notice is given.
C. The Auditor shall be paid for all work satisfactorily performed to the date of
termination.
D. If not sooner terminated, this agreement shall expire upon the Auditor's
completion of the City's audit for the fiscal year ending June 30, 2018.
IT WITNESS THEREOF, the City of Waukee and the Auditor have executed this AGREEMENT
as of the date indicated below:
