AN ORDINANCE TO AMEND CHAPTER 301, WAUKEE MUNICIPAL CODE,
ZONING ORDINANCE OF THE CITY OF WAUKEE, IOWA, BY REZONING AND
CHANGING CERTAIN PROPERTY THEREIN FROM C-1 [COMMUNITY AND HIGHWAY
SERVICE COMMERCIAL DISTRICT] TO C-IB [LARGE SCALE COMMERCIAL
DISTRICT[, C-4 [OFFICE PARK COMMERCIAL DISTRICT] AND R-4 [ROW DWELLING
AND TOWNHOME DWELLING DISTRICT]; AND AMEND THE OFFICIAL ZONING MAP

BE IT ORDAINED by the Council of the City of Waukee:
Section 1. Section 301.4 of Chapter 301, Waukee Municipal Code, Zoning Ordinance of
the City, adopting the Official Zoning Map, is hereby amended by changing the following real estate

adjudged invalid or unconstitutional, such adjudication shall not affect the validity of the ordinance as
a whole or any section, provision, or part thereof not adjudged invalid or unconstitutional.

Section 4. Effective Date. This ordinance shall be in effect upon its final passage, approval
and publication as provided by law.

DEVELOPMENT AGREEMENT
July 7, 2006
THE CROSSING AT ALICE'S ROAD
This Development Agreement (the "Agreement") is made and entered into this -114- day
of 51N W 2006, by and between the CITY OF WAUKEE, IOWA, a municipal corporation
(the " ity'% and Alices, L.C. (the "Property Owner").
WHEREAS, the Property Owner has developed and submitted to the City a master
development plan ("Master Plan") for developing the Property as The Crossing at Alice's Road
(the "Project"); and
WHEREAS, in order to develop the Property in accordance with the Master Plan, the
City and the Property Owner desire that the Property be rezoned, prior to development, to a
combination of CI-B, C-4 and R4 (proposed zoning districts), in accordance with and in
consideration of the provisions of this Agreement and Section 414.5 of the Iowa Code; and
NOW, THEREFORE, in consideration of the above premises, the rezoning of the
Property and the promises and agreements set forth herein, it is hereby agreed between the
Property Owner and the City as follows:
I. Rezoning. The Property shall be rezoned to Cl-B, C4 and R4 from the
present zoning classification of C-1 (Community and Highway Service Commercial District) as
legally described in Exhibit "A".
2. Master Plan. The Property Owner has submitted a Master Plan in conjunction
with the Property Owner's request for rezoning to allow the development of the Property as a
planned commercial and residential development, including commercial retail, commercial
office and town home residential. A copy of the Master Plan, dated May 16, prepared by Purdy
and Slack Architects, is attached hereto as Exhibit "B."
3. General Provisions.
a. Easements. Should there be more than one owner comprising the Cl-B zoned
parcels, said owners shall, at the time of site plan approval, enter into
reciprocal easements for utilities, access and maintenance.
b. Buffer and Open Space Requirements. This development shall provide all
minimum Buffering and Landscaping requirements per the appropriate zoning
district. Additionally a 30' buffer shall be located on the property line
between C 1-B zoning and the C-4 and R-4 zoning. The buffer shall
incorporate berming where possible and consist of 70% Evergreen Trees (6'
height minimum) and 30% Deciduous Trees (2" caliper minimum) and
planted with viburnum shrubs (5 gal minimum). There shall be one tree and 3

shrubs per 250 square feet of buffer, all other planting, berming and buffering
shall comply with the zoning code of the City of Waukee.
4. Retail I (lots 9 & 10).
a. Uses. The uses allowed on lots 9 & 10 as shown on the Master Plan (Exhibit
"B") shall be those permitted under the provisions of the C1-B district.
b. Site Plan. The design and building materials of the improvement on said lots
9 & 10 shall comply with the provisions of the CI-B regulations of the
Waukee zoning ordinance. Such design shall be subject to approval in
accordance with the applicable site plan ordinance of the City of Waukee,
Retail II (lots 1-8 & 11-12).
a. Uses. The uses allowed on lots 1-8 & 11-12 as shown on the Master Plan
(Exhibit "B") shall be those permitted under the provisions of the C1-13
district.
b. Site Plan. The design and building materials of the improvement on said lots
1-8 & 11-12 shall comply with the City of Waukee Site Plan Ordinance and
the General Architectural Style Requirements as set forth below.
6. Office (lots 13-16).
a. Uses. The uses allowed on lots 13-16 as shown on the Master Plan (Exhibit
"B") shall be those permitted under the provisions of the C-4 district.
b. Site Plan. The design of the improvement on said lots 13-I6 shall comply
with the provisions of the C-4 regulations of the Waukee zoning ordinance.
The building materials of the improvement on said lots 13-16 shall comply
with the City of Waukee Site Plan Ordinance and the General Architectural
Style Requirements as set forth below.
7. Residential (lot 17).
a. Uses. The uses allowed on lot 17 as shown on the Master Plan (Exhibit `B")
shall be those permitted under the provisions of the R-4 district.
b. Site Plan. The design and building materials of the improvement on said lot
17 shall comply with the provisions of the R-4 regulations of the Waukee
zoning ordinance.

8. General Architectural Style Requirements.
a. The development shall be classified into four architectural groups:
(I.) RETAIL I (lots 9 & 10): These buildings shall establish mutual
architectural standards with the City and shall not be included in the
architectural requirements outlined within this Development Agreement
(2.) RETAIL II (lots 1-8 & 11-12): These buildings shall have an
eclectic style that is weighted towards the historical which will give the
development life and vitality from the complexity and detail of building
forms, richness of materials and detailing, and commonality of materials
and colors. See Appendix A for a graphic example of the Architectural
Style.
Certain buildings in this development will be required to provide a type of
architecture referred to as "four sided design." This is defined as all sides
of the building shall have visual interest and high quality design. Four
sided architecture shall be required on all outlot buildings and all free
standing pad site buildings.
Building facades that cannot be substantially seen by the public right of
ways shall be allowed to use a higher percentage of secondary building
materials. If this option is chosen there shall be increased plantings along
those facades.
(3.) OFFICE (lots 13-16): These buildings shall comply with C-4 zoning
requirements.
(4.) RESIDENTIAL (lot 17): These buildings shall comply with R-4
zoning requirements.
b. Retail II Building Requirements
(L) Primary Building Materials:
- Brick (clay) of the color ranges as shown in Appendix B.
- Quick Brick (An integrally colored concrete block unit 4" high, 16"
long of the color ranges as shown in Appendix B).
- Natural or synthetic stucco (E.I.F.S.). Color shall be in the color
ranges as that shown in Appendix B or selected as a complimentary
color to the brick colors.
- Natural or Composite stone laid horizontally in the color ranges as
shown in Appendix B.
- Precast concrete with sufficient detail, pattern, or reveals to give
scale. Color shall be in the color ranges as that shown in Appendix
B.
- Roof Materials shall be limited to the following: standing seam or
batten metal roof systems with a long life, high performance color

finish (compatible with color ranges shown in Appendix B), copper,
real or simulated tile, slate or concrete tile. Single ply membranes
shall be limited to flat roofs or pitched roofs not visible from public
areas.
(2.) Secondary Buildings Materials:
- Brick (clay) of the color ranges as shown in Appendix B.
- Quick Brick (An integrally colored concrete block unit 4" high, 16"
long of the color ranges as shown in Appendix B).
- Natural or synthetic stucco (E.I.F.S.). Color shall be in the color
ranges as that shown in Appendix B or selected as a complimentary
color approved by the City.
- Natural or Composite stone laid horizontally in the color ranges as
shown in Appendix B.

B.
- Integrally colored split -faced concrete block. Color shall be in the
color ranges as that shown in Appendix B.
- Laminated metal panels (Alucobond or similar) of a natural
aluminum color.
- Painted split -faced concrete block is only allowed for surfaces not
visible from public areas. Paint color shall be in the color range as
that shown in Appendix B or of a color range that is complimentary
to the main body color of the building facade and that is approved by
the City.
c. Office Building Requirements
(1.) Primary Building Materials:
- Brick (clay) of the color ranges as shown in Appendix B.
- Natural or composite stone laid horizontally in the color ranges as
shown in Appendix B.
- Precast concrete with sufficient detail, pattern, or reveals to give
scale. Color shall be in the color ranges as that shown in Appendix
B.

9. Mandatory Building Element Requirements.
a. Roof Top Mechanical Screens. All roof top mechanical units, including
motel/hotel room units, shall be screened from view frorn public right-of-ways
through the use of permanent architectural screens that are integrated with the
overall design of the building.
(L) The screen shall be constructed from the following:
(a.) Any of the Primary or Secondary Building Materials listed for
the building's project type.
(b.) Pitched roof elements compatible with allowed roofing
materials.
b.Ground Level Mechanical Screens. All ground level mechanical units shall be
screened from view from public right-of-ways through the use of architectural
screens that are integrated with the overall design of the building.
(L) The screen shall be constructed from the following:
(a.) Any of the Primary Building Materials listed for the building's
project type.
c.Refuse Screening. All trash or refuse receptacles shall be screened from view
from public right-of-ways through the use of architectural screens that are
integrated with the overall design of the building.
(L) The screen shall be constructed from the following:
(a.) Any of the Primary Building Materials listed for the building's
project type.
(2.) If gates are utilized as part of the screen, they shall be constructed
from the following:

(a.) Standard detail as shown in Appendix C.
(3.) If the refuse container is integrated with the dock area then the dock
screening shall be sufficient
d. Dock Screening. All loading docks shall be screened from view from public
right-of-ways through the use of one of the following:
(L) Architectural screens that are integrated with the overall design of the
building.
(a.) The screen shall be constructed from the following:
- Any of the Primary Building Materials listed for the
building's project.
(2.) Landscape screen of a density to screen 80% of the dock area from
view within 3 years of planting. View shall be 80% screened all 12
months of the year.
e. Building Lighting. All buildings within this development shall be significantly
lit at night with metal halide color lighting. The lighting shall be tastefully done
and shall highlight entrances, corners, and other architectural features.
Site Furniture. Site furniture, waste cans, directories, ash urns, guard rails or
railing enclosures, shall be as shown in the illustrations shown in Appendix D.
The color of the site furnishings shall be Black. Site planters shall be traditional
in shape and shall be terra Gotta in color.
10. Building Material Exceptions.
The following exceptions may be considered at the discretion of the City of
Waukee.
a. Building Material Exception for Retail Buildings. (not allowed for Office
Buildings).
(L) If the building is properly screened (landscape buffer, another building
within a development, etc.) so that any given facade cannot be seen
from a public right-of-way, then that specific facade may be
constructed entirely of secondary Building materials as outlined for
that specific building type.
I I . Color Palettes.
In order to encourage a proper balance of vitality and cohesiveness within the
development, Appendix B color ranges have been established
12. Site Lighting.
a. Developers within The Crossing at Alice's Road shall incorporate pole lights
into their project to light parking lots, entry plazas, etc.; those pole lights shall
be the following:

(L) Pedestrian Plaza and Feature lights. These shall be single or double
headed light fixtures on a lower scaled pole as shown in Appendix E.
The luminaries for these light fixtures shall be an appropriately sized
fixture as shown in Appendix F.
(2.) Parking Lot Lights. These shall be single or double -headed light
fixtures on 30 foot aluminum poles. The fixture shall be as shown on
Exhibit G.
13. Project Signage.
a. All signage shall comply with the City of Waukee .Zoning ordinance.
b. Signage requirements specific to this Development are as follows:
(L) All building signs shall be individual can letters. Color of letters is up
to the Building owner.
(2.) All frontage monument signs shall be internally illuminated and shall
be constructed per Appendix H.
14. Runs with the Land. The obligations under this Agreement shall run with the land
and be binding upon the future owners of the Property.
15. Amendment. The terms of this Agreement may be amended by mutual agreement
of the parties hereto, but.any such amendment shall be in writing and shall be
filed of record with the Dallas County Recorder.
16. Bonding. The terms and conditions of this Agreement shall be binding upon and
shall inure to the benefit of the heirs, successors and assigns of the respective
parties hereto
17. Severability. If any provision hereof is for any reason unenforceable or
inapplicable, the other provisions hereof will remain in full force and effect in the
same manner as if such unenforceable or inapplicable provisions had never been
contained herein.
18.. Governing Law. This Agreement shall be governed by and construed in
accordance with the laws of the State of Iowa.
19. Recording. This Agreement shall be recorded with the Polk County, Iowa,
Recorder, as an exhibit to the ordinance rezoning the Property and shall constitute
a valid and effective agreement pursuant to the terms and conditions of Section
414.5 of the Iowa Code.

The sign may he double sided. The entire surface face of the sign construction shall

ROADWAY AGREEMENT
THIS ROADWAY AGREEMENT is entered into this day of July 2006 by and
between ALICES, L.C., an Iowa limited liability company ("Alices") and POINT OF
GRACE MINISTRIES, INC., an Iowa nonprofit corporation ("Point of Grace").
RECITALS:
A. Alices is the owner of property located in the northwest corner of Hickman and
Alices Road in the City of Waukee, Dallas County, Iowa (the "Alices Property").
B. Point of Grace is the owner of the adjacent property to the west (the "Point of Grace
Property").
C. The City of Waukee has encouraged the development of a roadway by Alices and
Point of Grace to be located both on the Alices Property and the Point of Grace Property
similar to the roadway shown on the site plan attached to this Agreement as Exhibit "A".
NOW THEREFORE, in consideration of the mutual benefits to be realized, the mutual
agreements set forth herein and other good and valuable consideration, the receipt and
sufficiency of which is hereby acknowledged, the parties hereby agree as follows:
1. DESIGN OF ROADWAY. The parties agree that a roadway will be
constructed of Portland Concrete Cement with a minimum of a one hundred foot right-of-
way and a boulevard street measuring seventy feet from back of one curb to the back of
the second curb and centered on the shared property line. Either party that desires the
roadway to be constructed may undertake the design of the roadway and will submit to
the other for approval the expected design of the roadway along with a cost estimates for
the construction and a projected timeline for completion. The parties agree to work
diligently and in good faith to reach an agreement on the design, cost and timeline for the
construction of the roadway that is satisfactory to the City of Waukee.
2. CONSTRUCTION OF ROADWAY. Once a design, cost and timeline for
the construction of the roadway has been approved by both parties, the parties will enter
into a construction contract for the construction of the roadway using the approved plans
and specifications and cost estimates and will split the cost of construction of that portion
of the roadway that is shared by the parties. Notwithstanding the parties' agreement to
split the cost of construction of the roadway, at Point of Grace's option, Alices will pay
upfront the total cost of construction and allow Point of Grace to repay over a period of
time not in exceed thirty-six months at the same interest rate as Alices pays on its
financing for the Alices Property. Connector roads that benefit only one party will be
paid for by the party that is benefited and will be maintained by that party if not a public
dedicated road. If needed, an easement will be granted by the party who owns the land
where the connector road is located. Connector roads do not need to be built until such
time as the benefited party detennines that it is desired. After construction of the shared
