The August 16,1993 Waukee City Council regular meeting was called to order at 7:05 P.M.
by Mayor Floyd W.Rosenkranz with Bob Barrett taking minutes.
Roll call was taken and the following Councilmen were present:Don Bailey,Jr.,Ray Clark,
Frank Duroy and Nick Gruber.Councilman Curt Scott was absent.
Guests and staff present were:Brian Redshaw,Dan White,Jim DeWitt,Jr.,Paul E.Huscher,
Dennis Hanes,Don Henson,Steve Pierce,Tom Mehl,Ben Phillips,Caroline Hermann,Rick
Arnold,Chuck 'I'hcrnas,Don Beal,Bill Breen,Don Marean,Helen Lockwood,Bill Forbes,Pat
Shephard,La Donna Gratias,Tom Gratias,Ted Oswald and Mike Wolfe.
Awroval Of 7/13,7/26 and 8/2 Minutes.Motion by Councilman Gruber and seconded by
Councilman Bailey to approve the July 13th,26th and August 2nd Council meeting minutes
as presented.Motion carried 4 to O.
Agenda AddUions.Liquid chloride application system (22A).Motion carr-leo 4 to O.
Open Fonnn.Caroline Hermann,3111 V Avenue,spoke to the Council requesting that Xenia
Rural Water be permitted to extend service to her home.This was not included in the
published agenda and therefore the Council is unable to take final action.
Councilman Scott arrived at 7:12 P.M.
Guests:Chuck Thomas -Ho!rebuilders Association.Mr.Thomas had been invited to the
Council meeting to discuss builder concerns and areas of substantial differences between
building requirements in Waukee and those of su=ounding communities.Items of discussion
included:building permit fees and approval time:roof tie-downs:lot surveying;furance
ventalation and sump pump discharge requirements.

Resolution To Issue $725K Warrants.Councilman Clark introduced the resolution entitled
"Resolution providing for the issuance of warrants in connection with the construction of
the 1993 Hickman West Industrial Park Improvements Project",and moved that said
resolution be adopted;seconded by Councilman Duroy.After due consideration thereof by
the Council,the Mayor put the question on the motion and the roll being called,the
following named Councilmen voted:Ayes:Bailey,Clark,Duroy,Gruber and Scott.Nays:
None.Motion carried 5 to O.Whereupon,the Mayor declared the resolution duly adopted,
as follows:

Resolution providing for the issuance of warrants in connection with
the construction of the 1993 Hickman West Industrial Park
Improvements Project
WHEREAS,the City Council of the City of Waukee,Iowa (the "City"),has authority
to issue warrants for the purpose of defraying costs in connection with the construction
of the 1993 Hickman West Industrial Park Improvements Project (hereinafter referred to as
the "Project");and
WHEREAS,to pay for authorized costs of the Project,it is necessary to issue
warr'ant.sin the aggregate principal amcunt of $725,000,pursuant to the provisions of
Section 384.57 of the Code of Iowa.
NOli,THEREFORE,It Is Resolved by the City Council of the City of Waukee,Iowa,as
follows:
Section 1.The City Clerk is authorized and directed to issue $725,000 Wa=ants
(the "Wa=ants"),as authorized by Section 384.57 of the Code of Iowa,to Ruan Securities
Corporation,Des Moines,Iowa (the "Purchaser"),at a discount of $7,250,to be payable
from such fund or funds of the City as are legally available for such purpose,including,
but not limited to,proceeds from the sale and issuance of General Obligation Bonds or
Notes;Sewer Revenue Bonds or Notes;Water Revenue Bonds or Notes;and/or the future Net
Revenues of the Municipal Waterworks and/or Sanitary Sewer Systems of the City.The
Wa=ants shall be signed by the Mayor and attested by the City Clerk with the seal of the
City affixed and delivered to the Purchaser,shall be dated as of the date of their
delivery to the Purchaser,shall mature on August 1,1994,shall be in the denomination
of $5,000 each,or any integral multiple thereof,and shall bear interest at the rate of

3.25%per annum,payable on February 1,1994 and at maturity,except as the provisions
hereinafter set forth with respect to redemption prior to maturity maybe or become
applicable hereto.
Section 2.The Warrants shall be in substantially the form as attached to this
resolution and shall be payable as to principal and interest in accordance with the.terms
set forth therein.
Section 3.The City shall maintain as confidential the record of identity of owners
of the Warrants,as provided by Section 22.7 of the Codeof Iowa.
Section 4.The City Clerk is hereby designated as the Registrar and Paying Agent
with respect to the Warrants.
Section 5.The City reserves the right to prepay the Wa=ants in whole or in part
on any date prior to maturity upon terms of par and accrued interest.The Warrants may
be called in part in one or more units of $5,000.If less than the entire principal
amountof any Wa=ant in a denominationof more than $5,000 is to be redeemed,the
Registrar will issue and deliver to the registered owner thereof,upon su=ender of such
original Wa=ant,a newWarrant or Wa=ants,in any authorized denomination,in a total
aggregate principal amountequal to the unredeemedbalance of the original Wa=ant.
Notice of such redemption as aforesaid identifying the Wa=ant or Wa=ants (or portion
thereof)to be redeemedshall be mailed by certified mail to the registered owners
thereof at the addresses shownon the City's registration books not less than 10 days
prior to such redemption date.All of such Warrants as.to which the City reserves and
exercises the right of redemption and as to which notice as aforesaid shall have been
given and for the redemption of which funds are duly provided,shall cease to bear interest
on the redemption date.
Section 6.It is the intention of the City that interest on the Wa=ants be and
remain excluded from gross income for federal incometax purposes pursuant to the
appropriate provisions of the Internal RevenueCodeof 1986,as amended,and the Treasury
Regulations in effect with respect thereto (all of the foregoing herein refe=ed to as
the "Internal RevenueCode").In furtherance thereof,the City covenants to complywith
the provisions of the Internal RevenueCodeas they may from time to time be in effect or
amendedand further covenants to complywith applicable future laws,regulations,
published rUlings and court decisions as maybe necessary to insure that the interest on
the Warrants will remain excluded from gross income for federal incometax purposes.
Anyand all of the officers of the City are hereby authorized and directed to take any
and all actions as maybe necessary to complywith the covenants herein contained.
The Wa=ants are hereby designated as "Qualified Tax ExemptObligations"as that
term is used in Section 265(b)(3)(B)of the Internal RevenueCode.
Section 7.All resolutions or parts thereof in conflict herewith be and the same
are hereby repealed,to the extent of such conflict.

Letter Of Intent To Levy $725KG.O.Construction Warrants.Motionby CouncilmanScott
and seconded by CouncilmanDuroy to approve the Letter Of Intent having RuanSecurities
Corporation assist the City Council of the City of Waukeein financing $725,000 Construction
Wa=ants and authorizing the mayor to sign their acceptance.After due consideration
thereof by the Council,the Mayorput the question on the motion and the roll being called,
the following namedCouncilmenvoted:Ayes:Bailey,Clark,Duroy,Gruber and Scott.
Nays:none.Motion carried 5 to O.Whereupon,the Mayordeclared the resolution duly
adopted,as follows:

LETIER OF IN'IENT
RuanSecurities Corporation ("RSC")will undertake to assist the City Council of the City ~of Waukee,Iowa (the "Council"),in financing $725,000Construction Wa=ants.
At the discretion of the Council,RSCwill underwrite the Warrants offered by the City
under the following terms:
1.The Warrants will mature August 1,1994 and will pay interest at the rate of
3.25%on February L 1994 and at maturity.The Warrants will be callable
anytime in part or in whole at par with a ten daysI written notice.The
Warrants will be sold to RSCat a discount of 1%($7,250).
2.The Warrants will be accompaniedby a legal opinion of recognized bond counsel.
3.The Council will pay any warrant printing associated with the Warrant issue
and will pay RSCa fee of none Dollars ($-0.00-)for out-of-pocket
and managementexpenses.

4.The Council and RSCagree that RSChas fulfilled its obligation and 'dut.i.es as
fiscal agent under teITIlSof the agreement between RSCand the City,and to
avoid a potential conflict of interest for the above-stated improvement project
only,the fiscal agreement between RSCand the City is hereby terminated,and
the Council further consents that RSCmay act as underwriter for the City's
Wa=ants.
5.The Council has no obligation to RSCnor RSCto the Council should the
financing of outstanding Wa=ants not occur.

BE IT ORDAINEDby the Council of the City of Waukee:
Section 1.Section 301.4 of Chapter 301,WaukeeMunicipal Code,Zoning Ordinance
of the City,adopting the Official Zoning Map,is hereby amended by changing the following
described real estate from R-2 (One and TwoFamily Residential District)to R-3 (Multi
family Residential District),and that the Official Zoning Mapbe made to reflect such
amendment:
Lot 2 in Candleridge Park,an Official Plat,Waukee,Dallas County,Iowa
Section 2.Repealer.All ordinances or parts of ordinances in conflict with the
provisions of this ordinance are hereby repealed.
Section 3.severability Clause.If any section,provision or part of this
ordinance shall be adjudged invalid or unconstitutional,such adjudication shall not
affec~the validity of the ordinance as a whole or any section,provision,or part thereof

Section 4.Effective Date.This ordinance shall be in effect upon it final

Cand.Leradqe Apartments of Waukee II is not built within 2 years of this date that Lot 2
in Candleridge Park revert back to R-2 zoning.The Mayor put the question upon the

Grading Ordinance.Nothing at this time.
First Responders Chassis Purchase.The First Responder chassis is in need of replacing
and the Responders asked if the money set aside by the City for a new fire station could
be used for the purchase of a chassis.The chassis purchase was not included in the
fiscal year budget.No action taken at this time in order to consult with legal counsel.

Mary Ann Estates Drainage.The Council was updated on proposed corrective measures.
Gl.enviewManor Sewer Depth.The developers of GlenviewManorasked the Council to
consider waiving the sanitary sewer depth requirements in order that the developnent
could proceed.The Council feels that all building ordinances should be observed as they
currently are adopted.
Parkview Drive Block Party.Movedby CouncilmanDuroy and seconded by CouncilmanClark
to approve the closing of Parkview Drive east of 2nd Street on August 22 from 7:00 P.M.
to 8:30 P.M.to accommcdatea resident block party.Motion carried 5 to O.
Planning &Zoning -Duray.Next meeting is scheduled for August 28th.
Liquid calcium Chloride Application System.Movedby CouncilmanDuroy and seconded by
CouncilmanGruber to approve purchasing of the liquid calcium chloride application system
from Jerico Services,Inc for $4,890.00.Motion carried 5 to o.
Public Safety -Gruber.No printed report available.
Panda Resources Supply Agreement.Brian will be attending a meeting in Omahawith Panda
on August 19.
Library Report -Bailey.Printed report received.
Mayor's Report.MayorRosenkranz :Expressed condolences to Paul Huscher upon the death
of his father:Appointed Ray to attend the August 18 meeting of the Dallas County Board
of Supervisors;asked Frank to check into the feasibility of converting City vehicles to
natural gas:Has nominated DowneyPrinting in the Industry Recognition program:and asked
the Council to consider whether there are to be any questions to be included on the
Novemberballot.
Mninistrator's Report.Brian reported on:Sahu Acres update;recycling program cost;
and Public Works Director position hiring process.

was referred to the Utilities Committeefor review and recomnendations.

Fall Festival.Margaret Stone updated the Council on the October 1-3 Fall Festival.

Council took up and considered the proposed 1993 Alice's Road Grading and Paving
ImprovementsProject.CouncilmanBailey introduced the resolution next hereinafter set
