A RESOLUTION PROVIDING FOR
PREPAYMENT OF $85,000 SPECIAL ASSESSMENT
SEWER IMPROVEMENT NOTES,
DATED MAY 1,1993

WHEREAS,$135,000 Special Assessment Sewer Improvement Notes,dated May 1,1993 (the "Notes"),
were issued by this Council pursuant to a resolution passed and approved on May 24,1993,under which
the right was reserved to the City to call and prepay all of the Notes maturing after December 1,1993
prior to and in order oftheir maturity as a whole or from time to time in part,on or within 45 days after
December 1 in each of the years 1993 to 2001,inclusive,on terms of par and accrued interest,provided
notice shall have first been given by certified mail to each registered owner ofthe Notes to be redeemed,
not less than thirty nor more than forty-five days prior to the date set for such redemption and prepayment;
and
WHEREAS,the City has sufficient funds on hand and it is necessary to provide for the prepayment of
$85,000 of the Notes currently outstanding,as ofJanuary 15,1996 (the "Redemption Date");and
WHEREAS,in order to give notice of prepayment within the required time limits,the City Administrator
authorized Bankers Trust Company,Des Moines,Iowa,as Registrar and Paying Agent for the Notes,to
mail such notice no later than December 15,1995;
NOW,TIffiREFORE,It Is Hereby Resolved and ordered by the City Council of Waukee,Iowa,as
follows;
Section 1.The following described Notes which are scheduled to mature on December 1 in 1
each of the years,in the principal amounts,bearing interest at the rates,bearing CUSIP numbers and being
payable at the redemption prices,as follows:

shall be prepaid and redeemed as of the Redemption Date,and the action of the City Administrator in
providing for the notice of such redemption,in the form hereinafter set out,is hereby ratified and
confIrmed.
Section 2.All resolutions or orders or parts thereof,to the extent the same may be in conflict
herewith,are hereby repealed.
